TV One delivers real life and entertainment prgramming frm the African American pint f view. TV One represents a cnnectin t the authentic, rich, and diverse experience f African American life, histry and culture. Cntest Overview The TV ONE SCREENPLAY COMPETITION 2015 is meant t encurage and prmte the prductin f creative, cntemprary, engaging and relatable screenplays that can be turned int riginal mvies fr televisin. The cmpetitin is meant t: Encurage filmmakers t ffer a fresh perspective and submit cntemprary stries with a fcus n the American black cultural experience with wide audience appeal. Encurage filmmakers t creatively center arund entertaining, heart-felt and relatable tpics that resnate and appeal t African American audiences. Expand upn the genres/frmats that tell these entertaining stries. Genres include, but are nt limited t cmedies, rmantic cmedies, dramas, and family adventures (submissins shuld be nn-perid stries). One (1) Grand Prize Winner will be selected frm three (3) Finalists and annunced at the clsing night event f ABFF. Eligibility Requirements 1. Screenwriter(s) must be Twenty-One (21) years f age r lder as f the Date f Submissin as stated in the Submissin Frm. 2. The cntest is nly pen t United States residents. 3. All screenplays must be submitted in English. 4. Emplyees f TV One, LLC, its parent, prmtinal partners, affiliates r subsidiaries (whether permanent r temprary), and their respective immediate family members and/r thse living in the same husehld, are nt eligible t participate in the Cntest. 1

2 5. By entering the Cntest, each entrant (including the Finalists and Grand Prize Winner) agrees t execute an exclusive Optin t Purchase agreement with Spnsr in rder t be eligible fr a prize. 6. All entrants must read and agree t the Official Rules fr the cntest, which are available n the prmtin website at: Submissin Requirements 1. Screenplays must be creative, cntemprary, engaging and relatable and suitable fr TV One s audience. 2. Screenplays must be riginal with the Screenwriter, and must nt have been prduced, r be scheduled t be prduced, in any frm (televisin, live-theatrical, feature film, n-line). 3. Screenplays must be cmplete and have been written by the Date f Submissin. 4. N individual Screenwriter can be attached (either as the sle Screenwriter r as a C-Screenwriter) t mre than three (3) submitted Screenplays. 5. The Screenplay must be the riginal wrk f the Screenwriter(s) and may nt be based, in whle r in part, n any ther wrk t which the Screenwriter(s) des/d nt wn the rights. 6. Screenplays must be written fr a tw (2) hur televisin mvie (apprximately Eighty-Fur (84) minutes f cntent, excluding cmmercials and/r apprximately Eighty-Fur (84) pages, but a maximum f ninety (90) pages) submitted digitally as a Final Draft (if available) in PDF frmat (while screenplay writing sftware is nt required, it is preferred). 7. Screenplays must be submitted in accrdance with the Official Rules f the cntest. Submissin Instructins 1. Each Submitted Screenplay must be submitted and received with the fllwing items n the list belw t qualify fr entry: One (1) signed cpy f the Submissin Frm; One (1) riginal and signed cpy f the Submissin Guidelines and Release Frm; One (1) prperly frmatted screenplay (by industry standards) that is apprpriate fr a tw (2) hur made fr televisin mvie (which is apprximately eighty-fur (84) minutes f cntent and/r apprximately eighty-fur (84) pages, but a maximum f ninety (90) pages), submitted digitally as a Final Draft (if available) in PDF frmat (while screenplay writing sftware is nt required, it is preferred); One (1) page synpsis f the screenplay; The screenplay s lg line; Character descriptins fr the screenplay s main characters; One (1) page bigraphy f each screenplay writer; and A scene selectin that culd be read at a table read (nt t exceed twelve (12) pages). 2. The title f the Screenplay and name(s) f each Screenwriter(s) must be n all Submissin Materials. 2

3 3. Each submitted Screenplay must be submitted with a separate Submissin Frm, separate Submissin Guidelines and Release Frm, and separate related dcuments as utlined in bullet 1 abve. 4. All Submissin Materials shuld be sent by t screenplaycmpetitin@tvne.tv. 5. All Submissin Materials must be received by 11:59 pm EST n Thursday, April 30, If any Submissin Materials are received after 11:59 pm EST n Thursday, April 30, 2015, the Screenplay will nt be cnsidered. 6. Please nte that Submissin Materials will nt be returned. Selectin and Prizing There will be three (3) Finalists chsen. One (1) grand prize winner will be chsen frm the three (3) Finalists. The ptential Finalists will be ntified by , telephne and/r mail by May 25, The ptential Winner will be ntified in persn during the Best f the ABFF awards ceremny taking place n June 14, 2015 in New Yrk City, New Yrk. TV One will award 3 Finalist prizes and 1 grand prize. Each Finalist will receive a trip t the 19 th Annual American Black Film Festival in New Yrk City, NY, taking place June 11, 2015 thrugh June 13, 2015 and the pprtunity t have a scene frm their screenplay read by actrs at a Table Read. The Grand Prize winner will receive Five Thusand Dllars ($ ) and the pprtunity t have their screenplay develped and prduced t premier at the 2016 American Black Film Festival. Press and Marketing Cmmitments Fr any Finalist chsen, the Finalist must agree t participate in any press and marketing pprtunities, interviews and phts in cnnectin with the cntest, including participatin and attendance at bth the Table Read and the Awards Ceremny taking place during the 19 th Annual American Black Film Festival

A lt f the material we each receive includes and/r is cmprised f materials, suggestins r ideas which are identical r substantially similar t thse which have been previusly develped by ur respective staffs. Als, a lt f the materials we each receive includes and/r is cmprised f materials, suggestins r ideas which are identical r substantially similar t thse which have been submitted by ther peple utside f ur respective cmpanies. Therefre, TV ONE and/r ABFF may begin using material similar r identical t yurs which we received after the date f yur submissin. T prtect bth yu and ur respective cmpanies, TV ONE and ABFF have utlined a plicy regarding such submissins and materials in rder t explain the prcess f reviewing, investigating, inspecting and evaluating these materials. Based n this plicy, TV ONE and ABFF can each receive and review materials nly if it is left up t either f us t determine whether either f us has in fact used these ideas and t decide what cmpensatin, if any, shuld be paid in event f use. 6 Dear Sir/Madam: Yu acknwledge that yu wuld like t submit certain materials t the TV ONE SCREENPLAY COMPETITION Fr purpses f this release and agreement (the "Release" r the "Agreement"), TV ONE shall refer t TV ONE, LLC, 1010 Wayne Avenue, Suite 1000, Silver Spring, MD Such materials may include prpsals, utlines, treatments, presentatin tapes, scripts, ideas, marketing r prmtinal plans, prgram frmats, r ther material, r any prtins theref (the "Material"). By signing this Release and returning it t us, yu cnfirm that yu have read TV ONE s plicy regarding the acceptance and review f the Material and yu hereby accept the terms f this letter agreement. The fllwing shall cnstitute ur agreement with respect t the Material: 1. RELATIONSHIP OF THE PARTIES: Yu acknwledge that there des nt nw exist, nr has there ever existed, nr will there exist, a fiduciary relatinship between yu and TV ONE. Yu acknwledge that yu have requested this pprtunity t submit yur Material t TV ONE, and that yu make this submissin, vluntarily and n an unslicited basis. 2. AGREEMENT BETWEEN THE PARTIES: Yu acknwledge that yu and TV ONE had nt yet reached any agreement whatsever cncerning the use f the Material. Yu realize that n bligatin f any kind is assumed by, r may be implied against, TV ONE unless and until a written agreement has been entered int between yu and TV ONE, and then the bligatin shall nly be as expressed in such written agreement. Ntwithstanding the freging, yu understand that TV ONE assumes n bligatin t prceed with negtiatins f any kind respecting the Material. 3. REVIEW & RETURN OF THE MATERIAL: In cnsideratin f yur agreement t the terms f this Release, TV ONE agrees t cause its emplyee with apprpriate respnsibility f evaluating the Material t review yur Material. Yu acknwledge and agree that yu have retained a cpy f the Material and that TV ONE assumes n bligatin t return the Material t yu. Yu understand that TV ONE is nt under any bligatin t furnish yu with any infrmatin abut the results f its review f the Material r its reasns fr nt prceeding further if TV ONE s decides. TV ONE's review f the Material cnstitutes TV ONE's acceptance f the terms and cnditins f this Release, and TV ONE shall have relied upn yur agreement herein in cnsidering yur Material fr review. TV ONE agrees t use reasnable effrts t keep all the Material cnfidential. 4. SCOPE OF RELEASE: Yu acknwledge that this Release cvers and gverns any and all f the Material, whether first submitted t TV ONE cntempraneusly with, prir t, r fllwing the executin f this Release, and that this Release als applies t any submissin f the Material made t TV ONE by anther surce, directly r indirectly, by r thrugh yu. 5. SUMMARY OF MATERIALS: The Material being submitted with this Release is utlined n the attached Submissin Frm. Yu declare that all f the imprtant features f yur Material, and the particular items being submitted by yu are stated n the attached Submissin Frm and yu have nt disclsed any ther features t TV ONE. 6. OWNERSHIP OF MATERIALS: Yu represent and warrant that yu are the sle and exclusive creatr(s), authr(s) and wner(s) f the Material, that t yur knwledge n ne else has any right t the Material, that yu have the right t submit the Material t TV ONE, and that yu have the pwer and authrity t enter int this Release regarding the Material. Yu further warrant that n rights in the Material have previusly been granted t anyne nr has the Material therwise been explited in any way. 7. NOVELTY OF IDEAS: Althugh TV ONE may accept and review the Material, yu cannt and will nt assume r infer that TV ONE regards yur Material as unique, nvel, valuable and/r usable. Yu understand and acknwledge that similar r identical materials may have been r may be submitted t TV ONE by thers, including TV ONE S emplyees; may have riginated r been develped r made public by thers, including TV ONE S emplyees; r may hereafter riginate, be develped, be submitted r made 6

7 public by thers. TV ONE shall have the right t use, and yu understand that yu will nt be entitled t any cmpensatin because f TV ONE s use f such ther similar r identical material. Subject t the freging, TV ONE will nt make any use f any legally prtectable prtin f yur Material unless yu and TV ONE have agreed in a writing cncerning yur cmpensatin fr such use, which cmpensatin shall in n event be greater than the cmpensatin nrmally paid by TV ONE fr similar Material frm cmparable surces. 8. INDEMNIFICATION AND LIMITATION OF LIABILITY: Yu indemnify TV ONE, its parent, affiliates, subsidiary cmpanies, assignees, assciates, judges and spnsrs against all claims, lsses, expenses damages and liabilities, frm and against any claim r cause f actin arising ut f any claim fr infringement f intellectual prperty rights. Yu release and hld harmless TV ONE, its parent, affiliates, subsidiary cmpanies, assignees, assciates, judges and spnsrs, and any agents invlved in the develpment, prductin, handling implementatin and/r distributin f this Cntest, and their respective parent cmpanies, subsidiaries, affiliates, partners, representatives, agents, successrs, assignees, emplyees, fficers and directrs, frm any and all liability, fr lss, harm, damage, injury, cst r expense whatsever including, withut limitatin, prperty damage, persnal injury and/r death which may ccur in cnnectin with r resulting frm preparatin fr, r participatin in this Cmpetitin, r pssessin, acceptance and/r use/misuse f the prize r any participatin in any Cmpetitin-related activity, any typgraphical r ther errrs in the printing, ffering r annuncement f the prize, selectin and annuncement f the winner, distributin f the prize, r errrs in any printing r psting f these instructins, and fr any claims based n publicity rights, defamatin, invasin f privacy, cpyright infringement, trademark infringement r any ther intellectual prperty-related cause f actin. Entrants als agree t waive any right t claim ambiguity in these fficial rules. In n event shall TV ONE be respnsible fr printing, typgraphical, human r ther errrs in any Cmpetitin-related materials; r fr transactins that are prcessed late r incrrectly, r are lst in the mail. TV ONE reserves the right t cancel, suspend r mdify the Cmpetitin fr any reasn. If any event shuld ccur that may cmprmise the integrity f the Cmpetitin as determined by TV ONE in its sle discretin, TV ONE may chse t award the Prize frm amng all eligible nn-suspect entries received prir t actin taken. 9. DISPUTE RESOLUTION: Any cntrversy arising ut f r in cnnectin with this Release, including withut limitatin any claim that TV ONE has used any legally prtectable prtin f yur Material in vilatin f the terms heref, shall be gverned by the laws f the State f Maryland, and the parties cnsent t the jurisdictin f the state and federal curts f Maryland fr the reslutin f such matters. In the event f such cntrversy yu agree that yu shall assert such claims nt later than six (6) mnths after the date n which yu first learned (r reasnably shuld have becme aware) f TV ONE 's use r intended use f any prtin f the Material and thereafter yu shall be barred frm asserting any such claims. Yu further agree that yur rights and remedies, if any, shall be limited t an actin t recver cmpensatry mney damages in an actin at law, and withut limitatin f the freging, yu expressly agree that yu shall nt seek t enjin r restrain the prductin, exhibitin, distributin, licensing, advertising, and/r prmtin f any f TV ONE s prgramming, prmtinal r marketing plans, and/r any f the subsidiary rights in cnnectin therewith. 10. ENTIRE UNDERSTANDING: This Release cnstitutes ur entire understanding and agreement, and supersedes all prir understandings, whether written r ral. Any subsequent mdificatin r waiver f this Release must be in writing, signed by bth f us. The invalidity f any prvisin heref is nt t affect the remaining prvisins. 11. MISCELLANEOUS: (a) Yu are executing this Release vluntarily, withut cercin r undue influence frm any surce, and d s with cmplete understanding f all f its terms and effects, and every prtin theref. 7

(c) As used in this Release, the terms "yu" and "yur" includes and binds the undersigned and any and all legal representatives f the undersigned. As used in this release, the terms "TV ONE" and "we" includes and inures t the benefit f TV ONE s successrs, assigns, emplyees, fficers, directrs, licensees, and assciated cmpanies and individuals.
