We have established general AT&T U-verse TV service standards fr custmer care that nt nly meet applicable legal requirements but are designed t exceed custmer expectatins. Listed belw are general custmer service standards we intend t meet. Several AT&T U-verse custmer service ptins are available t use. Yu can find answers t yur questins nline at att.cm/uversesupprt r call ur AT&T U-verse custmer care line tll-free at Knwledgeable and qualified AT&T U-verse representatives are available as fllws: Technical supprt and prblem reprting is available twenty fur (24) hurs a day, seven (7) days a week tll-free at Fr rdering, billing, and ther inquiries, representatives are available Mnday thrugh Friday frm 8:00 A.M. t 7:00 P.M. and Saturdays frm 8:00 A.M. t 5:00 P.M. After these hurs, yur call will be answered by an autmated respnse system. We will respnd t messages n later than the next business day. AT&T emplyees and representatives will carry identificatin. AT&T U-verse emplyees and representatives carry an identificatin card with their name and phtgraph. We will schedule service appintments with respect fr yur time. Appintment Hurs fr Installatins and Service Calls

2 The appintment windw alternatives fr installatins, service calls, and ther installatin activities that we prvide will be, at a maximum, a fur-hur time blck during nrmal business hurs. We may schedule service calls and ther installatin activities utside f nrmal business hurs fr yur express cnvenience. We will nt cancel an appintment with yu after 5 p.m. n the business day befre the scheduled appintment. If ur representative is running late fr an appintment with yu and will nt be able t keep the appintment as scheduled, we will cntact yu and yu will be ffered the next available tw (2) hur appintment windw cnvenient fr yu. Installatin Intervals A standard installatin date is available within seven (7) business days after the rder has been placed. Custmers may als chse frm available dates and times utside f the standard interval. We will prvide all estimated csts fr repairs r service prir t any wrk. During yur rder prcess, AT&T U-verse sales representatives will disclse applicable installatin service charges and prmtinal pricing. If any additinal service r repair wrk needs t be perfrmed nce yur AT&T U-verse technician is n-site, he/she will state rally the estimated cst f any additinal service. Yu must authrize the charges befre service is delivered r wrk is perfrmed. We will handle service repairs prmptly. Excluding cnditins beynd ur cntrl, we will begin wrking n AT&T U-verse TV service interruptins prmptly, but n later than 24 hurs after the interruptin is reprted by yu r becmes knwn t us. Service interruptin means the lss f picture r sund n ne r mre channels. We will take actin t crrect ther service issues the next business day after being ntified f the prblem. AT&T will interrupt yur AT&T U-verse TV service nly if necessary. We will ntify yu f any changes in rates r deletins in prgramming. When it is within ur cntrl, we will prvide yu with a minimum f thirty (30) days written ntice befre increasing rates, changing channel psitin, r deleting prgramming. If an increase in rates, changing channel psitin, r deletin f prgramming is utside f ur cntrl, we will make reasnable effrts t prvide as much ntice as pssible. We will clearly utline hw depsits, bill disputes, and terminatin f service will be handled. Depsits Any depsits r advance payments may be applied tward any unpaid balance n yur AT&T U-verse bill, r as therwise set frth in yur Terms f Service. Interest will nt be paid n depsits r advance payments unless required by law. Upn AT&T s sle determinatin f satisfactry payment histry, r as required by law, AT&T may begin refunding depsits r advance payments thrugh bill credits, cash payments, r as therwise permitted by law. Bill Inquiries & Disputes If yu believe yu have been billed in errr fr services, please ntify us within sixty (60) days f the billing date by cntacting AT&T custmer care at We will respnd within 30 (thirty) days. Refunds and credits will be issued prmptly. AT&T will nt, except as required by law, issue refunds r credits if yu fail t ntify us with sixty (60) days f the billing date. Terminatin f Service Yu may terminate yur service by calling AT&T at If AT&T prpsed t terminate yur service, we will prvide yu fifteen (15) days ntice and will terminate yur service nly n a day yu can cntact us. We will restre yur service withut charge if it was terminated in errr. Return f Equipment Upn terminatin f services, fr whatever reasn, yu must return any equipment prvided by AT&T, undamaged, within twenty ne (21) calendar days. If the equipment is nt returned within twenty ne (21) calendar days, r is returned damaged, yu will be charged fr the value f the equipment. If the equipment is returned within ninety (90) days f terminatin, any fees charged fr the equipment will be refunded (ther than fees fr damages). N refunds will be made fr any equipment returned mre than ninety (90) days after terminatin. We will prvide accurate, understandable bills. AT&T will prvide yu with an itemized, cmplete mnthly bill fr yur AT&T U-verse TV service that is accurate and easy t understand. Yu shuld remit payment by the due date indicated n yur bill, which will be at least fifteen (15) days frm the date f billing. If payment is nt received by the indicated due date, a late fee may be assessed n earlier than twenty-tw (22) days after billing. Payment may be made by mail, nline at att.cm, and at mst AT&T Mbility stres and Western Unin lcatins. We will prvide yu with assistance in reslving any service r billing issues.

AT&T U-VERSE VOICE AND TV GENERAL TERMS OF SERVICE Effective December GENERAL AGREEMENT The fllwing Terms f Service (referred t as "TOS") are between yu, the custmer, and ne f the fllwing AT&T cmpanies, depending upn yur service address: Suthwestern Bell Telephne Cmpany; Pacific Bell Telephne Cmpany; Illinis Bell Telephne Cmpany; Indiana Bell Telephne Cmpany, Incrprated; Michigan Bell Telephne Cmpany; Nevada Bell Telephne Cmpany; The Ohi Bell Telephne Cmpany; Wiscnsin Bell, Inc.; The Suthern New England Telephne Cmpany; r BellSuth Telecmmunicatins, LLC (each individually and cllectively referred t as "AT&T"). The TOS cnstitute a legal dcument that details yur rights and bligatins as a purchaser f AT&T U-verse Vice service and/r AT&T U-verse TV service (individually and cllectively referred t as "Services"). If yu purchase AT&T U-verse Vice service, yur TOS include the General Terms f Service set frth herein, and the attached Schedule 1. If yu purchase AT&T U-verse TV service, yur TOS include the General Terms f Service set frth herein and the attached Schedule 2. Yur TOS als include the Acceptance Frm fr Terms f Service fr Purchase and Use f AT&T U-verse Vice and/r AT&T U-verse TV prvided t yu when Services are installed. Yur TOS will cntinue t apply t yur U-verse Services when they are transferred frm ne lcatin t anther. PLEASE READ THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. THIS AGREEMENT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND ALSO LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE. Yu must accept these TOS as a cnditin f receiving the Services. Fr purpses f these TOS, "yu" and "yur" refer t the persn purchasing the Services. "We," "ur," "us," refer t AT&T. AT&T will cmply with all applicable federal, state and lcal laws, t the extent that such laws apply t AT&T and its bligatins under the TOS. If there is any cnflict between the TOS and such applicable law, such applicable law cntrls. These cnflicts culd include, but are nt limited t, fees and charges fr service, billing and payments, ntices, and yur rights and remedies. Legal Authrity. Yu must be at least 18 years f age t purchase the Services as an individual r t accept these TOS as an authrized representative fr the persn r entity wh purchases the Services. By accepting these TOS, yu cnfirm yu are an adult f at least 18 years f age. If yu are an entity, by accepting these TOS, yu cnfirm (thrugh yur duly authrized representative) that yu are a crpratin, partnership, r ther legal entity duly frmed (and incrprated if applicable) in gd standing where required t d business with all legal authrity and pwer t accept these TOS; and yu are als cnfirming that these TOS cnstitute a valid and binding bligatin f yurs. All use f the Services, whether r nt authrized by yu, shall be deemed fr yur use. Yu are respnsible fr ensuring that all use f the Services cmplies with these TOS. By enrlling in, activating, using, r paying fr the Services, yu agree t the terms and cnditins in these TOS, including but nt limited t the prices, charges, and terms and cnditins prvided t yu in marketing and infrmatinal materials assciated with the Services and n the AT&T U-verse website, all f which are incrprated herein by reference. If yu d nt agree t all f the afrementined terms and cnditins, d nt use the Services, and cancel the Services immediately by calling AT&T at

4 Updates. These TOS may be updated r changed frm time t time. Yu can review the mst current versin f these TOS at any time at: If AT&T makes a change t these TOS and that change has a material impact n the Services, yu will be prvided ntice f that change, and such ntice will be prvided cnsistent with Ntice prvisins f this TOS. Yur cntinued use f the Services fllwing such ntice cnstitutes yur acceptance f thse changes. Special Arrangements. Sme custmers may receive the Services thrugh a special arrangement with their prperty wner r manager. If yu have such an arrangement, these TOS shall apply t the Services, except that AT&T may nt directly charge yu fr Services (including Equipment) prvided t yu as part f the special arrangement, and the Equipment return prvisins may nt apply t yu even thugh Equipment remains AT&T-wned. Yu will be respnsible fr fees and charges assciated with additinal Service rders. Yu may have an additinal agreement r cntract with yur prperty wner r manager that cvers any applicable special arrangement. Any such additinal agreement r cntract is utside these TOS and AT&T is nt respnsible fr nr bund by the terms f any agreement yu may have with yur prperty wner r manager. If the special arrangement with yur prperty wner r manager terminates, yu will cntinue receiving Service under standard billing terms and these TOS unless yu ntify AT&T. 2. ACCEPTABLE USE AND PRIVACY POLICIES Use f the Services is subject t the AT&T Acceptable Use Plicy (available at which is incrprated herein by reference. Once yu have purchased the Services yu will have an accunt with AT&T ( AT&T Accunt ). Yur AT&T Accunt will include infrmatin applicable t the Services including but nt limited t billing infrmatin and charges related t the Services (whether recurring r ne-time). If yu have, r later btain, an AT&T Access ID, yu are subject t the AT&T Access ID Terms and Cnditins (available at which are incrprated herein by reference. The AT&T Privacy Plicy, which is incrprated herein by reference and is available nline at addresses AT&T's use f accunt infrmatin and ther infrmatin specific t yur use f AT&T U-verse Services. AT&T U-verse Services are prvided fr yur nn-cmmercial persnal use nly, and fr yur enjyment in a private residential dwelling/ffice unit. Yu agree nt t reprduce, duplicate, cpy, sell, transfer, trade, resell r explit fr any cmmercial purpses any prtin f the Services, use f the Services, r access t the Services. Further, yu agree that the AT&T U-verse TV service will nt be viewed in areas pen t the public r in cmmercial establishments and that yur AT&T U-verse TV service may nt be rebradcast, nr perfrmed, nr may admissin be charged fr listening t r viewing AT&T U-verse TV service. 3. INSTALLATION/SERVICE Yu will be respnsible fr payment f service charges fr visits by AT&T r its subcntractrs t yur premises when a service request results frm causes nt attributable t AT&T r its subcntractrs, including, but nt limited t, when yu are unwilling t cmplete trubleshting steps requested by AT&T. Yu will prvide AT&T and its subcntractrs with reasnable access t yur premises in rder t install, maintain, and repair the Service and yu authrize any ther adult resident r guest at yur residence t grant access t yur premises fr these purpses. Yu understand and agree that AT&T may drill, cut, and therwise alter imprvements n the premises (including walls, flring, and/r ther surfaces) in rder t install, maintain, r repair the Service. If yu d nt wn yur premises r yur unit is part f a multi-tenant envirnment (e.g., apartment building, cndminium, private subdivisin), yu warrant that yu have btained permissin frm any necessary party, including but nt limited t the wner, landlrd, r building manager, t allw AT&T and its subcntractrs reasnable access t install, maintain, and repair the Service and t make any alteratins AT&T deems apprpriate fr the wrk t be perfrmed. Yu acknwledge that AT&T may use existing wiring, including altering the wiring and remving accessries, lcated within yur unit ("Inside Wiring"). Yu warrant that yu wn r cntrl the Inside Wiring, and give AT&T permissin t use, alter, and remve equipment frm, such wiring. Withut limiting any ther prvisins f this TOS, yu agree t indemnify AT&T frm and against all claims by an wner, landlrd, building manager, r ther party in cnnectin with installatin, maintenance, repair, r prvisin f the Services. 4. FEES AND CHARGES Agreement t Pay. Yu agree t pay all fees and charges fr the Services assciated with yur AT&T Accunt, including recurring and nnrecurring charges, taxes, fees, surcharges, and assessments applicable t the Services, assciated equipment, installatin and maintenance, and including all usage and ther charges assciated with yur accunt. In rder t prvide yu with the Services, AT&T may pay taxes, fees, and surcharges t municipalities and ther gvernmental entities, which AT&T may pass n t yu. Late Payment Charge and Dishnred Check r Other Instrument Fee. If the entire amunt f payment due is nt received by the payment due date, a late payment charge will be charged t yu. AT&T may assign unpaid late balances t a cllectin agency fr apprpriate actin. Yu will be charged a fee fr any check r ther

5 instrument (including credit card charge-backs) tendered by yu and returned unpaid by a financial institutin fr any reasn. Unpaid Past Due Charges. Yu expressly authrize, and specifically cnsent t allwing, AT&T and/r its utside cllectin agencies, utside cunsel, r ther agents t cntact yu in cnnectin with any and all matters relating t unpaid past due charges billed by AT&T t yu. Yu agree that, fr attempts t cllect unpaid past due charges, such cntact may be made t any mailing address, telephne number, cellular phne number, address, r any ther electrnic address that yu have prvided, r may in the future prvide, t AT&T. All cntact infrmatin yu prvide will be kept cnfidential and used nly fr the purpses stated abve. Yu agree and acknwledge that any address r any ther electrnic address that yu prvide t AT&T is yur private address and is nt accessible t unauthrized third parties. Fr attempts t cllect unpaid charges, yu agree that in additin t individual persns attempting t cmmunicate directly with yu, any type f cntact described abve may be made using, amng ther methds, pre-recrded r artificial vice messages delivered by an autmatic telephne dialing system, pre-set messages delivered by an autmatic ing system, r any ther pre-set electrnic messages delivered by any ther autmatic electrnic messaging system. Changes t Fees & Charges. If yu signed up fr Services fr a specified term, yu agree that if yu cancel yur plan befre the end f the term, yu will pay any applicable early terminatin fee. At the cnclusin f yur term, AT&T will autmatically begin charging the applicable mnth-t-mnth fee. If yu purchased the Services as part f a bundled ffering with ne r mre ther prducts and are receiving a discunt based upn that bundled ffering, yur discunt may cease and yu may be billed the standard mnthly rate fr the Services if yu change r discnnect ne r mre f the services in the applicable bundle. AT&T may, upn ntice required by applicable laws, at any time change the amunt f r basis fr determining any fee r charge r institute new fees r charges. 5. BILLING AND PAYMENTS Credit Card Authrizatin. Yu may be asked t prvide us with a valid address and a credit card number frm a card issuer that we accept in rder t activate yur Services. Yu hereby authrize AT&T t charge and/r place a hld n yur credit card with respect t any unpaid charges related t the Services. Yu authrize the issuer f the credit card t pay any amunts described herein withut requiring a signed receipt, and yu agree that these TOS are t be accepted as authrizatin t the issuer f the credit card t pay all such amunts. Yu authrize AT&T and/r any ther cmpany wh bills prducts r services, r acts as billing agent fr AT&T t cntinue t attempt t charge and/r place hlds with respect t all sums described herein, r any prtin theref, t yur credit card until such amunts are paid in full. Yu agree t prvide AT&T with updated credit card infrmatin upn AT&T's request and any time the infrmatin yu previusly prvided is n lnger valid. Yu are slely respnsible fr maintaining and updating the credit card infrmatin. Withut limiting the applicability f any ther prvisins f this TOS, yu acknwledge and agree that neither AT&T nr any AT&T affiliated cmpany will have any liability whatsever fr any nn-sufficient funds r ther charges incurred by yu as a result f such attempts t charge, and/r place hlds n, yur credit card. If yu mistakenly prvide a debit card number, instead f a credit card number, yu authrize all charges described herein t be applied t such debit card unless and until yu prvide a credit card number. In the event yu are enrlled, r later enrll, in an autmatic payment r electrnic funds transfer plan, yu agree that all sums described herein may be charged, at AT&T's ptin, t the accunt number prvided fr such autmatic payment r electrnic funds transfer plan. Advance Payments, Depsits, Fees and Limits. We may require yu t make depsits r advance payments fr Services, which we may use t satisfy yur initial bill fr Services, t ffset against any unpaid balance n yur accunt, r as therwise set frth in these TOS r permitted by law. Interest will nt be paid n advance payments r depsits unless required by law. We may require additinal advance payments r depsits if we determine that the initial payment was inadequate. Upn determinatin slely by AT&T f satisfactry payment histry r as required by law, AT&T may begin refunding f the depsit r advance payment thrugh bill credits, cash payments, r as therwise determined slely by AT&T. Based n yur creditwrthiness, a nn-refundable fee may be required t establish service and we may require yu t enrll, and remain enrlled, in an autmatic payment r electrnic funds transfer plan. We may establish additinal limits and restrict service r features as we deem apprpriate. If yur accunt balance ges beynd the limit we set fr yu, we may immediately interrupt r suspend service until yur balance is brught belw the limit. Any charges yu incur in excess f yur limit becme immediately due. Payment Cycle and Cancellatin. Billing fr the Services cmmences when AT&T has prvisined the Services. Recurring charges fr each mnth's Services will be billed ne mnth in advance. Billing is based n a 30-day cycle. Nn-recurring and usage-based charges fr the Services generally will be billed in the billing cycle fllwing the transactin. Yur first bill fr Services may include pr-rated charges fr a partial mnthly perid prir t the beginning f yur first mnthly billing cycle. Upn terminatin yu will be charged fr the pr-rated number f days fr which yu had Services in that billing cycle and, if applicable, yu will receive a credit fr any

6 balance f payments fr Services billed in advance. A dwngrade fee may apply if yu make changes t yur Service within thirty (30) days f Service prvisining r later prgramming rders. Methd f Billing/Payment. Fees and charges fr the Services will be billed t yur AT&T Accunt. Yu will receive an nline bill fr the Service, unless yu specifically ntify us that yu want t receive a paper bill fr the Services (at ). Yu must register nline t establish a persnal AT&T My U-verse Accunt and prvide a billing address. Yu will then be able t view and pay yur bill nline by lgging n t yur persnal AT&T My U-verse Accunt (username and passwrd required). Yu understand that yu have sle respnsibility fr the security f yur passwrd and yu are slely respnsible fr ntifying AT&T if yur passwrd is lst r stlen. AT&T is nt liable fr any claims, csts, damages, r expenses arising frm a lst, misplaced, r stlen passwrd. If yu frgt yur passwrd r want t change yur passwrd fr any reasn, yu may request t reset yur passwrd nline. It is yur respnsibility t ntify AT&T immediately if yur cntact infrmatin changes. Bill Inquiries and Refunds. If yu believe yu have been billed in errr fr the Services, please ntify us within 60 days f the billing date by cntacting Custmer Service ( ). AT&T will nt issue refunds r credits after the expiratin f this 60-day perid, except where required by law r regulatin. Any amunts refunded in the frm f bill credits, cash payments r any ther frm shall be inclusive f all applicable taxes that were riginally paid n such amunts. Refunds. Yu authrize AT&T t use utside payment prcessing agencies r ther cmpanies fr purpses f paying any refund wed t yu, and yu further authrize AT&T t sell, assign r therwise transfer its refund rights and bligatins under this Agreement t utside payment prcessing agencies r ther cmpanies. Yu agree that we r the utside payment prcessing agency r ther cmpany that is respnsible fr yur refund may determine in ur r, if applicable, their sle and abslute discretin the frm f any refund that we issue t yu under this Agreement, and such frm may include a credit n yur next statement, a check, r a prepaid debit card that may be subject t mnthly service fees nt t exceed $2.95 per mnth and that are deducted frm the amunt f the refund. Prmtins and Cntingent Benefits. Yu may receive r be eligible fr certain discunts, features, prmtins, and ther benefits assciated with yur purchase f the Services as ffered t yu in marketing and infrmatinal materials, n the AT&T U-verse website, r in ther materials ("Benefits"). Any and all such Benefits are prvided t yu s lng as yu cntinue t meet qualificatin requirements; prvided, hwever, such Benefits may be mdified r terminated at any time as set frth in these TOS r if yu change yur Services after installatin. Unless therwise set frth in Benefits materials, standard mnthly rates will be charged at the cnclusin f the Benefits perid r when yu n lnger qualify fr the Benefits. 6. EQUIPMENT Equipment may be new r fully inspected and tested. Depending n yur service address, yur Services will include ne f the fllwing Equipment cnfiguratins: a. A Residential/Wireless Gateway ( RG r WG ) lcated inside yur premises, and certain service-specific equipment set frth in Schedule 1 and/r Schedule 2 that is required fr the Services t functin (the RG and service-specific equipment herein cllectively referred t as "Equipment"). If yu d nt purchase the Equipment frm AT&T, yu agree t rent the Equipment as part f yur purchase f the Services fr the duratin f yur receipt f the Services. Rental fees may be included in yur mnthly charge fr the Services r be charged separately (different taxes and surcharges may apply t the rental fees, Service fees, and/r the rental fee prtin f the Service fees). Rental/purchase ptins depend n the AT&T U-verse Services yu rder and installatin ptins yu chse. The Equipment requires electrical pwer frm yur premises t perate, which yu are respnsible fr prviding. b. If yu have an RG inside yur premises, yu may als have an Optical Netwrk Terminal ("ONT"), which is a bx typically lcated n the side f yur huse r in yur garage, where AT&T's fiber netwrk terminates. The ONT als requires electrical pwer frm yur hme t perate, which yu are respnsible fr prviding. AT&T installs an initial pwer supply bx fr the ONT when the first resident at a premises rders AT&T services. The ONT pwer supply bx cnverts the AC pwer in yur hme t the DC pwer required by the ONT. c. If yu d nt have an RG lcated inside yur premises, yur service is prvided by an Intelligent Netwrk Interface Device ( inid ) and certain service specific equipment set frth in Schedule 1 and/r Schedule 2 that is required fr the Services t functin (the inid and certain service-specific equipment therein cllectively referred t as Equipment ). Rental fees may be included in yur mnthly charge fr the Services r be charged separately. Rental/purchase ptins depend n the AT&T U-verse Services yu rder and the installatin ptins yu chse. The inid

7 includes three cmpnents: (1) a unit typically lcated n the utside f yur premises r in yur garage where the AT&T netwrk terminates (the utside unit); (2) a hme netwrking hub, which prvides wireless netwrking capability and is lcated inside yur premises, (the inside unit); and, (3) a pwer supply unit, typically lcated in a sheltered area either inside yur premises r in an attached structure. Yu are respnsible fr prviding the electrical pwer fr the inid. Backup Battery fr RG. AT&T prvides an initial RG battery backup unit, with an initial backup battery, fr purchasers f AT&T U-verse Vice service. See Schedule 1, sectin IV, fr mre infrmatin n Pwer Outages and Backup Batteries. Backup Battery fr ONT. If there is an ONT at yur premises and yu are the first resident at the premises t rder AT&T services, AT&T prvides the initial backup battery fr the ONT pwer supply bx t yu at n additinal charge when yur first AT&T service is installed. If a prir resident f the premises was the first resident t rder AT&T services, yu are respnsible fr determining whether a replacement battery fr the existing ONT pwer supply bx is needed and, if ne is needed, fr purchasing it. Yu hereby agree t be slely respnsible fr determining when the backup battery requires replacement and fr replacing and recycling used batteries. Yu agree t read and fllw all manufacturer r vendr directins fr the replacement and recycling f backup batteries. Backup Battery fr inid. If there is an inid at yur premises, AT&T prvides an initial backup battery fr purchasers f AT&T U-verse Vice service. See Schedule 1, sectin IV, fr mre infrmatin n Pwer Outages and Backup Batteries. AT&T reserves the right t manage the Equipment during the time yu are an AT&T U-verse custmer and retains exclusive rights t data generated by the Equipment. Neither yu nr a third party may change, interfere with, r blck access t the Equipment data r settings. AT&T will repair r replace damaged Equipment as AT&T deems necessary. Yu understand that repair r replacement f the Equipment may delete stred cntent, reset persnal settings, r therwise alter the Equipment. If the Equipment was damaged due t yur intentinal acts, negligence, r use incnsistent with the TOS as determined by AT&T, yu will be respnsible fr the price f repair r replacement. Any tampering with the Equipment, including, fr example, pening and attempting t mdify the Equipment, r attempting t cnnect the Equipment t ther hardware, will be treated as damage due t yur intentinal acts r negligence. Yu agree that yu will use the Equipment nly fr its intended residential use, and nt fr any ther purpse (such as n anther AT&T netwrk, r n anther prvider's (nn-at&t) netwrk). Yu agree t use apprpriate and reasnable care in using any and all Equipment. Return f Equipment. Upn terminatin f the Services fr whatever reasn, yu must return the Equipment, undamaged, within 21 calendar days t AT&T. If the Equipment is nt returned within 21 calendar days, r is returned damaged, yu will be charged fr the value f the Equipment. We may retain any advance payment r depsit, r prtin theref that previusly had nt been refunded, if yu fail t return the Equipment within this time perid. If the Equipment is returned within 90 days f terminatin, any fees charged fr the Equipment will be refunded (ther than fees fr damages). N refunds will be made fr any Equipment returned mre than 90 days after terminatin. AT&T will nt prvide supprt fr, r be respnsible fr, nging maintenance r management f, custmerwned equipment, including the initial battery backup units prvided t AT&T U-verse custmers. In additin t terminatin f service, these return f equipment prvisins apply if yur existing equipment is replaced r upgraded fr any reasn. 7. INDEMNITY Yu agree t indemnify and hld AT&T and its subsidiaries, affiliates, directrs, fficers, agents, and emplyees harmless frm any claim, demand, actin, citatin, r legal prceeding, including, but nt limited t, thse arising ut f r resulting frm the death r bdily injury f any persn, r the damage, lss, r destructin f any real r tangible persnal prperty, r fr reasnable attrneys' fees (except as prvided in paragraph 11(e) belw), made by any party against AT&T, its subsidiaries, affiliates, directrs, fficers, agents, and emplyees arising ut f r related t yur use f r inability t use the Services, yur cnnectin t the Services, the prvisining r alleged failure t prvisin the Services, a vilatin f any prvisin f this TOS, r yur vilatin f any rights f anther. 8. INTERRUPTIONS, LIMITATIONS, AND MODIFICATIONS TO SERVICE Service may be temprarily interrupted r therwise limited fr a variety f reasns; sme beynd the cntrl f AT&T. AT&T reserves the right t refuse credit allwances fr interruptins f Service. AT&T als reserves the right t mdify r discntinue, temprarily r permanently, at any time and frm time t time, the Services (r any functin r feature f the Services r any part theref) withut liability. Yu acknwledge that AT&T may establish general practices and limits cncerning use f the Services, including withut limitatin, the limits set frth in the attached Schedule 1 and Schedule 2.

8 IP Netwrk Interruptins. Yu acknwledge and understand that the Services will nt functin in the event f an IP netwrk interruptin. 9. ACCOUNT SECURITY Custmer Duty. Yu agree t keep cnfidential all passwrds, user IDs, IP addresses, and ther accunt identifiers and are slely respnsible fr any liability r damages resulting frm yur failure t maintain that cnfidentiality. Yu are slely and fully respnsible and liable fr all activities that ccur under yur AT&T Accunt, passwrd, user ID, r IP address. Yu agree t: (a) immediately ntify AT&T if yu suspect any breach f security such as lss, theft, public use (unrestricted, pen, cmmunal r shared use by third parties unrelated and/r nt affiliated with the Custmer either fr prfit r nt fr prfit) r unauthrized disclsure r use f yur AT&T Accunt, passwrd, user ID, r any credit r charge card number prvided t AT&T by calling ; (b) ensure yu exit frm yur accunt as applicable at the end f each sessin; and (c) peridically change yur passwrd. Accunt Access. Yu authrize AT&T t prvide infrmatin abut and t make changes t yur AT&T Accunt, including adding new service, upn the directin f any persn able t prvide infrmatin we deem sufficient t identify yu. Assumptin f Risk. There is a risk that ther users may attempt t access yur Services, such as thrugh the Internet r cnnected netwrks. Yu acknwledge this risk as inherent t the shared nature f the Services and yu agree t take full respnsibility fr taking adequate security precautins and safeguarding yur data. Theft f AT&T Equipment r Service. Yu agree t ntify AT&T immediately, in writing r by calling the AT&T custmer supprt line, if the Equipment is stlen r if yu becme aware at any time that Services are being stlen r fraudulently used. When yu call r write, yu must prvide yur AT&T Accunt number and a detailed descriptin f the circumstances f the Equipment theft, including dcumentatin f theft (e.g., a cpy f a plice reprt) r stlen r fraudulent use f the Services. Yu will be respnsible fr all charges incurred n yur AT&T Accunt until yu reprt the theft r fraudulent use f the Services. Yu will be respnsible fr stlen Equipment, hwever, AT&T may in its sle discretin waive r reduce charges fr stlen Equipment upn submissin f dcumentatin f theft r ther circumstances. Failure t prvide ntice t AT&T f theft in a timely manner may result in the terminatin f yur Services and additinal charges t yu. Unless ntified therwise by AT&T, after yu reprt the theft r fraudulent use f the Services, yu will remain respnsible fr paying yur mnthly fees fr Services nt stlen r fraudulently used. 10. SUSPENSION AND TERMINATION Suspensin/Terminatin by AT&T. Yur Services may be suspended r terminated if yur payment is past due. AT&T may als suspend r terminate yur Services if it is determined that there is previusly unpaid, undisputed, and utstanding debt fr U-verse service. Such suspensin r terminatin may cntinue until satisfactry arrangements have been made fr the payment f all past unpaid charges. While yur Services are suspended yu will nt receive autmatic credit balances (if any are due) and billing will cntinue fr yur mnthly charges, and any applicable prmtinal ffers may be discntinued and revked as determined slely by AT&T. Yu will be charged a fee t restre yur Service frm suspensin. In additin, AT&T may immediately terminate all r a prtin f yur Service r suspend Service, withut ntice, fr cnduct that AT&T believes (a) is illegal, fraudulent, harassing, abusive, r intended t intimidate r threaten; (b) cnstitutes a vilatin f any law, regulatin, r tariff (including, withut limitatin, cpyright and intellectual prperty laws); r (c) is a vilatin f these TOS, r any applicable plicies r guidelines (including the Acceptable Use Plicy), and AT&T may refer such use t law enfrcement authrities withut ntice t yu. Terminatin r suspensin by AT&T f the Services als cnstitutes terminatin r suspensin (as applicable) f yur license t use any Sftware, if applicable. Cntacts t Terminate Service. Yu may terminate the Services at any time by calling Yu must pay service fees and ther charges incurred thrugh the terminatin date, including any early terminatin fees that apply. If yu rent yur Equipment, yu may als be charged the value f any Equipment that is nt returned in accrdance with Sectin DISPUTE RESOLUTION WITH AT&T BY BINDING ARBITRATION PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR RIGHTS. Mst custmer cncerns can be reslved quickly and t the custmer's satisfactin by calling AT&T at In the unlikely event that AT&T's custmer service department is unable t reslve a cmplaint yu may have t yur satisfactin (r if AT&T has nt been able t reslve a dispute it has with yu after attempting t d s infrmally), we each agree t reslve thse disputes thrugh binding arbitratin r small claims curt instead f in curts f general jurisdictin. Arbitratin is mre infrmal than a lawsuit in curt. Arbitratin uses a neutral arbitratr instead f a judge r jury, allws fr mre limited discvery than in curt, and is subject t very limited review by curts. Arbitratrs can award the same damages and relief that a curt can award. Any arbitratin under this Agreement will take place n an individual basis;

9 class arbitratins and class actins are nt permitted. Fr any nnfrivlus claim that des nt exceed $75,000, AT&T will pay all csts f the arbitratin. Mrever, in arbitratin yu are entitled t recver attrneys' fees frm AT&T t at least the same extent as yu wuld be in curt. In additin, under certain circumstances (as explained belw), AT&T will pay yu mre than the amunt f the arbitratr s award and will pay yur attrney (if any) twice his r her reasnable attrneys fees if the arbitratr awards yu an amunt that is greater than what AT&T has ffered yu t settle the dispute. Arbitratin Agreement: a. AT&T and yu agree t arbitrate all disputes and claims between us. This agreement t arbitrate is intended t be bradly interpreted. It includes, but is nt limited t: claims arising ut f r relating t any aspect f the relatinship between us, whether based in cntract, trt, statute, fraud, misrepresentatin r any ther legal thery; claims that arse befre this r any prir Agreement (including, but nt limited t, claims relating t advertising); claims that are currently the subject f purprted class actin litigatin in which yu are nt a member f a certified class; and claims that may arise after the terminatin f this Agreement. References t AT&T, yu, and us include ur respective subsidiaries, affiliates, agents, emplyees, predecessrs in interest, successrs, and assigns, as well as all authrized r unauthrized users r beneficiaries f Services under this r prir Agreements between us. Ntwithstanding the freging, either party may bring an individual actin in small claims curt. This arbitratin agreement des nt preclude yu frm bringing issues t the attentin f federal, state, r lcal agencies. Such agencies can, if the law allws, seek relief against us n yur behalf. YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND AT&T ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. This Agreement evidences a transactin in interstate cmmerce, and thus the Federal Arbitratin Act gverns the interpretatin and enfrcement f this prvisin. This arbitratin prvisin shall survive terminatin f this Agreement. b. A party wh intends t seek arbitratin must first send t the ther, by certified mail, a written Ntice f Dispute ("Ntice"). The Ntice t AT&T shuld be addressed t: Office fr Dispute Reslutin, AT&T, 1025 Lenx Park Blvd., Atlanta, GA ("Ntice Address"). The Ntice must (1) describe the nature and basis f the claim r dispute; and (2) set frth the specific relief sught ("Demand"). If AT&T and yu d nt reach an agreement t reslve the claim within 30 days after the Ntice is received, yu r AT&T may cmmence an arbitratin prceeding. During the arbitratin, the amunt f any settlement ffer made by AT&T r yu shall nt be disclsed t the arbitratr until after the arbitratr determines the amunt, if any, t which yu r AT&T is entitled. Yu may dwnlad r cpy a frm Ntice and a frm t initiate arbitratin frm here: c. After AT&T receives ntice at the Ntice Address that yu have cmmenced arbitratin, it will prmptly reimburse yu fr yur payment f the filing fee, unless yur claim is fr greater than $75,000. (The filing fee currently is $200 but is subject t change by the arbitratin prvider. If yu are unable t pay this fee, AT&T will pay it directly upn receiving a written request at the Ntice Address.) The arbitratin will be gverned by the Cmmercial Arbitratin Rules and the Supplementary Prcedures fr Cnsumer Related Disputes (cllectively, "AAA Rules") f the American Arbitratin Assciatin ("AAA"), as mdified by this Agreement, and will be administered by the AAA. The AAA Rules are available nline at by calling the AAA at , r by writing t the Ntice Address. (Yu may btain infrmatin that is designed fr nn-lawyers abut the arbitratin prcess at att.cm/arbitratin-infrmatin.) The arbitratr is bund by the terms f this agreement. All issues are fr the arbitratr t decide, except that issues relating t the scpe and enfrceability f the arbitratin prvisin are fr the curt t decide. Unless AT&T and yu agree therwise, any arbitratin hearings will take place in the cunty (r parish) f yur billing address. If yur claim is fr $10,000 r less, we agree that yu may chse whether the arbitratin will be cnducted slely n the basis f dcuments submitted t the arbitratr, thrugh a telephnic hearing, r by an in-persn hearing as established by the AAA Rules. If yur claim exceeds $10,000, the right t a hearing will be determined by the AAA Rules. Regardless f the manner in which the arbitratin is cnducted, the arbitratr shall issue a reasned written decisin sufficient t explain the essential findings and cnclusins n which the award is based. Except as therwise prvided fr herein, AT&T will pay all AAA filing, administratin and arbitratr fees fr any arbitratin initiated in accrdance with the ntice requirements abve. If, hwever, the arbitratr finds that either the substance f yur claim r the relief sught in the Demand is frivlus r brught fr an imprper purpse (as measured by

10 the standards set frth in Federal Rule f Civil Prcedure 11(b)), then the payment f all such fees will be gverned by the AAA Rules. In such case, yu agree t reimburse AT&T fr all mnies previusly disbursed by it that are therwise yur bligatin t pay under the AAA Rules. In additin, if yu initiate an arbitratin in which yu seek mre than $75,000 in damages, the payment f these fees will be gverned by the AAA rules. d. If, after finding in yur favr in any respect n the merits f yur claim, the arbitratr issues yu an award that is greater than the value f AT&T s last written settlement ffer made befre an arbitratr was selected, then AT&T will: pay yu the amunt f the award r $10,000 ( the alternative payment ), whichever is greater; and pay yur attrney, if any, twice the amunt f attrneys' fees, and reimburse any expenses (including expert witness fees and csts) that yur attrney reasnably accrues fr nvestigating, preparing, and pursuing yur claim in arbitratin ("the attrney premium"). If AT&T did nt make a written ffer t settle the dispute befre an arbitratr was selected, yu and yur attrney will be entitled t receive the alternative payment and the attrney premium, respectively, if the arbitratr awards yu any relief n the merits. The arbitratr may make rulings and reslve disputes as t the payment and reimbursement f fees, expenses, and the alternative payment and the attrney premium at any time during the prceeding and upn request frm either party made within furteen (14) days f the arbitratr's ruling n the merits. e. The right t attrneys' fees and expenses discussed in paragraph (d) supplements any right t attrneys' fees and expenses yu may have under applicable law. Thus, if yu wuld be entitled t a larger amunt under the applicable law, this prvisin des nt preclude the arbitratr frm awarding yu that amunt. Hwever, yu may nt recver duplicative awards f attrneys' fees r csts. Althugh under sme laws AT&T may have a right t an award f attrneys' fees and expenses if it prevails in an arbitratin, AT&T agrees that it will nt seek such an award. f. The arbitratr may award declaratry r injunctive relief nly in favr f the individual party seeking relief and nly t the extent necessary t prvide relief warranted by that party's individual claim. YOU AND AT&T AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless bth yu and AT&T agree therwise, the arbitratr may nt cnslidate mre than ne persn's claims, and may nt therwise preside ver any frm f a representative r class prceeding. If this specific prvisin is fund t be unenfrceable, then the entirety f this arbitratin prvisin shall be null and vid. g. Ntwithstanding any prvisin in this Agreement t the cntrary, we agree that if AT&T makes any future change t this arbitratin prvisin (ther than a change t the Ntice Address) during the perid f time that yu are receiving Services, yu may reject any such change by sending us written ntice within 30 days f the change t the Arbitratin Ntice Address prvided abve. By rejecting any future change, yu are agreeing that yu will arbitrate any dispute between us in accrdance with the language f this prvisin. 12. SOFTWARE The Services use and include certain sftware and/r firmware (the "Sftware"). Sme Sftware resides n the Equipment. End User License Agreement. If yu dwnladed r installed Sftware, yur use f that Sftware is subject t the End User License Agreement that accmpanied that Sftware. With regard t any Sftware (including Sftware upgrades, changes, r supplements) which is nt accmpanied by an End User License Agreement, AT&T, r its applicable third party licensrs, grants yu a limited, persnal, nntransferable, and nnexclusive right and license t use the bject cde f its Sftware n the Equipment; prvided that yu d nt (and d nt allw any third party t) cpy, mdify, create a derivative wrk f, reverse engineer, reverse assemble, r therwise attempt t discver any surce cde r structure, sequence and rganizatin f, sell, assign, sublicense, distribute, rent, lease, grant a security interest in, r therwise transfer any right in the Sftware. Yu acknwledge that this license is nt a sale f intellectual prperty and that AT&T r its third-party licensrs, prviders, r suppliers cntinue t wn all right, title, and interest t the Sftware and related dcumentatin. The Sftware is prtected by the cpyright laws f the United States and internatinal cpyright treaties. Exprt Limits. Yu shall cmply with all exprt laws and restrictins and regulatins f the Department f Cmmerce, the United States Department f Treasury Office f Freign Assets Cntrl ("OFAC"), r ther United States r freign agency r authrity, and shall nt exprt, r allw the exprt r re-exprt f the Sftware in vilatin f any such restrictins, laws r regulatins. By dwnlading r using the Sftware, yu agree t the

11 freging and represent and warrant that yu are nt lcated in, under the cntrl f, r a natinal r resident f any restricted cuntry r n any such list. Restricted Rights. The Sftware is prvided with RESTRICTED RIGHTS. Use, duplicatin, r disclsure by the Gvernment is subject t restrictins as set frth in subparagraphs (a) thrugh (d) f the Cmmercial Cmputer Restricted Rights clause at 48 CFR when applicable, r in subparagraph (c)(1)(ii) f The Rights in Technical Data and Cmputer Sftware clause f DFARS and in similar clauses in the NASA FAR Supplement. Nn-AT&T Sftware, Services r Applicatins. Yur use f the Services may als include access t and use f sftware, services and/r applicatins which interact with the Services and which are prvided by nn-at&t third parties, and, when applicable, thse third-parties terms and cnditins apply t yur access t and use f such nn-at&t sftware, services and/r applicatins. AT&T is nt liable t yu fr any lss r injury arising ut f r caused, in whle r in part, by yur use f any such sftware, services, and/r applicatins accessed thrugh, r in cnjunctin with, the Service. NOTICE ABOUT AUTOMATIC SOFTWARE UPGRADES. AT&T, r its applicable third-party licensrs may prvide Sftware upgrades, updates, r supplements (such as, but nt limited t, adding r remving features r updating security cmpnents). Yu understand and agree that AT&T, r the applicable third-party licensr, have the unrestricted right, but nt the bligatin, t upgrade, update, r supplement the Sftware n the Equipment at any time. Althugh unlikely, Sftware upgrades, updates, r supplements culd reset yur Equipment and erase saved preferences and stred cntent. 13. DISCLAIMER OF WARRANTIES YOU EXPRESSLY UNDERSTAND AND AGREE THAT: 1. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AT&T EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. 2. AT&T MAKES NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS, OR (v) THE SERVICES WILL NOT CONFLICT OR INTERFERE WITH OTHER SERVICES FROM AT&T OR THIRD PARTIES THAT YOU RECEIVE AT YOUR PREMISES. 3. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM AT&T OR THROUGH OR FROM THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TOS. 14. LIMITATION OF LIABILITY YOU EXPRESSLY UNDERSTAND AND AGREE THAT, UNLESS PROHIBITED BY LAW, AT&T SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR PERSONAL INJURY, PROPERTY DAMAGE, LOSS OF REVENUE OR PROFITS, BUSINESS OR GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF AT&T HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (a) USE OF THE SERVICES (WHICH INCLUDES EQUIPMENT, SOFTWARE, AND INSIDE OR OUTSIDE WIRING), (b) THE PERFORMANCE OR NONPERFORMANCE OF THE SERVICES, (c) THE INSTALLATION, MAINTENANCE, REMOVAL, OR TECHNICAL SUPPORT OF THE SERVICES, EVEN IF SUCH DAMAGE RESULTS FROM THE NEGLIGENCE OR GROSS NEGLIGENCE OF AN AT&T INSTALLER, TECHNICIAN, OR OTHER REPRESENTATIVE, AND/OR (d) ANY INABILITY TO REACH 911 EMERGENCY SERVICES, ANY ALLEGED INTERFERENCE WITH ALARM OR MEDICAL MONITORING SIGNALS, OR ANY FAILURE OF ALARM OR MEDICAL MONITORING SIGNALS TO REACH THEIR INTENDED MONITORING STATIONS ALLEGEDLY AS A RESULT OF THE SERVICES. IN ANY EVENT, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH AT&T IN CONNECTION WITH THE SERVICE IS A REFUND NOT TO EXCEED THE TOTAL AMOUNT OF SERVICE FEES PAID DURING THE IMMEDIATELY PRECEEDING TWELVE MONTH PERIOD. 15. All websites, crprate names, service marks, trademarks, trade names, lgs, and dmain names (cllectively "Marks") f AT&T r third-party prviders are and shall remain the exclusive prperty f AT&T r third-party prviders, and nthing in this Agreement shall grant yu the right r license t use such Marks. 18. CREDIT REPORTING AUTHORIZATION As permitted under applicable laws and withut limitatin t ther rights prvided in these TOS r ther applicable plicies, yu authrize AT&T t (a) disclse yur accunt infrmatin, including yur payment histry and cnfidential infrmatin, t credit reprting agencies r private credit reprting assciatins, and (b) peridically btain and use yur credit reprt and ther credit infrmatin frm any surce in cnnectin with AT&T's ffering f the Services and ther services. Yu understand that if yu fail t fulfill the terms f yur bligatins under these TOS, AT&T may reprt yur failure t a credit reprting agency. 19. ASSIGNMENT AT&T may assign these TOS and its rights and bligatins pertaining t the prvisin f the Services, r parts theref, t a parent r affiliated cmpany withut ntice t yu. Yu may nt assign these TOS r yur rights r bligatins pertaining t the Services r any parts theref withut the written cnsent f AT&T. 20. MISCELLANEOUS PROVISIONS 1. These TOS d nt prvide any third party with a remedy, claim, r right f reimbursement. 2. These TOS, any plicies, guidelines, r ther dcuments referenced herein, the prvisins set frth in any marketing and infrmatinal materials r prmtinal ffers fr the Services, and the terms and cnditins psted n the AT&T U-verse website cnstitute the entire agreement between AT&T and yu and supersede any prir agreements between yu r AT&T with respect t the subject matter f these TOS. 3. These TOS and the relatinship between yu and AT&T will be gverned by the law f the state f yur billing address except t the extent such law is preempted by r incnsistent with applicable federal law. In the event f a dispute between us, the law f the state f yur billing address at the time the dispute is cmmenced, whether in litigatin r arbitratin, shall gvern except t the extent that such law is preempted by r incnsistent with applicable federal law. 4. The failure f AT&T t exercise r enfrce any right r prvisin f these TOS will nt cnstitute a waiver f such right r prvisin. 5. If any prvisin f these TOS is fund by a curt r agency f cmpetent jurisdictin t be unenfrceable, the parties nevertheless agree that the remaining prvisins f these TOS shall remain in full frce and effect. The freging des nt apply t the prhibitin against class r representative actins that is part f the arbitratin clause; if that prvisin is fund t be unenfrceable, the arbitratin clause (but nly the arbitratin clause) shall be null and vid. 6. T the fullest extent permitted by law, yu and AT&T agree that regardless f any statute r law t the cntrary, any claim r cause f actin arising ut f r related t use f the Service r these TOS must be filed within ne (1) year after such claim r cause f actin arse r be frever barred. 7. The sectin titles and paragraph headings in these TOS are fr cnvenience nly and have n legal r cntractual effect. SCHEDULE 1 AT&T U-VERSE VOICE I. Service Descriptin AT&T U-verse Vice is a residential enhanced vice cmmunicatin service that cnverts vice cmmunicatins int Internet Prtcl (IP) packets that are carried ver AT&T's IP netwrk. It may be generically referred t as "vice ver IP" r "VIP." The Service includes direct-dialed calling and certain calling and call management features r advanced features assciated with the Service, including additinal features r advanced features which may be ffered at additinal csts, all f which AT&T, in its sle discretin, may add, mdify, r delete frm time t time. The Service als includes a telephne number r numbers that will be included in AT&T printed directries and/r directry assistance databases, and ptins, available at additinal csts, t have

13 numbers withheld frm AT&T printed directries and/r directry assistance databases. The Service is nt available fr business use. It is nt mbile r nmadic and will functin nly in yur hme. When yu accept these TOS, yu becme the main accunt hlder fr each telephne number assigned t the AT&T U-verse Vice service and all plans, features, and functinalities assciated with each telephne number, whether thse telephne numbers, plans, features, and functinalities are purchased initially r are added subsequently. These TOS apply t all such telephne numbers, and t the Service and the plans, features, and functinalities assciated with the Service, fr bth the main accunt and all sub accunts. Yu will be asked t chse a unique name fr the main accunt (yur main accunt ID). Subaccunts. Yu may create up t ten subaccunts under yur main accunt, fr thers in yur husehld (each subaccunt will have a separate passwrd and ID). Main accunt hlders are respnsible fr all activity n their main accunt and n any and all subaccunts. Vilatins f these TOS in a main accunt r in a subaccunt can result in suspensin r terminatin f the main accunt and all assciated subaccunts. Call histries (call lgs fr utging, answered, and missed calls) fr each telephne number are accessible in the main accunt and in each subaccunt created under the telephne number. Main accunt hlders can reset subaccunt passwrds and IDs by cntacting Custmer Service and can delete and recreate subaccunts. Yu agree t advise all subaccunt hlders that the main accunt hlder can have access t all aspects f their subaccunt, including, but nt limited t, feature settings, vic messages, and address bks. All subaccunt hlders can therefre have n expectatin f privacy vis-à-vis the main accunt hlder with regard t any aspect f the subaccunt. II. Billing And Payments Fr AT&T U-verse Vice service, nnrecurring and usage-based charges generally billed in the billing cycle fllwing the transactin include, but are nt limited t, internatinal calling (including surcharges fr internatinal terminatin t a wireless phne number), Operatr Services, Directry Assistance (411 r xxx ), call trace, and verage minutes assciated with defined minutes-f-use plans (e.g. U-verse Vice 500 plan). Partial minutes are runded up fr per-minute usage charges. III. Service-Specific Equipment AT&T U-verse Vice service requires a regular tuchtne landline telephne, which yu must supply and which must be cnnected t the RG r inid, either directly r thrugh yur hme's inside wiring. (Rtary and pulse phnes will nt wrk). The RG r inid will supprt up t tw U-verse Vice lines (telephne numbers used fr inbund and utbund calling). Yu agree that neither yu nr a third party will mve Equipment used fr AT&T U-verse Vice service within yur premises r t any ther physical lcatin utside f the premises where it was installed by AT&T. AT&T U-verse Vice service is nt designed t be nmadic and will nt functin prperly if the RG is mved r altered by a nn-at&t emplyee. If yu require the RG t be mved, yu must cntact AT&T. Failure t d s may result in a failure f the Service and/r in AT&T's terminatin f yur Service. IV. Interruptins, Limitatins, And Mdificatins t Service Since vice ver IP is dependent n the IP netwrk, the availability f an adequate pwer supply, and crrect Equipment cnfiguratin, AT&T des nt guarantee that AT&T U-verse Vice service will be cntinuus r errr-free. Yu acknwledge and understand that AT&T cannt guarantee that vice ver IP cmmunicatin is cmpletely secure. Yu als acknwledge that AT&T may establish general practices and limits cncerning use f the AT&T U-verse Vice service, including withut limiting ther limitatins set frth in these TOS r therwise, AT&T U-verse Vice service cannt be used t make r receive peratr-assisted cllect r third-party billing calls, nr can AT&T U-verse Vice service be used t make 900/976 calls; area cde 500, 700, and 710 calls; XXX dialarund calls; r internatinal peratr r directry assistance calls. Als, the ability t call certain N11 services (211, 311, 511) may nt be available. AT&T als limits the maximum number f days that messages will be retained; the maximum number messages that will be retained by the Service; the maximum size f any message; and the maximum disk space that will be alltted n AT&T's servers n yur behalf. Yu agree that AT&T will have n respnsibility r liability fr the deletin, fr failure t stre r t deliver any messages and ther cmmunicatins, fr the mdificatin r malfrmatin f cmmunicatins ver the AT&T U-verse Vice service, r fr ther cntent maintained r transmitted by AT&T U-verse Vice service. Yu acknwledge that AT&T reserves the right t lg ff accunts r discnnect sessins that are inactive fr an extended perid f time. Yu further acknwledge that AT&T reserves the right t change these general practices and limits at any time withut advance ntice. If yu als purchase AT&T U-verse TV call histry, infrmatin fr all missed and answered calls can be displayed n yur TV screen and cannt be PIN prtected. Call histry fr dialed calls cannt be displayed n yur TV screen. Als, Caller ID infrmatin may be displayed n yur TV screen at the time yu purchase AT&T U-verse Vice and AT&T U-verse TV r in later iteratins f the Services.

YOU ACKNOWLEDGE AND UNDERSTAND THAT AT&T U-VERSE VOICE REQUIRES ELECTRICAL POWER TO FUNCTION AND THAT YOU THEREFORE MUST AT ALL TIMES MAINTAIN A WORKING BACKUP BATTERY FOR YOUR inid, RG AND YOUR ONT (IF YOU HAVE ONE). YOU ACKNOWLEDGE AND UNDERSTAND THAT IT WILL TAKE APPROXIMATELY 18 HOURS TO CHARGE AN INITIAL BACKUP BATTERY AFTER U-VERSE VOICE IS INSTALLED AND/OR AFTER A REPLACEMENT BATTERY IS INSTALLED. YOU ACKNOWLEDGE AND UNDERSTAND THAT TO CONSERVE BATTERY POWER DURING A POWER OUTAGE, YOU SHOULD NOT ATTEMPT TO USE THE BACKUP BATTERIES FOR ANY PURPOSE OTHER THAN TO POWER YOUR U-VERSE VOICE SERVICE (OR TO POWER YOUR INTERNET CONNECTION, FOR THE PURPOSE OF POWERING YOUR HOME ALARM, IF YOU HAVE AN IP-BASED HOME ALARM THAT USES AT&T U-VERSE HIGH SPEED INTERNET). YOU ACKNOWLEDGE AND UNDERSTAND THAT THE BACKUP BATTERIES INITIALLY SUPPLIED BY AT&T DO NOT PROVIDE POWER FOR CORDLESS PHONES AND THAT, IF YOU ARE USING A CORDLESS PHONE WITH YOUR AT&T U-VERSE VOICE SERVICE, A SEPARATE BACKUP BATTERY OR OTHER POWER SOURCE MAY BE REQUIRED IF THERE IS A POWER OUTAGE. YOU ACKNOWLEDGE AND UNDERSTAND THAT YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHEN THE inid, RG AND ONT BACKUP BATTERIES REQUIRE REPLACEMENT AND FOR REPLACING AND RECYCLING USED BATTERIES IN ACCORDANCE WITH MANUFACTURER OR VENDOR DIRECTIONS. YOU ALSO ACKNOWLEDGE AND UNDERSTAND THAT YOU ARE SOLELY RESPONSIBLE FOR OBTAINING AND MAINTAINING BACKUP BATTERIES OR OTHER SOURCES OF POWER FOR ANY CORDLESS PHONES YOU USE WITH YOUR U-VERSE VOICE SERVICE. AT&T U-verse Vice 911 Limitatins YOU HEREBY ACKNOWLEDGE AND AGREE TO ALL OF THE INFORMATION BELOW REGARDING THE LIMITATIONS OF 911 SERVICE OVER AT&T U-VERSE VOICE SERVICE AND THE DISTINCTIONS BETWEEN 911 SERVICE OVER AT&T U-VERSE VOICE SERVICE AND 911 SERVICE OVER TRADITIONAL WIRELINE TELEPHONE SERVICE. YOU AGREE TO ADVISE ALL INDIVIDUALS WHO MAY PLACE CALLS OVER AT&T U-VERSE VOICE SERVICE OF THE 911 LIMITATIONS DESCRIBED BELOW. AT&T MAKES NO WARRANTY THAT AT&T U-VERSE VOICE SERVICE FOR ACCESS TO 911 WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OR BATTERY BACKUP POWER WILL BE SUFFICIENT TO MAINTAIN THE SERVICE THROUGHOUT ANY AND/OR ALL POWER OUTAGES. 911 SERVICE OVER AT&T U-VERSE VOICE SERVICE IS ONLY AVAILABLE AT YOUR SERVICE ADDRESS, WHILE CONNECTED TO A PROPERLY POWERED inid, OR RG (AND A PROPERLY POWERED ONT, IF APPLICABLE) AND AFTER AT&T U-VERSE VOICE HAS BEEN ACTIVATED. 911 SERVICE OVER AT&T U-VERSE VOICE SERVICE WILL NOT FUNCTION IF YOUR inid OR RG FAILS OR IS NOT CONFIGURED CORRECTLY OR IF YOUR AT&T U-VERSE VOICE IS INTERRUPTED OR NOT FUNCTIONING FOR ANY REASON, INCLUDING, BUT NOT LIMITED TO, IN THE EVENT OF A POWER OUTAGE (UNLESS YOU HAVE WORKING BACKUP BATTERY POWER), NETWORK OUTAGE, OR DISCONNECTION OF YOUR SERVICE BECAUSE OF BILLING ISSUES. IF THERE IS A POWER OUTAGE, YOU MAY BE REQUIRED TO RESET OR RECONFIGURE THE EQUIPMENT PRIOR TO BEING ABLE TO USE YOUR SERVICES, INCLUDING USE FOR 911 CALLING. YOU ACKNOWLEDGE THAT AT&T STRONGLY RECOMMENDS YOU MAINTAIN AT ALL TIMES AN ALTERNATIVE MEANS OF ACCESSING 911 SERVICES, SUCH AS VIA CELLULAR TELEPHONE SERVICE. YOU ACKNOWLEDGE AND UNDERSTAND THAT AT&T WILL NOT BE LIABLE FOR ANY LOSSES INCURRED DIRECTLY OR INDIRECTLY AS A RESULT OF SERVICE OUTAGE AND/OR INABILITY TO DIAL 911 USING YOUR AT&T U-VERSE VOICE SERVICE OR INABILITY TO ACCESS EMERGENCY SERVICE PERSONNEL FOR ANY REASON, INCLUDING BUT NOT LIMITED TO THE 911 CHARACTERISTICS AND LIMITATIONS SET FORTH IN THIS DOCUMENT AND/OR THE CHARACTERISTICS, LIMITATIONS, AND/OR FAILURE OF THE 911 NETWORK ITSELF. WITHOUT LIMITING ANY PROVISIONS OF THE TOS, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS AT&T, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, DIRECTORS, EMPLOYEES, AND ANY OTHER SERVICE PROVIDER WHO FURNISHES SERVICES TO YOU IN CONNECTION WITH THE AT&T U-VERSE VOICE SERVICE, FROM ANY AND ALL CLAIMS, LOSSES (INCLUDING LOSS OF PROFITS OR REVENUE), LIABILITIES, DAMAGES, FINES, PENALTIES, DEMANDS, ACTIONS, COSTS, AND EXPENSES (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEY FEES) BY, OR ON BEHALF OF YOU OR ANY THIRD PARTY OR USER OF THE AT&T U-VERSE VOICE SERVICE, REGARDLESS OF THE NATURE OF THE CLAIM, INCLUDING WITHOUT LIMITATION CLAIMS RELATED TO 911 DIALING, ARISING FROM OR IN CONNECTION WITH ANY FAILURE OR OUTAGE OF AT&T U-VERSE VOICE SERVICE OR ANY FAILURE OR OUTAGE OF THE 911 NETWORK ITSELF. VI. Hme Alarm and Other Device Cmpatibility AT&T MAKES NO WARRANTY THAT (i) AT&T U-VERSE VOICE SERVICE USED AS A COMMUNICATIONS PATHWAY FOR MONITORED BURGLAR ALARMS, MONITORED FIRE ALARMS, AND/OR MEDICAL MONITORING SYSTEMS OR DEVICES, WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (ii) THE SERVICE WILL

YOU ACKNOWLEDGE AND UNDERSTAND THAT IF YOU CHANGE OR MODIFY YOUR INSIDE WIRING, MOVE OR RECONFIGURE YOUR RG IN ANY WAY, OR PLUG ANY TELEPHONE EQUIPMENT INTO THE BACK OF THE RG IT COULD RESULT IN A FAILURE OF YOUR MONITORED BURGLAR ALARM OR MONITORED FIRE ALARM SYSTEM. BY ACCEPTING THESE TOS, YOU USE AT&T U-VERSE VOICE SERVICE AT YOUR OWN RISK AND WAIVE ANY CLAIM AGAINST AT&T FOR INTERFERENCE WITH OR DISRUPTION OF A MONITORED FIRE ALARM OR BURGLAR ALARM SYSTEM, A MEDICAL MONITORING DEVICE, OR OTHER SUCH SYSTEMS OR DEVICES DUE TO THE AT&T U-VERSE VOICE SERVICE. Lcal Number Prtability In the event yu are transferring an existing phne number fr yur AT&T U-verse Vice service (i.e., prting a number t AT&T U-verse Vice service), yu hereby authrize AT&T t prcess yur rder fr AT&T U-verse Vice and t ntify yur existing prvider f yur decisin t switch yur lcal, lcal tll, and lng distance services t AT&T U-verse Vice service, and yu represent that yu are authrized t take this actin. Nt all telephne numbers are eligible fr prting t AT&T U-verse Vice service. VIII. AT&T U-verse Vic AT&T U-verse Vice service includes AT&T U-verse Vic , a full-featured vic service. If yu access yur AT&T U-verse Vic vice mailbx frm utside yur lcal calling area, yu may incur applicable lcal tll r lng distance charges. In additin, AT&T U-verse Vic service allws yu the ptin t integrate yur AT&T wireless service vice mailbx with yur AT&T U-verse Vic mailbx. (Wireless service frm AT&T must be separately purchased.) Calls frwarded t yur AT&T U-verse Vic vice mailbx frm yur wireless phne will nt incur airtime charges. Hwever, airtime charges may apply when using yur wireless handset t retrieve messages. Pager ntificatin allws yur pager t ntify yu when a message is received in yur U-verse Vic vice mailbx. Yur pager can have either an address r yur pager can have a telephne number assciated with it and must be set up thrugh the AT&T U-verse. Paging service and equipment must be purchased separately. Other restrictins may apply. AT&T Unified Vic may include a Vic -t-Text (VMTT) feature that prvides autmated transcriptin f yur vic . AT&T is nt respnsible nr liable fr: 1) errrs in the cnversin f r its inability t transcribe vic messages t text/ ; 2) lst r misdirected messages; r 3) cntent that is unlawful, harmful, threatening, abusive, bscene, trtius, r therwise bjectinable. We d nt filter, edit r cntrl vice, text, r messages, r guarantee the security f messages. We can interrupt, restrict r terminate VMTT withut ntice, if yur use f VMTT adversely impacts AT&T's netwrk, fr example that culd ccur frm abnrmal calling patterns r an unusually large number f repeated calls and messages; r if yur use is therwise abusive, fraudulent, r des nt cmply with the law.

16 Yu are slely respnsible fr and will cmply with all applicable laws as t the cntent f any text messages r s yu receive frm VMTT that yu frward r include in a reply t any ther persn. Yu authrize AT&T r a third party wrking n AT&T's behalf t listen t, and transcribe all r part f a vic message and t cnvert such vic message int text/ , and t use vic messages and transcriptins t enhance, train and imprve AT&T's speech recgnitin and transcriptin services, sftware and equipment. Yu agree that the results f benchmarking VMTT against cmpeting prducts r services is AT&T cnfidential infrmatin requiring AT&T written cnsent t disclse in accrdance with the BSA r RSA as may be applicable t yu. Additinal charges may apply t receiving n yur wireless device frm VMTT, as well as, replying t r frwarding VMTT messages via SMS (text) r , depending n yur plan. Transcriptin times cannt be guaranteed. Yu are respnsible fr prviding a crrect address and updating the address when changes t the accunt are made. IX. Suspensin/Terminatin Withut limiting ther rights set frth in these TOS, AT&T may either terminate yur AT&T U-verse Vice service r transfer yur AT&T U-verse Vice service t a different telephne number withut penalty, upn reasnable ntice, if AT&T stps prviding AT&T U-verse Vice service either generally r in yur area, if at any time 911 service ver AT&T U-verse Vice service is nt available, r fr ther reasns assciated with the prvisining f 911 service t yur premises. Hme Wiring Prtectin ( HWP ) is an ptinal plan ffered by AT&T Califrnia and AT&T Nevada (referred t herein as we, ur, r AT&T ) t prvide truble islatin and repair services fr inside cmmunicatins and caxial cable wiring used t prvide AT&T services, including, but nt limited t, AT&T U-verse services.1 These Terms and Cnditins are als referred t herein as the Agreement.. Imprtant Nte: Read these Terms and Cnditins carefully. Yur purchase f HWP cnstitutes yur agreement t them. If yu d nt agree t these Terms and Cnditins, call us immediately t cancel the service. When yu rder Inside Wire Prtectin, yu may cancel the service at n charge within 30 days fllwing the pstmarked date f these Terms and Cnditins. If these Terms and Cnditins were nt mailed t yu, but they were therwise prvided t yu prir t yur rder, yu may cancel the service at n charge within 30 days fllwing the date f yur rder. INTRODUCTION AT&T is respnsible fr maintaining its netwrk facilities. Yu are respnsible fr maintaining and repairing all cmmunicatins wiring (twisted pair) and caxial cable wiring inside yur premises and all assciated equipment (e.g., phnes/sft phnes, faxes, mdems, cmputers, mnitrs, televisins, etc.). Fr purpses f this Agreement, Inside Wire is the cmmunicatins and caxial cable wiring n yur side f the netwrk interface device (NID) r ptical netwrk terminal (ONT) that is used t prvide AT&T nn-tariffed services, up t and including yur cmmunicatins jacks and caxial cable utlets. The NID/ONT is usually a bx lcated n the utside f yur hme r business and is the demarcatin pint between Inside Wire and AT&T netwrk facilities. The purpse f the demarcatin pint is t separate the area f respnsibility between yu and AT&T. In multi-unit buildings, Inside Wire is the wire that is inside the walls f yur unit and that is dedicated t yur unit.2 Standard Inside Wire fr purpses f this Agreement is Inside Wire that meets, and has been installed in accrdance with, the specificatins utlined in the Natinal Electrical Cde and the Electrnic Industry Assciatin standards. If smething ges wrng with yur Inside Wire, yu have several chices. Yu can fix it yurself. Yu can have it fixed by a third party, such as an electrician. Alternatively, yu can call AT&T t fix it. If yu call AT&T, we will charge yu fr time and materials t fix the prblem if yu d nt subscribe t HWP. If yur service is lcated in rented r leased facilities, military husing, r a multi-unit building (apartment, drmitry, cndminium, cperative dwelling, nursing hme r ther grup living facility), yu shuld determine whether yu r yur landlrd/prperty manager are respnsible fr repairs t yur Inside Wire prir t subscribing t HWP. DESCRIPTION OF SERVICES HWP is an ptinal service that prtects AT&T custmers against unexpected charges fr repair f Standard Inside Wire, including repairs that result frm nrmal wear and tear. If yu subscribe t HWP and yu reprt a prblem with yur AT&T nn-tariffed service(s) and/r yur Inside Wire, we will perfrm standard diagnstics t determine where the prblem exists (truble islatin). We will als repair, as necessary, yur Standard Inside Wire, as well as cnnecting cmpnents that are used t prvide AT&T U-verse services, such as jack face-plates, cnnectrs, splitters, diplexers, baluns, shrt jumper cables, external adapters, and blcking filters ( Cvered Cmpnents ),3 subject t the Exclusins listed belw. Pwer supplies, Backup batteries, electrical wiring, residential gateways and receivers are nt cvered.4 Cmpnents that are nt used t prvide AT&T U-verse services are nt cvered. Inside Wire that is nt cnnected t AT&T netwrk facilities is nt cvered. Under HWP, we will repair r replace defective Standard Inside Wire and Cvered Cmpnents at n additinal cst t yu. (Yu pay nly yur mnthly HWP subscriptin charge.) At ur discretin, we will determine the manner in which repairs will be made. We will als decide the clr and specificatins f replaced wire, cmmunicatins jacks, cable utlets, and cnnecting blcks. Surface munting is the standard fr replacing cmmunicatins wiring and jacks. Requests fr replacement with cncealed cmmunicatins wiring requiring extra wrk may be subject t time and material charges. We reserve the right t dispatch a repair persn at ur discretin, since truble islatin can ften be perfrmed thrugh ur remte testing facilities. EXCLUSIONS The fllwing are NOT cvered under the InLine/HWP Plan: Inside Wire and Cvered Cmpnents rendered defective by bvius neglect r willful misuse; Wiring fr bat slips, special bat crds and jacks, and/r wiring fr recreatinal vehicle lcatins; Jacks lcated utdrs, except fr waterprf jacks lcated n the exterir f yur premises; Shared tenant service lcatins where tenants purchase services frm the building wner/manager r ther nn-at&t entity; Fr multi-unit dwellings, prblems ccurring in hrizntal and/r riser cable r prblems we are prevented frm accessing, fr example, by the wner f the prperty, by gvernment r military authrities (i.e., yu live n a military base), r by yur landlrd; Preventive maintenance fr Inside Wire r Cvered Cmpnents; Repair f cmplex Inside Wire assciated with multiple lines that use cmmn equipment. This includes

36 Inside Wire assciated with telephne statins that are a part f a key r PBX telephne system, repair f Inside Wire assciated with Centrex, Dimensin, and lines cnnected t cin telephnes; Re-installatin f Inside Wire beynd ne wrking jack where the wiring was destryed by fire, majr fld, r similar catastrphe; Installatin f new services, new extensins, r new jacks/cable utlets; Cnversin f hard-wired phnes and/r ther custmer equipment t mdular jacks/utlets; Jacks/cable utlet rewiring, relcatin, and/r rearrangements frm ne wrking line t anther; Mving/rearranging Inside Wire at the NID/ONT; Jacks/cable utlets withut wiring (nn-mdular) and/r cnversin f nn-mdular jacks/utlets t mdular nes; Custmer premises equipment; and Requests t check fr wire taps. CUSTOMER S RESPONSIBILITY If the wrk yu request requires cnduit; cutting and patching f finished walls, flrs and/r ceilings; r structure mdificatins, yu are respnsible fr arranging t have such wrk perfrmed by ther persns. After each repair visit, yu have the respnsibility t reestablish the cnnectin r verify prper functining f any equipment (e.g., phnes/sft phnes, faxes, mdems, cmputers, mnitrs, televisins, fire and burglar alarms, meters, sensrs, autmatic dialers, answering devices, and ther custmer premises equipment) cnnected t yur Inside Wire. It is yur respnsibility t reprgram any telephne numbers r cdes that have been extinguished as a result f the diagnstic testing we perfrm, which may include discnnecting such equipment frm the Inside Wire and/r discnnecting the Inside Wire frm the netwrk interface/ptical netwrk terminal. It is als yur respnsibility t ensure prper functining f any services ther than AT&T services, r t cntact the cmpany that prvides such services. CHARGES, TAXES AND FEES Billing fr HWP begins n the effective date f cverage. See sectin belw entitled Date f Effective Cverage. Yu agree t pay ur current charges fr HWP, as well as taxes and fees assessed against either yu r AT&T n the charges, and all late payment, interest r ther fees as stated n yur AT&T bill. Fr current prices, taxes r ther applicable fees, check yur AT&T bill r call the servicecenter at the number listed n yur mnthly AT&T bill. DATE OF EFFECTIVE COVERAGE HWP cverage is effective n the calendar day after rdering the HWP Plan. CANCELLATION OF SERVICE Yu may cancel HWP at any time by calling ur service center, withut incurring any cancellatin charge r discnnect fee. Charges are prrated t the date service is cancelled, unless yu cancel within 30 days f the date yu received these Terms and Cnditins. (See Imprtant Nte at beginning f these Terms and Cnditins.) We may cancel yur HWP if yu fail t timely pay the charges fr the plan; if yu repeatedly cause r permit damage t ccur t Inside Wire r Cvered Cmpnents; if a ruling, regulatin, statute, r rder issued r passed by a judicial, legislative r regulatry bdy causes AT&T t believe that these Terms and Cnditins may be in cnflict with such rules, regulatins r rders; r if we decide, in ur sle discretin, t cease prviding HWP in any particular gegraphic area, in all gegraphic areas, and/r under any particular circumstances r cnditins. LIMITED WARRANTY Identificatin and islatin f the cause f truble in an electrnic r fiber netwrk is smetimes difficult and time cnsuming, especially if the truble is frm multiple causes r is intermittent. Our sle respnsibility under HWP is t use reasnable skill, prcedures and equipment t lcate and fix the truble n Standard Inside Wire and Cvered Cmpnents, r t islate it t specific equipment (e.g., phnes/sft phnes, faxes, mdems, cmputers, mnitrs, televisins, etc.) r t specific Inside Wire. Except as therwise prvided in these Terms and Cnditins, if we are nt successful in identifying r eliminating the prblem, r if we d nt perfrm a repair r replacement crrectly, we will return t yur premises t crrect the cvered repair r replacement at n additinal charge. This warranty applies as lng as yu cntinue t subscribe t HWP. WE HEREBY EXPRESSLY DISCLAIM ALL AND ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, OR ANY IMPLIED WARRANTIES NOT EXPRESSLY GRANTED IN THESE TERMS AND CONDITIONS. LIMITATION AND EXCLUSION OF LIABILITY Neither we nr any f ur affiliated cmpanies, nr any f ur r their fficers, directrs, emplyees, r agents will be liable fr delays r failure t perfrm repairs due t circumstances beynd ur reasnable cntrl, including labr strikes r disputes, natural catastrphes, civil disturbances, weather, material shrtages, terrrism, unusual wrk lads, acts f Gd, fire, fld, acts f any gvernmental bdy, r any ther cause beynd ur r their reasnable cntrl. Our and their liability, in ttal, fr damages caused by r arising ut f a failure t perfrm the service cvered by HWP in a prper and timely manner, shall in n event exceed the lesser f (i) $100, r (ii) the actual cst t repair, replace r install the Standard Inside Wire fr AT&T U-verse Services and

Neither we nr any f ur affiliated cmpanies, nr any f ur r their fficers, directrs, emplyees, r agents will be respnsible r liable fr defacement r damage t custmer premises ccasined by drilling f hles, r in the attachment and remval f wiring and equipment with standard screws, staples, hks, fasteners and adhesives when perfrmed in a wrkmanlike manner. NEITHER WE NOR ANY OF OUR AFFILIATED COMPANIES, NOR ANY OF OUR OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE UNDER ANY CIRCUMSTANCES FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS DIRECTLY OR INDIRECTLY ARISING FROM THE PERFORMANCE OR NONPERFORMANCE OF SERVICES COVERED UNDER HWP. IN ADDITION, NEITHER WE NOR ANY OF OUR AFFILIATED COMPANIES, NOR ANY OF OUR OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE UNDER ANY CIRCUMSTANCES FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS FOR THE MALFUNCTIONING OR NON-FUNCTIONING OF APPARATUS CONNECTED TO YOUR INSIDE WIRE, SUCH AS AUTOMATIC DIALERS, FIRE AND BURGLAR ALARMS, METERS, SENSORS, ANSWERING DEVICES, TELEVISIONS, PERSONAL COMPUTERS, AND TELEPHONES. EXCLUSIONS AND LIMITATIONS SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE LIMITATIONS OR EXCLUSIONS IN THE SECTIONS ABOVE ENTITLED LIMITED WARRANTY AND LIMITATION AND EXCLUSION OF LIABILITY MAY NOT APPLY TO YOU. CHANGES TO TERMS AND CONDITIONS We reserve the right, in ur sle discretin, t cease prviding HWP in any particular gegraphic area, in all gegraphic areas, and/r under any particular circumstances r cnditins. We als reserve the right t amend these Terms and Cnditins and t revise prices. If there is such a change, and the change is a price increase r therwise materially affects yur rights under this Agreement, yu will be ntified in advance by a message n yur AT&T bill, r by sme ther written ntice. If yu d nt cancel HWP prir t the date f such change, yu will be bund by the new terms and/r charges until yu cancel HWP. GENERAL PROVISIONS In the event that any f the prvisins f this Agreement shall be invalid r unenfrceable, such invalidity r unenfrceability shall nt invalidate r render unenfrceable any ther prvisin f this Agreement, and this Agreement shall be cnstrued as if it did nt cntain such invalid r unenfrceable prvisin. TRANSFERABILITY AT&T may sell, assign r transfer yur HWP accunt and this Agreement t a third party withut ntice t yu. Yu may nt sell yur HWP accunt r this Agreement, and yu may nt assign r transfer yur HWP accunt r this Agreement withut AT&T s written cnsent. ENTIRETY OF AGREEMENT NO REPRESENTATIVE OF AT&T HAS THE AUTHORITY TO MAKE ANY REPRESENTATION, PROMISE, GUARANTEE, OR WARRANTY TO YOU OTHER THAN THAT STATED IN WRITING IN THIS AGREEMENT. THIS AGREEMENT CONSTITUTES THE COMPLETE AND EXCLUSIVE AGREEMENT AND UNDERSTANDING BETWEEN AT&T AND YOU CONCERNING THE PROVISION OF HWP. HWP is prvided in Califrnia by Pacific Bell Telephne Cmpany, d/b/a AT&T Califrnia, whse headquarters address is 525 Market Street, San Francisc, CA AT&T Califrnia is legally and financially bligated t perfrm all services prvided under HWP. The Netwrk Services Department f AT&T Califrnia, whse main departmental address is 2600 Camin Ramn, San Ramn, CA 94583, is respnsible fr prviding technicians t perfrm diagnstic and repair services under HWP. HWP is prvided in Nevada by Nevada Bell Telephne Cmpany d/b/a AT&T Nevada and AT&T Whlesale, whse headquarters lcatin is 645 E. Plumb Lane, Ren, NV AT&T Nevada is legally and financially bligated t perfrm all services prvided under HWP. 1 HWP des nt cver inside wiring that is used exclusively t prvide AT&T tariffed services, such as lcal exchange telephne service. WirePr inside wire repair service prvides cverage fr inside wiring used exclusively t prvide thse services as described in the WirePr sectin f the applicable Guidebk. If the same inside wiring is used t prvide bth AT&T tariffed services and AT&T services gverned by Guidebk, WirePr applies, except t the extent that HWP prvides

38 additinal cverage, such as cverage fr cnnecting cmpnents described under the heading Descriptin f Services in this Agreement, in which case this Agreement will als apply t the extent f the additinal cverage. 2 Inside Wire des nt include hrizntal r riser cable in the building (als referred t as intrabuilding netwrk cable r INC ). If yu live in a multi-demarc building, in which a separate NID is installed fr each unit (as ppsed t a single demarc fr the entire building), Inside Wire des include the wiring frm yur NID t the wiring inside the walls f yur unit. 3 Cvered Cmpnents may include wireless adapters, but nly if they were installed by AT&T in its sle discretin, in lieu f installing additinal wiring. Cvered Cmpnents may als include patch panels, but nly if installed by AT&T. 4 Repair services fr the residential gateway and receivers used t prvide AT&T U-verse services is included as part f the equipment rental prvisins in the applicable AT&T U-verse Terms f Service. Battery Backup Infrmatin Please retain fr yur recrds Histrically, telephne service has been pwered by electrical pwer within the telephne netwrk. Yur AT&T U-verse Vice service, including 911 dialing, is an enhanced vice cmmunicatins service that requires electrical pwer and will nt functin during a pwer utage withut battery backup pwer at yur premises. Therefre, yu must at all times maintain a wrking backup battery fr all f the fllwing cmpnents that apply t yur particular AT&T U-verse installatin. Please refer t the pictures belw t determine which type f unit(s) yu have. Yu may have a Residential Gateway (RG) (als knwn as Wireless Gateway) inside yur hme. AT&T prvides an initial RG battery backup unit, with an initial battery. All subsequent batteries are yur respnsibility. Residential Gateway (RG) and Battery Backup Unit (BBU) Yu may have an Optical Netwrk Terminal (ONT) in yur hme, apartment, r garage, r n the side f yur hme. If yu have an ONT, yu will als have an RG. AT&T prvides a Pwer Supply Unit (PSU) fr the ONT. AT&T supplies an initial battery in the PSU fr the first custmer at the premises. All subsequent backup batteries are yur respnsibility. If yu have an ONT, the PSU will be lcated inside yur hme, apartment r garage (within 100 feet f the ONT), and will lk like ne f the fllwing:

39 Yu may have an Intelligent Netwrk Interface Device (inid), in yur hme, apartment, r garage, r n the side f yur hme. AT&T prvides a Pwer Supply Unit (ipsu) fr the inid and an initial battery fr the first custmer f AT&T U-verse Vice service at the premises. All subsequent batteries are yur respnsibility. If yu have an inid, the ipsu will be lcated in a sheltered area either inside yur hme r in an attached structure, such as a garage, clset, r basement within 100 feet f the inid. After yu have determined which f these pieces f equipment yu have, refer t the relevant sectins belw t learn mre abut hw t mnitr yur specific type f backup battery r batteries, hw t get new batteries, and hw t install them. Imprtant Ntes: Yu are slely respnsible fr mnitring the backup batteries f yur applicable equipment t determine when they require replacement, and fr replacing and recycling used batteries in accrdance with manufacturer r vendr directins. AT&T shall have n liability fr the failure f yur service t functin during a pwer utage, including failure due t the absence r insufficiency f battery backup pwer. AT&T is nt respnsible fr nging maintenance r management f equipment, including the battery backup units prvided t AT&T U-verse Vice custmers. Yu must prperly dispse f yur ld battery. Yu can visit call2recycle.rg t find resurces in yur area fr recycling rechargeable batteries. If yu have an ONT r inid that is lcated in an area that yu d nt use regularly, check it peridically t ensure that yu receive any visual r audible warnings regarding the status f its battery backup. If there is a bradband netwrk utage, yur AT&T U-verse Vice service will nt functin and yu will nt be able t make 911 calls, since AT&T U-Verse Vice is prvided t yu ver a bradband (Internet Prtcl r IP ) netwrk. Yu shuld always have an alternative means f dialing 911, such as via a cellular telephne. T cnserve battery backup pwer fr necessary calls during a pwer utage, AT&T recmmends that yu DO NOT use any AT&T U-verse service ther than AT&T U-verse Vice. Hwever, if yu d want t use ther AT&T U-verse services (high-speed Internet and/r TV) during a pwer utage, yu must have battery backup pwer fr the RG, ONT, and/r inid (as applicable), as well as pwer fr yur devices. Fr example, t use yur AT&T U-verse Internet service during a pwer utage, yu must prvide battery backup pwer fr yur cmputer (such as an Uninterruptible Pwer Surce [UPS], available at certain hme and electrnics stres). The backup batteries will nt pwer crdless phnes r ther equipment, such as telecmmunicatins devices used t assist custmers with disabilities, that are cnnected t the telephne line and require electricity frm the custmer s premises. If yu have a mnitred hme alarm that uses AT&T U-verse Vice r Internet service as the cmmunicatins pathway, yur mnitred hme alarm will nt functin during a pwer utage withut battery backup pwer fr yur hme alarm panel (if necessary) and fr yur AT&T U-verse Vice r Internet service, as applicable. If yu have a mnitred hme alarm, yu shuld never plug a multi-line phne directly int the RG as it culd interfere with the alarm signals. AT&T recmmends that yu have a crded single-line phne t use with AT&T U-verse Vice during a pwer utage. This shuld be directly cnnected t yur in-hme wiring, r if yu have a Residential Gateway, the crded phne can be directly cnnected t the RG. If yu cnnect mre than ne crded phne, it will use mre pwer. Remember that rtary and pulse phnes d nt wrk with AT&T U-verse Vice service.

40 If yu cnnect a crdless phne, it will nt functin withut a separate battery backup, and nt all crdless phnes are s equipped. Yu are slely respnsible fr btaining and maintaining backup batteries r ther surces f pwer fr any crdless phnes yu use with yur AT&T U-verse Vice Service. Incrrect r substitute battery cnnectin replacement creates a risk f explsin. Batteries are intended fr installatin and peratin in a cntrlled envirnment (e.g., inside the garage area, free f cnductive cntaminants). Refer any repair issues nly t qualified AT&T technicians. Mnitring and/r replacing batteries are nt cnsidered repair issues. In the event f extended pwer utages, prtable generatrs with 120-vlt utlets and extensin crds can pwer the RG, ONT, r inid. See manufacturer details fr perating and safety prcedures befre using a prtable generatr. Other 120-vlt PSU backup slutins (e.g., Uninterruptible Pwer Surces [UPSs] and Duracell Standby Pwer Plugs) may be available at certain hme and electrnics stres. If yu have any additinal questins, please call If yu have a Residential Gateway (RG) The RG is lcated inside yur huse and uses electrical pwer t deliver all yur AT&T U-verse services. The backup battery unit fr the RG must be installed inside yur huse within apprximately 5 feet f the RG and shuld be easily accessible. Backup Battery fr RG: Yur RG backup battery will prvide apprximately fur hurs f backup pwer when equipped with a new, fully charged CSB- r YUASA-branded battery, r ther battery recmmended r supplied by Belkin, with ne crded, single-line tuch-tne phne cnnected t the AT&T U-verse Residential Gateway directly r thrugh yur in-hme wiring, and with n ther equipment and n service ther than AT&T U-verse Vice service drawing pwer frm the RG backup battery. Actual results will vary, depending n, amng ther things, battery age, usage patterns, and envirnmental cnditins, including temperature extremes and fluctuatins. It takes apprximately 18 hurs at nrmal indr temperatures t charge an initial battery after AT&T U-verse Vice is installed and/r after a replacement battery is installed. When t replace the RG backup battery When the battery is lw, the yellw LED n the frnt panel will flash and the audible alarm will sund every secnd. Yu shuld purchase a new backup battery when this happens. The alarm will cntinue until the battery is depleted and the unit perfrms a frced shutdwn. The red LED n the frnt panel will flash and the audible alarm will sund every tw secnds when the battery has reached the end f its useful life yu must replace the battery as sn as pssible t ensure prper peratin f the RG backup battery. Hw t replace the RG backup battery Discnnect the RG battery backup unit frm pwer and any cnnected devices. Remve the battery dr n the rear f the device. Remve the battery frm the enclsure; remve the wire cnnectins frm the battery. Cnnect the new battery (black-t-black, red-t red); place the battery int the enclsure. Securely recnnect the battery dr. AT&T installs an initial pwer supply unit (PSU) and battery fr the ONT when the first resident at the premises rders AT&T services. AT&T des nt install a new battery at a premises where a prir ccupant had initiated AT&T service. The PSU cnverts the AC pwer in yur hme t the DC pwer required by the ONT. This unit als huses the backup battery. The PSU must be placed within 100 feet f the ONT and is installed inside yur hme r garage. If a pwer utage ccurs, yu will nt be able t make r receive calls, including 911 calls, unless yu have backup pwer fr bth the ONT and the RG. Backup Battery fr ONT: A new, fully charged ONT backup battery will prvide fur t eight hurs f backup pwer. It takes apprximately eight hurs at nrmal temperatures t charge an initial r replacement battery. Actual results will vary, depending n, amng ther things, battery age, usage patterns, and envirnmental cnditins, including temperature extremes and fluctuatins. When t replace the ONT backup battery First, determine which type f pwer supply unit (PSU) yur ONT has by checking the serial number n the frnt f the PSU (the serial number is designated with S/N ). If the S/N starts with DAE, this is a Delta PSU. If the S/N starts with CYB this is a CyberPwer PSU. Otherwise, it is an APC mdel. The tw APC PwerShield PSU mdels lk the same but have different features. T determine the mdel number, lsen the screws in the battery cmpartment lcated at the bttm left f the PSU, lift up the PSU, and lk at the mdel number n the back f the unit. The Replace Battery status light will be red if the battery needs t be replaced. An audible alarm will als sund, with ne beep every fifteen minutes, when the battery needs t be replaced. When the pwer supply begins using battery pwer, it will beep nce and then remain silent. If the battery begins t run lw while running n battery pwer, the alarm will beep fur times per minute. The alarm can be silenced fr 24 hurs by pushing the blue buttn n the frnt f the pwer supply. The Missing Battery status light will be green if n battery is cnnected t the pwer supply.
