The requirethehts contained herein apply to the required minimum areas. _Signage that is in excess of the required minimum areas is not required to comply with this Schedule. Unless otherwise specified, the requirements set forth in this Schedule are in addition to the requirements as set forth in the other Schedules that comprise DUO. In no event shall satisfaction of the requirements herein be deemed to be satisfaction of the requirements of any of the other Schedules of DUO. 1. Definitions Animation shall mean that portion of a sign whose surface area is either (i) electrically animated either by means of flashing borders, writing, pictorial representations, emblems or other figures of similar character or by means of flashing sign surface area serving as a background thereto, or, (ii) mechanically animated. In the case of electrical animation, an animated area shall change color or pattern no less often than every thirty-five (35) seconds. At no point in the animation sequence may the sign be unlit for more than one second. Area of a sign shall mean the area within the perimeter of the sign which shall mean either (1) a defined boundary of the sign or (2) where there is no defined boundary, an imaginary line which connects the outer edges of the letters or graphics in the sign. Direct Source Lighting shall mean exposed neon, bulbs or other point or line source lighting that is mounted on the surface of the sign and is an integral component of the sign. Direct Source Lighting shall include Signage Techniques H through M and P as herein described in Appendix A. Display Window Signage shall mean any permanent signage located within the Tenant Display Area. Floodlit Sign shall mean any sign that has its ~urface illuminated by an external source of lighting. Floodlit sign shall include Signage Techniques A,B, B, and P as herein described in Appendix A. Marquee shall mean a permanent canopy projecting over an entrance which advertises a theater or similar store with a changing program.

Other Retail Signage shall mean permanent signage located anywhere over the storefront from grade to top of Retail Sign other than Retail Sign, Display Window Signage and Undersill Signage. Perpendicular Signs shall mean a sign set at an angle in plan between 45 and 900 with respect to the building wall. In the event that a Perpendicular Sign has understandable commercial signage on both sides, both sides shall be counted towards the Area requirement. Perpendicular Signs used to meet the Signage Technique requirements for Projecting Signs shall extend from the building wall by a minimum of three (3) feet. Premises shall mean all buildings and land within a property line; where there is no building, Premises shall mean the area completely within the property line. Projecting Signs shall include Perpendicular and/or Three-Dimensional signs as described herein. Retail Sign shall mean the signage located directly above a Store. or a group of signs. It may be a single Self Illuminated Sign shall mean any sign which is lit from within and where the light source is not directly visible. Self-Illuminated Signs shall include Signage Techniques C, D, F, G, and P as herein described in Appendix A. Signage Technique shall mean the individual signage technologies listed in Appendix A. Store shall mean the activity in each separately demised space located in this Site, excluding Main Entrance lobbies. Storefront shall be defined as per Schedule I-I, Section 1. Tenant Display Area shall be defined as that area of a Store located between the exterior of the Storefront glass and the area where the goods are displayed. Three-Dimensional Sign shall mean a sign that renders a recognizable object in threedimensions. If the object is fully three-dimensional, the two largest adjacent elevations shall be counted towards the Area requirement. If the object is in relief, the front elevation shall be counted towards the Area requirements. Undersill Signage shall mean permanent signage located on the bulkhead below the storefront sill. Vitrines shall mean a lighted, glass-fronted display case that encloses advertising for changing entertainment programs in the Store to which they are attached.

2.0 ~tdjsla 2. 1 Purpose: The purpose of the tenant display requirements is to promote a sense of liveliness and safety for pedestrians by assuring that the interiors of all Stores are clearly visible from the street, and that displays are brightly illuminated. 2.2 Applicability: The tenant display requirements apply to the Tenant Display Area of a Store that has retail uses. 2.3 Design:. The selling area of the store shall be substantially visible from the sidewalk adjacent to the store. No shadow boxes are permitted within ten (10) feet of the Tenant Display Area. 2.4 Illumination: For all non-eating and drinking establishments the Tenant Display Area shall be brightly lit within ten (10) feet of the Tenant Display Area. The Store window shall contain a highlight which shall provide a minimum of ten percent (10%) of the area of the Storefront window with a minimum brightness of seven hundred fifty (750) footcandles. Illumination of retail Storefront window shall be measured at the display located behind the Storefront window. Eating and drinking establishments are not subject to the Tenant Display Area Illumination requirement. 2.5 Hours of Operation: The Tenant Display Area shall remain lighted from the Store opening until the Store closes, or until 1:00 AM., whichever is later, seven (7) days per wtek. 2.6 Compliance: Each Store shall fully comply with the requirements of this Section 2 by the date that the Store first opens for business. 3.0 Retail Signage 3.1 Purpose: The purpose of the requirements is to create a lively, commercially oriented streetscape that is bright and safe and looks unplanned. 3.2 Applicability: Retail signage requirements refer to Retail Signs, Display Window Signage, Undersill Signage and Projecting Signs located on 42nd Street from grade to top of the Retail Sign (collectively, Retail Signage ). Projecting Signs may also be located above the Retail Sign. Retail Signage is required on Stores that have retail use.

3.3 Minimum Area Requirements: One thousand five hundred forty (1540) square feet of which not less than one thousand two hundred twenty-four (1224) square feet shall be distributed as follows: Retail Signs: Display Window Signage: Projecting Signs: Undersill Signage: Other Retail Signage: 816 square feet 85 square feet 300 square feet 23 square feet No requirements 3.4 Design: The Retail Signage shall not create a unified or coordinated retail signage system with respect to color, typeface, or other design characteristics among the various Stores. The same signage technique, animation and colors shall not be used on adjacent Stores except that color and typeface for Retail Signage shall be the same as that normally used by the Store if the Store is part of a national or regional chain. If the Store is not part of a chain, the color, typeface, and other characteristics for its Retail Signage shall express the individuality of the Store operator. In addition: Retail Signs: The bottom and top edges of a Retail Sign shall not align with bottom and top edges of the retail Sign on the adjacent Stores more than twice. Reasonable efforts shall be made to vary the depth of signs on adjacent Stores by a minimum of six (6) inches on at least 50% of adjacent Stores. Display Window Signage: Undersill Signage: Projecting Signs: Other Retail Signage: No requirements. No requirements. No requirements. No requirements. 3.5 Signage Techniques: Retail Signage shall use the Signage Techniques attached as Appendix A unless otherwise approved by the Landlord, and shall also meet the following requirements: Retail Signs: No individual Signage Technique shall be used on more than 30% of the Retail Signs. Signage Technique H through M shall be used in not less than 50% of the Retail Signs. ~. euia~w~r

Display Window Signage: No requirements. However, Signage Techniques H through M are used most often and are therefore strongly encouraged. Signage Techniques H and I shall be considered to be the same technique. Undersill Signage: No requirements. Projecting Signs: No individual technique shall be used more than twice. Signage Techniques H through M shall be used on minimum 40% of the signs. Other Retail Signage: No requirements. For purposes of calculating square footage requirements by technique, each technique used in the sign shall be counted. 3.6 Animation: Retail Signs: A minimum of 20% of the Retail Signs shall be animated. Display Window Signage: Undersill Signage: Projecting Signs: Other Retail Signage: A minimum of 10% of the Display Window Signagé shall be animated. No requirements. A minimum of 10% and a maximum of 60% of the Projecting Signs shall be animated. No requirements. 3.7 Illumination: Retail Signs: Display Window Signage: Minimum average brightness of the aggregate of non-floodlit signs shall be fifty hundredths (.50) LUTS, measured in accordance with Appendix B. Minimum average brightness of Floodlit signs shall be 35 footcandles. Minimum average brightness of the aggregate of non-floodlit signs shall be 0.25 LUTS measured in

accordance with Appendix B. Minimum average brightness of Floodlit signs shall be 30 footcandles. Undersill Signage: Projecting Signs: Other Retail Signage: No requirements. Minimum average brightness of the aggregate of non-floodlit signs shall be 0.33 LUTS measured in accordance with Appendix B. Minimum average brightness of Floodlit signs shall be 35 footcandles. No requirements. If Tenant desires to use a colored neon that could prevent compliance with the overall level of illumination for the site, Landlord at its sole discretion may approve the proposed neon if it contributes toward variety across the site in color and design. 3.8 Hours of Operation: Signs shall remain lighted from Store opening to Store closing or 1:00 AM., whichever is later, seven (7) days per week. 3.9 Compliance: Each Store shall fully comply with the requirements of this Section 3 by the date that the Store first opens for business. 4.0 MarQuees Signage 4.1 Purpose: The purpose of the Marquee Signage requirements is to ensure that the Marquees remain an essential part of the 42nd Street streetscape and add another layer to the strata of signage of the street. A further purpose is to ensure that the Marquees are attractive, interesting and brightly lit, and large enough to function both as signboards and as weather protection for a substantial number of people. 4.2 Applicability: Marquees are only required above entrances to venues that have live performance ot movie/media/entertainment uses. 4.3 Minimum Area Requirement: The total minimum area of Marquee Signage. shall be no less than one thousand seven hundred (1700) square feet. However, up to three hundred three hundred (300) square feet may be added to the Business and/or Commercial Signage Requirements. In that event, the Business and/or Commercial Signage Minimum Area Requirements will be increased proportionately and the Marquee Signage Minimum Area Requirements will be decreased proportionately. In the event that the Historic Preservation Committee approved Empire Theater Marquee precludes Tenant from complying with the Minimum Area Requirements,

Tenant shall redistribute the remaining required area among Retail, Business and Commercial Signage. 4.4 Design: Marquee Signage shall not create a unified or coordinated signage system with respect to color, typeface, or other design characteristics. Marquee Signage may be located anywhere on, above or below the Marquee. 4.5 Signage Techniques: Each Marquee shall use at least two Signage Techniques from F through P described in Appendix A. 4.6 Animation: Marquees shall employ animation. 4.7 Illumination: Minimum average brightness of each Marquee sign illumination shall be forty-five hundredths (0.45) LUTS. Sidewalk areas beneath Marquees shall be lighted to at least fifty (50) footcandles. 4.8 Compliance: Each Store shall fully comply with the requirements of this Section 4 by the date that the Store first opens for business. 5.0 Vitrines 5.1 Purpose: The purpose of the Vitrine requirements is to ensure lively and welllighted facades at venues with changing programs. 5.2 Applicability: The requirements refer to all Vitrines at entrances to venues where the predominant use is live performances or movies. 5.3 Minimum Area Requirement: Each theater or other Store with changing entertainment programs shall have at least one Vitrine with a ten (10) square foot minimum glass area attached to its facade. 5.4 Design: All Vitrines shall have a clear glass front. Vitrines shall at all times display either advertising for programs in the Store to which they are attached or convey public service messages. 5.5 Illumination: The display area shall be lighted with concealed lighting and shall be illuminated to a minimum of.02 LUTS. 5.6 Hours of Operation: Vitrines shall remain lighted from the earlier of one hour before sunset or 6:30 P.M. until 1:00 AM., seven days per week.

5.7 Compliance: Each Store shall fully comply with thc requirements of this Section 5 by the date that the Store first opens for business. 6.0 Business and Commercial Signage A total of seventeen thousand two hundred (17,200) square feet of Business and Commercial signage is required on the Site. Of this seventeen thousand two hundred (17,200) square feet, up to four thousand five hundred (4,500) square feet including up to three hundred (300) square feet from the Marquee Requirement ( Swing Signage ) may be~ in either the Business or Commercial zone and shall comply with the requirements applicable to the zone in which the signage is located. Business Signage 6.1 Purpose: The purpose of Business Signage requirement is to ensure a variety of commercial signs which are meant to be seen from many vantage points and from great distances. 6.2 Applicability: Requirements of Business Signage refer to business signs located on 42nd Street from top of the Retail Sign up to the main roof line or top of the sign, whichever is greater. 6.3 Minimum Area Requirement: Minimum area of five thousand (5,000) square feet. 6.4 Design: Business Signage shall not create a unified or coordinated system with respect to color, typeface, Signage Techniques, or other design characteristics, among the individual signs. Each Business Sign shall contain at least one hundred (100) square feet. 6.5 Signage Techniques: Business Signage shall utilize Signage Techniques attached as Appendix A unless otherwise approved by Landlord and shall also meet the following requirements: (a) Signage Techniques A and B shall be used to satisfy maximum twenty (20) percent of the Business Signage. (b) Signage Techniques F and/or G shall be used to satisfy maximum thirty (30) percent of the Business Signage. (c) Signage Techniques H-M shall be used to satisfy minimum thirty (30) percent of the Business Signage.

However, in the event that building number four (4) (as shown in Appendix C) is occupied by a multiplex up to eighty (80) percent of the Business Signage related to that multiplex may come from Signage Technique A and/or B. In this instance, the above described technique requirements shall apply to the balance of the Business Signage on the Site, 6.6 Animation: Minimum forty (40) percent of Business Signage shall be animated. 6.7 Illumination: Minimum average brightness of each non-floodlit signs shall be thirty-three hundredth (.33) LUTS measured in accordance with Appendix B. Minimum average illumination of each Floodlit Sign shall be seventh-five (75) footcandles. 6.8 Hours of Operation: Business Signage shall temain lighted from 6:30 p.m. or one hour before sunset until 1:00 a.m., seven (7) days per week. 6.9 Compliance: 100% compliance by Full Operating Condition. In the event that Business Signage is related to a Store on the Site, such Business Signage shall comply by the date that that Store opens for business. Swing Signage, if any, shall be in compliance within twelve (12) months of Full Operating Condition. Coimnercial Signage 6.10 Purpose: The purpose of the commercial signage requirements is to create bright and compelling tourist attractions on key signage sites based on boisterous commercialism, layering, variety, energy, and visual intensity and to create a high level of visual impact to the observer at Street level. 6.11 Applicability: The commercial signage requirements refer to commercial signs located on 42nd Street on the roofs of the buildings ( Commercial Signage ). Commercial Signage shall advertise a product or service or convey a public service message. 6.12 Minimum Area Requirement: The total minimum area of Commercial Signage shall be eight thousand (8,000) square feet. A minimum tive thousand five hundred (5,500) square feet shall be located on buildings four (4) and six (6) as shown in Appendix C. 6.13 Design: Commercial Signage shall not create a unified or coordinated system with respect to color, typeface, or other design characteristics among the individual signs.

6.14 Signage Techniques: Commercial Signage shall utilize Signage Techniques attached as Appendix A and shall also meet the following requirements: (a) Signage Technique B shall be used to satisfy a minimum of forty (40) percent of Commercial Signage. (b) Signage Techniques C and/or D shall be used to satisfy minimum ten (10) percent of Commercial Signage. (c) Signage Techniques H-M shall be used to satisfy minimum ten (10) percent of Commercial Signage. 6.15 Animation: A minimum of twenty (20) percent of Commercial Signage shall be animated. 6.16 Illumination: Minimum average brightness of each non-floodlit signs shall be fifty-three hundredths (.53) LUTS measured in accordance with Appendix B. Minimum average brightness of each Floodlit Sign shall be seventy-five 75 footcandles. 6.17 Hours of operation: Commercial Signage shall remain lighted from the earlier of 6:30 pm or one hour before sunset until 1:00 a.m., seven (7) days per week. 6.18 Compliance: One hundred (100) percent compliance by Full Operating Condition. Swing Signage shall be in compliance within twelve (12) months of Full Operating Condition. 7.0 Additional Design Requirements 7.1 Electrical power and wiring shall be provided and maintained in amounts and locations sufficient to illuminate all signs to illumination levels herein. 7.2 The amounts and specification of illumination sources (e.g., neon tubes, bulbs, etc.) of a sign shall be sufficient to provide the illumination levels required herein. 7.3 The entire sign, its illumination and its entire conunercial message shall be visible and clearly legible by an observer at street level at a reasonable distance from the sign wherever the view of the sign is not obstructed by another building, marquee or perpendicular sign. 7.4 The required minimum average illumination level shall not be achieved by concentrating the source of light in a small number of lights far in excess of the required average illumination level in only one small area of the sign, but by an II

arrangement of lights that conveys a cleat pattern or design and is spread across the entire area of the sign. 7.5 Tenant shall construct and install required signage so that the signs comply with the requirements herein. 7.6 The sign shall include at least two (2) distinct colors, one of which may be black, provided that the background of the sign shall be counted as one (1) color. 7.7 For animated signs or portions of signs, the required illumination level shall be met for a significant part of the full animation sequence. 7.8 Tenant shall maintain the sign and replace lights and other elements promptly in order to ensure ongoing compliance with the requirements herein. 8.0 Measurement of Illumination 8.1 Non-Floodlit Signs The illumination level of each non-floodlit sign shall be measured by use of a Light Unit Times Square ( LUTS ) meter. The LUTS meter is comprised of a Minolta or mutually agreed upon equivalent illuminance meter attached to a thirtyfive (35mm) millimeter reflex camera body or mutually agreed upon equivalent reflex sighting system and fitted with a lens of appropriate focal length in accordance with Diagram A attached hereto and made a part hereof. Prior to use, the LUTS meter shall be calibrated against a reference standard described in Diagram B. Alternative measuring equipment may be employed provided such equipment yields an equivalent average measurement when referenced to the standard described above. For each non-floodlit sign with area in excess àf two hundred (200) square feet, a full-scale mock-up of a representative portion of the sign, having the same components and characteristics of illumination as the sign to be installed (including, but not limited to, density, type and proportion of lamps and colors, background material, operating voltages and transformer cut ren~ ratings), shall be constructed. The illumination level of such mock-up shall comply with the illumination levels specified in this Schedule F. Provided that the sign actually installed contains all of the components and characteristics of illumination utilized in the mock-up in the same proportion of each other as was present in the mock-up and conforms to the Final Plans (as referred to in Section 10.0 herein) approved by Landlord, such sign shall be deemed to be in compliance with the rllumination level requirements set forth in this Schedule F.

Tenant, at its option, may construct a mock-up of any non-floodlit Sign with area less than two hundred (200) square feet. Provided that such mock-up and the sign actually installed satisfy all of the requirements of the previous paragraph, such sign shall be deemed to be in compliance with the illumination level requirements set forth in this Schedule F. In the event that Tenant does not elect to construct a mock-up of any non-floodlit sign with areas less than two hundred (200) square feet, the illumination level of such sign shall be measured after such sign is installed on the building and shall comply with the illumination levels specified in this Schedule F. Landlord shall measure the illumination level of each mock-up of a sign, or in the case of a sign for which a mock-up is not constructed, the illumination level of the sign itself, using the LUTS meter. The LUTS meter shall be pointed at the mock up of the sign or the sign itself, as the case may be, so that the entire mock-up or sign completely fills the viewing frame of the meter. The angle from which the illumination level of the mock-up is measured shall be as similar as reasonably practicable to that from which the sign will be viewed by an observer at street level at a point directly in front of the sign sixty (60) or more feet away from the building line. If, because of the shape of the mock-up or sign, the entire mock-up or sign, as the case may be, cannot be viewed within the viewing frame, readings may be taken to discrete portions of the mock-up or sign separately, provided, however, that no more of the mock-up or sign than is absolutely necessary to measure the entire mock-up or sign may be included in more than one such reading. Readings of portions of a mock-up or sign shall be averaged to obtain the average illumination level of the entire mock-up or sign. All measurements of the illumination level of a mock-up shall be taken in a dark room or other lightless environment. All measurements of the illumination level of a mock-up or sign shall be taken in an environment with an ambient temperamre of seventy-five (75) degrees Fahrenheit (plus or minus three (3) degrees). In the event that a sign is animated, in whole or in part, the reading of the mock-up or sign shall be taken at the brightest interval in the animation sequence during which a reading may be taken. 8.2 Floodlit Signs In the case of each Floodlit sign with area in excess of one hundred (100) square feet, Tenant shall submit with Final Plans a photometric evaluation with sufficient lighting data to indicate that the required level of illumination will be achieved. Provided that the sign actually installed conforms to the approved Final Plans, such

9.0 Review of Plans sign shall be deemed to be in compliance with the illumination requitelnents set forth in tins Schedule F. Tenant Display, Retail Signage, Marquees and Vitrines Tenant shall submit preliminary signage and lighting plans and specifications -. ( Preliminary Plans ) which shall consist of an elevation showing the location of the proposed signs and the techniques and colors proposed to be used and any other pertinent information available to Tenant at the time of submission. Landlord shall review such Preliminary Plans for compliance with the requirements of this Schedule F within ten (10) business days of submission thereof. Final plans and specifications ( Final Plans ) shall be submitted not later than sixty (60) days prior to commencement of installation of signs. No signs maybe installed prior to Landlords approval of such Final Plans. Final Plans shall be deemed approved should Landlord fail to respond within the review time frames stated below. Final Plans shall be submitted in sufficient detail for Landlord to review for compliance with the requirements herein. Landlord shall review the Final Plans for compliance with the requirements of this Schedule F within twenty <20) Business Days after the date of submission thereof by Tenant. If Tenant submits plans for another Store within ten (10) Business Days of the preceding submission, the review time period shall be increased by ten (10) Business Days for each additional submission. In the event Tenant is required to resubmit Final Plans to Landlord because additional information is required, Landlord shall review such re-submission within fifteen (15) Business Days after the date of submission thereof by Tenant. If Tenant re-submits plans for another Store within ten (10) Business Days of the preceding submission, the review time period shall be increased by ten (10) Business Days for each additional submission. If Tenant desires to modify the approved Final Plans, Tenant shall submit the proposed modifications and Landlord shall review such modifications in accordance with the timing set forth in the preceding paragraph. With regard to all submissions of modifications, Landlord shall not disapprove any matter previously submitted and approved, except to the extent the proposed modification affects any matter so approved. Business and Commercial Signage Tenant shall prepare preliminary signage and lighting plans and specifications ( Preliminary Plans ) which shall consist of a diagram showing area and approximate location of each sign and any other pertinent information available to Tenant at the time of submission and shall submit to Landlord. Landlord shall review such Preliminary Plans

for compliance with the requirements of this Schedule F within twenty (20) Business Days of submission thereof. Tenant shall prepare final signage and lighting plans and specifications ( Final Plans ) and submit them to Landlord as soon as reasonably practicable but in no event less than sixty (60) days prior to the planned installation of the sign to which they relate. Final Plans shall include working drawings of the sign proposed to be installed and evidence in sufficient detail for Landlord to be able to determine compliance with the required levels of.brightness. Landlord shall review such Final Plans in order to determine whether the Pinal Plans comply with this Schedule D within thirty (30) Business Days of the date of submission thereof. rn the event Tenant is required to re-submit Preliminary Plans or Final Plans to Landlord because additional information is required, the review period for such submissions shall be fifteen (15) Business Days. If Tenant desires to modif~ either the approved Preliminary Plans or the Final Plans after they have been approved by Landlord, Tenant shall submit the proposed modifications and Landlord shall review such modifications within twenty-five (25) Business Days of the date of submission thereof if the proposed modifications are major and fifteen (15) Business Days of the date of submission if proposed modifications are minor.. All plans shall be submitted in sufficient detail for Landlord to review for compliance with the requirements herein, Plans shall be deemed approved should Landlord fail to respond within the review time frames stated above. 10.0 Alternative Design Tenant may submit alternative proposals for the Display and Signage program and the Landlord in its sole discretion may alter the requirements if the alternative proposal meets the Purpose of th~ signage requirements contained herein and creates the same high level of visual impact. Final Plans for the alternative proposal shall be sufficiently detailed to enable review of the propàsai for compliance with the requirements of this Schedule F. Appendix A: Signage Techniques Purpose: The purpose of the following list is to provide a palette of allowable Signage Techniques that can be consulted for the purpose of creating an appropriate variety of techniques among the Site s signage types. Calibration of LUTS Meter The LUTS meter must be calibrated prior to use. Although the lens is nominally set to F11, the actual Ii transmisejon value maydiffer, especially with long focal length Zoom lenses. To calibrate, build a lightbox as shown at right. The front of the box shall be 1/4~ #2447 opal plexiglass; the other five interior sides shall be painted matte white. Four standard 40 watt l2ovoft incandescent lamps shall be mounted on the back of the box and wired through a dimmer.
