INSTRUCTIONS TO BIDDERS 1. Project Location 20 West 22nd Street, Floor 2 New York, NY 10010 2. Project Background The Brand Graphics & Elements described in this RFP will be installed in the Häfele showroom using a variety of material types and application methods described as part of this work. The Exhibit Vendor shall coordinate this work as necessary with Häfele, Perkins+Will, EngineersConsultants, the project s General ContractorSub-Contractors, and Building Management. 3. Project Scope The Exhibit Vendor in consultation with, and based on documentation provided by Perkins+Will shall create fabricationinstallation details as required, specifications, fabrication, assembly, and installation of the Brand Graphics & Elements, per the design intent as outlined in the project documentation. Specifically, the selected Exhibit Vendor will be required to: Meet with Häfele andor Perkins+Will to discuss project parameters, schedule at project outset; goals, requirements, and Field dimension all areas where Wall Graphics & Exhibit Elements are to be installed prior to proceeding with fabrication; Conduct weekly on-site project progress meetings with HäfelePerkins+Will during installation; Provide fabrication andor installation detail documentation (as appropriate), and finish samples of all materials & colors to Perkins+Will for approval (see General Notes), in context to conformance to design intent; Produce, fabricate, and install all Brand Graphics & Elements based on Perkins+Will s project documentation; Perkins+Will shall provide electronic production files for Exhibit Vendor s use in creating all Brand Graphics & Elements; All final adjustments for fit and finish within the designated locations is solely the responsibility of the Exhibit Vendor; Review final installation on site with HäfelePerkins+Will for final approval; 4. Project Schedule Häfele will occupy their showroom for business operations on Monday, November 21st 2016. The intent is to have all Brand Graphics & Elements installed at that time. The Exhibit Vendor shall include in their Bid Proposal a detailed Project Schedule based on that date for Häfele approval. 5. Examination of Project Documents & Site Each Bidder by making his Bid Proposal represents that: They have read & understand the Bid Document, and the Bid is made in accordance therewith. They have visited the site and familiarized themselves with the site conditions under which the Work is to be performed. (Coordinate site access through Brian P. Flaherty, SPK Lewis, via phone at 212-645-6800 or via email at b.flaherty@spklewis.com. Their Bid is based upon the materials, systems, and equipment described in the Bid Document without exception, unless formally submitted in writing and approved by Häfele. 6. Substitutions The materials, systems & equipment described in the project documents establish a standard of required function, dimension, appearance and quality to be met by any proposed substitution. No substitution will be considered unless a written request for consideration and associated cost has been submitted by the Bidder and has been received in writing as part of the Bid Proposal. Each request shall include the name of the material or equipment for which it is to be substituted and a complete description of the proposed substitute including drawings,cuts, performance and test data and any other information necessary for an evaluation. A statement setting forth any changes in other materials, equipment or work that incorporation of the substitute would require shall be included. The burden of proof of the merit of the proposed substitute is upon the Bidder. Häfele s decision of approval or disapproval of a proposed substitution shall be final. 7. Exclusions The Bidder shall provide a written list of anyall deviations or exclusions from the Bid Document. 8. Sub-Contractors If the Exhibit Vendor intends to sub-contract any project work beyond in-house capabilities andor utilize non-employee staff, they shall note such in their Bid Proposal, identifying the Sub-Contractor and which items they would be responsible for. Häfele reserves the right to review and approve the proposed Sub-Contractor. Any Sub-Contractor approved for this project shall be under the sole control and the responsibility of the Exhibit Vendor. The Exhibit Vendor shall remain the primary party responsible for all aspects of the project delivery including quality, materials, schedule conformance, and bid cost. 9. Insurance The Bidder shall acquiremaintain liability insurance, & name the following as Additional Insured: Häfele Perkins+Will, Inc. Any approved Sub-Contractors shall be required to carry the same insurance and named insured as the Exhibit Vendor. BRAND ELEMENTS BID DOCUMENT AUGUST 04, 2016 2

INSTRUCTIONS TO BIDDERS 10. Building Management Requirements The Exhibit Vendor shall comply with all 20 West 22nd Street building management requirements. Please provide pricing for both non-union and union labor and installation. 11. Interpretations All questions about the Bid Document shall be submitted in writing (email acceptable) up to one business day before receipt of Bid Proposals. Send questions to the attention of Ms. Pamela Steiner, Perkins+Will. Changes arising out of questions requiring interpretation, clarification, or correction to the Bid Documents will be made by Perkins+Will and communicated via email in an Addendum. Bidders shall not rely on any oral interpretation, clarification, or correction made by Perkins+Will or any other entity. 12. Submittals received after, will not be considered. 15. Contract Parties If selected, the Exhibit Vendor shall contract directly with Häfele. 16. Invoicing The selected Exhibit Vendor shall address all invoices to Häfele, BUT invoices shall be sent to Ms. Pamela Steiner, Perkins+Will per the contact information above. 17. Selection Process The Exhibit Vendor will be selected as follows: 1. Interested firms will submit a response to this Request for Proposal along with the required Submittal Information 2. Following receipt of bids, Häfele and Perkins+Will shall review all submittals, clarify bids (if needed) and discussprioritize bidders based on information received. 3. One Exhibit Vendor will be selected to enter into final contract negotiation, refining schedule, project terms and conditions of the contract, and then enter into a contract for work. Should an agreement not be reached, the second most successful bidder may be selected for negotiations. Häfele is under no obligation to award the project work to any vendor, or to the lowest bidder. 13. Graphics & patterns represented in this document may not be final. All will be finalized in the Issued for Fabrication set issued to the successful bidder. 3. Vendor shall submit shop drawings, specifications, finishfilm samples and design mock ups to the PERKINS+WILL BRAND REPRESENTATIVE noted below for review & approval prior to production. Vendor shall verify all field conditions to confirm locations of all life safety strobes, outlets, switches, grilles, vents, trims. If conflicts are discovered, they shall be communicated to the Perkins+Will Brand Representative for review & direction as impacting brand element installation.
