In addition, we agree to air all seven (7) weekly telecasts and will not broadcast any of the telecasts of JUST SHOOT ME more than once per week. Licens e Fee and Payme n t - The licens e fee will be $ 100 PER WEEK for 208 weeks. - The license fee will include a 10% down payment payable no later than Septemb er 3, 2001 with the balance payable in 48 consecutive monthly installments. Broadca s t Obligation/Time Period Commit m e n t - Each Monday- Friday telecast of JUST SHOOT ME (the Primary Telecasts ) will contain 7 minutes of commercial time and we will retain and sell 5 1/2 minutes and you will retain and sell 1½ minutes within each such telecast. In addition, you may insert in the episodes billboards and/or closed- caption e d spons or announc e m e n t s. Page 1 of 3

- Monday - Friday Primary Telecasts: Commencing no earlier than 6:00 pm (Eastern & Pacific Time) or 5:00 pm (Central & Mountain Time) and ending no later than 8:00 pm (Eastern & Pacific Time) or 7:00 pm (Central & Mountain Time). - Also, we will broadcast a total of two (2) additional telecasts of JUST SHOOT ME on either Saturday and/or Sunday between 6 p.m. and 12 midnight and/or on any day in Prime Time (the Additional Telecasts ). We will retain and sell 3½ minutes of commercial time and you will retain and sell 3½ minutes of commercial time within each such teleca s t. - First Additional Telecast: 6PM-8PM p.m. Day: Saturday/Sunday - Second Additional Telecast: 5PM-12AM p.m Day: Saturday/Sunday *OPTIONAL - We agree to broadcast each episode of JUST SHOOT ME exactly as delivered to us including your commercial inventory. Any failure to broadcast your commercials will be considered a material breach of the agree m e n t. - We agree to notify you, prior to the commenc e m e n t of the License Term, of the time period commitme nts ( Designated Time Period ) that we elect to broadcast the JUST SHOOT ME. - It is the essence of the Agreeme nt that we broadcast the JUST SHOOT ME in the Designated Time Period and in the manner indicated above except in the event of a valid preemption or prevention as set forth below. In the event we breach this obligation or any other obligation as set forth in the Agreeme nt (which such obligations are special and unique) and notwithstanding the payment of any required license fees, you shall be entitled to equitable remedies (including, without limitations, injunctive relief) requiring us to broadcast the JUST SHOOT ME in the Designated Time Period as indicat e d above. Preemption/Prevention - Broadcast of any telecast may only be preempted for the presentation of a news event, a non- regularly scheduled program of nation al import a nc e or a live sports event. - Within seven (7) days of the originally scheduled broadcast which was preempt e d or prevented, we will make good by: (i) broadcasting such telecast (including your commercials) in a comparable or better time period or; (ii) including your commercial inventory contained in such telecast in regularly scheduled broadcasts of other telecasts of Page 2 of 3

Licensing of Additional Production - The Initial License Term will include all episodes of JUST SHOOT ME produc e d up to and including the 2000/01 broadc a s t seas o n. - Should additional production of JUST SHOOT ME occur, we will license all additional episodes produced under the following conditions: - For each additional broadcast season, the License Term will be extended by 39 weeks and we agree to broadcast the episodes of JUST SHOOT ME, during the extended period, in accordance with the terms and conditions set forth above. The weekly license fee for the additional broadcast season(s) will be at the rate of 110% of the weekly license fee for the License Term and will be payable in consecutive monthly installments beginning 30 days after the 48 th invoice, with the number of such monthly installments to be equal to the number of months by which the License Term is extended. The above Offer will be irrevocable for a period of thirty (30) days from the date you receive this Offer, and may be accepted only by an executive officer of your comp a n y and written notice from you. We understand that you reserve the right to accept or reject this Offer for any reason whatsoever and may, in addition to this Offer, require us to provide financial documents or other evidence of creditworthiness in form and substance satisfactory to you. We agree to fax this Offer to your atte n tion at (310) 244-0283. When the terms of this Offer are accepted, it will constitute a valid and binding agree m e n t. We acknowledge that we will be asked to sign your long form license agree m e nt in the near future; however, until such time, this Offer, when accepted by your executive officer, will constitute the entire agree m e nt between us.
