In consideration of the mutual covenant expressed in this Agreement, it is agreed as follows: 1. The Editor declares that he/she is willing to edit a Work tentatively entitled: hereinafter called the "Work". "Invertebrates: Classification, Evolution and Biodiversity" 2. The Publisher has already sent invitations to prospective contributors to this volume. Any proposals for chapters which come to the Publisher as a result of said invitations shall be forwarded to the Editor for direct acceptance, rejection or modification. The Editor is responsible for sending any additional invitations. The acceptance, rejection and refereeing of these invitations shall be decided solely by the Editor. Any acceptance sent prior to this agreement being operational or for any other reason shall be included in the Work. The required number of chapters is a minimum of 10. The maximum number of words permitted for the Work shall be 200,000. The Editor shall deliver to the Publisher the text of the Work in the English language and satisfactory to the Publisher in form, style, and content on or before July 2012. lfthe final manuscript is not received by the Publisher by the aforementioned date, this Agreement is automatically terminated. Upon termination of the Agreement, the Editor shall submit to the Publisher all manuscripts and materials in his/her possession related to the Work. The Publisher will have the right to publish the Work with a different Editor at the Publisher' s discretion. The acceptable programs are MS Word, and Tex!Latex. Only the PC format is acceptable. A 200-500 word description ofthe book will be sent by the Editor with the manuscript for marketing purposes. A list of terms is required for indexing purposes. The final index may or may not reflect your terms which are for the academic purpose of preparing your index. The page numbers are not necessary as this will be added during the production process. Final manuscripts should be sent via e-mail to manuscripts@novapublishers.com with a copy to nova.main@novapublishers.com. For large files (beyond 10GB) the Publisher will provide ftp transfer instructions. Any e-mail attachments should have the Editor name as the first word in them. A paper or disk copy of the manuscript might be requested by the Publisher if necessary for technical reasons. PDF files are also welcome but only for verification purposes. IfTex is to be used, macros are available upon request via e-mail and on Publisher website. Manuscripts and illustrations are not returnable. Color graphics are permitted and are billed to chapter contributors at the prevailing rate. All graphics must comply with technical specifications to be provided by the Publisher. Internet Open Access is offered per chapter. Contact Publisher for details. An email confirmation of receipt ofthe manuscript will be sent.

E-H-RIB-COB 3. If English language review for style is requested and paid by the contributors, it must be stated clearly at the time of transmission and on the manuscript itself. Such English-language review will be undertaken prior to the page proof stage so that the Editor has the opportunity of reviewing the proposed changes. The Publisher shall make a best effort to correct the text for English language style but offers no assurances as to the degree of final English-language fluidity which is dependent upon the submitted manuscript. The 3-14 month time frame specified in Paragraph 7 is automatically extended by the time, if any, a manuscript undergoes such English-language editing. If the Publisher determines that any chapter requires English editing, the Editor will be notified and will receive the invoice for English editing to be forwarded to the author(s) of the corresponding chapter(s). If the author fails to send payment for English editing to the Publisher before the page proof stage, the Editor will have the option of either editing the chapter himselflherself or removing the chapter. The Editor shall return the corrected page proofs to the Publisher within 7 (seven) days after the receipt of the proofs. 4. The Editor shall complete a promotional questionnaire if requested to do so by the Publisher. The Publisher may excerpt the final manuscript or parts thereof in appropriate in-house subject journals and compilations without prior permission provided that citation is given to the entire book. A complimentary copy of the relevant publication will be provided to the Editor. Cover design, text and promotion are at the sole discretion of the Publisher. 5. The Editor warrants that he/she has the sole, full, and unencumbered rights to make this Agreement. The Editor hereby guarantees to the best of his/her knowledge that the Work will contain nothing in violation of the civil rights or copyrights of another person, and that he will hold the Publisher harmless from all suits, claims, and proceedings that may be brought against him on such grounds. The authors shall fully disclose any financial ties or external funding related to the Work in the introductory section of the Work. 6. The Publisher will pay the Editor a royalty of 10% of the sales revenues on the 301-400 copies sold and paid for, 12% on the 401-500 copies sold and j5% thereafter. Revenues from the first 300 sales are used to partially offset production and advertising costs. Royalties are not paid on copies purchased by the Editor at the special discount rate described in paragraph 9. Editor or contributor alterations at page proof stage are permitted up to 2% of the manuscript volume. A fee of $300 will be charged to the Editor or contributor in cases when alterations exceed 2% and/or when second set of proofs is requested. If a revised manuscript is submitted by the Editor or contributors which requires new page layout a $300 charge will be invoiced per chapter to the contributors. Royalties will be allocated evenly in the event of any co-editor unless otherwise agreed upon in writing. In addition, should the book be included in any reference collection, the same royalty will be paid on a proportionate basis except said royalty shall begin with the first copy of the reference collection sold whether the sale be via digital means or any other publishing platform such as DVD, CD ROM etc. 7. The Publisher agrees to publish the Work within 3-14 months after confirmation of receipt of the final version of the Work provided the manuscript meets with the Publisher' s acceptance in form, substance, and content and any fees are paid. Non-acceptance shall be in writing and may be made any time up to the date the manuscript is sent to press for printing. The time frame agreed upon for publication shall be extended by any time that the any Contributor delays page proofs for corrections or by any time the Publisher requires to edit the text should the Publisher deem English editing to be required. Should the Editor or any Contributor request subsequent page proofs, the time frame stipulated above becomes null and void. The time frame of 3-14 months begins only after submission and receipt of all duly completed Copyright Transfer Forms in the case of edited books. The Editor is responsible for collecting the Copyright Transfer Forms after accepting each contribution. 8. An annual account ofthe sale ofthe Work as of December 31 shall be made by the Publisher after March of the following year. Royalty statements will be followed by corresponding payments within the same calendar year except when royalties due are less than $100 in which case they will be cumulated until $100 is exceeded at which time payments shall be made. 9. The Publisher will provide the Editor, free charge, 3 copies of the Work. In the event of multiple Editors, each shall receive two free copies up to maximum of3 Editors. In addition, each contributor shall receive a complimentary copy of thee-book edition of the book. Hardcopies may be ordered if desired at a 20% discount plus shipping. 10. The Editor agrees that the Work shall be considered a work for hire, and further agrees that the Publisher shall be owner of the copyright in the Work, including all revisions and future editions thereof throughout the world, together with all exclusive rights including digital and all other electronic media rights available to the owner of a copyright under the copyright laws now or hereafter in effect, also including, without limitation or restriction and to authorize others to make such uses of the work, the exclusive right to publish and sell, or reuse the Work and any derivative work including recompilations and reference collections throughout the world, to translate, publish, recompile and sell the Work in foreign languages, and to sell all subsidiary rights to the Work during the full term

E-H-RIB-COB of the copyright. If such subsidiary rights to publish the Work are sold, the Publisher shall pay the Editor 30% of the royalties or licensing fees received from such sales. The Publisher encourages the Author to publish academic journal articles in the topical areas covered in the Work, for which no permission is required. The Publisher will relinquish the Copyright to the Editor free of charge upon written request should the book remain Out of Stock for any period of six consecutive months. The Editor may purchase foreignlanguage rights for $1,000 per language. 11. The Editor warrants and guarantees to the best of his/her knowledge that the Work is original except for such material from copyrighted sources as is reproduced by the written permission of the copyright owner; that the Work is not libelous or a violation or infringement of any copyright or civil right of any other party; and that he/she will secure and deliver to the Publisher at the time of manuscript submission all necessary permissions for the use of names or photographs of persons included in the Work as well as Copyright Transfers (blank forms available from the Publisher) from the contributors. Edited books shall not be considered as received until a Copyright Transfer Form is received from each contributor and neither shall the time frame for publication specified in paragraph 7 become operative until such Copyright Transfer Forms are received. The Editor shall indemnity the Publisher against any claim, loss, damage, and expense (including reasonable attorney's fees) arising out of any breach of any of the Editor warranties. The Editor warrants that a best effort was made in preparing the work. 12. Neither party shall be responsible for any failure or delay in the performance of its obligations under this Agreement because of circumstances beyond its reasonable control. 13. The failure of a party to insist upon strict adherence to any term of this Agreement on any occasion shall not be considered a waiver or deprive that party of the right thereafter to insist upon strict adherence to that term or any other term of this Agreement. Any waiver must be in writing. 14. This Agreement shall be binding upon and inure to the benefit of the parties' respective heirs, personal representatives, successors, and assigns. 15. Any notice or other communication under this Agreement shall be in writing and shall be considered given when mailed by certified or registered mail, return receipt requested, to a party at the address set forth above (or at such other address as a party may specify by notice to the other). 16. This Agreement contains a complete statement of all the arrangements between the parties with respect to its subject matter, supersedes all existing agreements between them, and cannot be changed or terminated orally. Any changes and/or modifications to the Agreement must be made in writing and agreed upon by both parties. 17. In the event that either party shall breach any of the terms of this agreement, the parties: a. Agree that the provisions ofthis agreement shall be construed in accordance with the laws of the State ofnew York. b. Agree to submit to the jurisdiction ofthe courts ofthe State ofnew York and agree that any action instituted in connection with this agreement shall be in the Supreme Court of Suffolk County or the Federal District Court for the Eastern District ofnew York. 18. This Agreement is valid for 14 days from the date on page 1 of this Agreement and considered in force only if signed by both parties.
