CONTEST PERIOD The App That Pays Contest CONTEST RULES 1. "The App That Pays" contest will run from 12:01 a.m. ET on September 1, 2014, to 11:59 p.m. ET on March 31, 2015 (the "Contest Period"). It is organized by the Fédération des caisses Desjardins du Québec (the "Contest Organizers"). ELIGIBILITY 2. The contest is open to residents of Canada 18 years of age or older on the date they enter, and Canadian businesses with a place of business in Quebec, Ontario or New Brunswick. Participants must also meet the criteria listed in 2.1 and 2.2 below to be eligible (the "Eligible Participants"). The following are not eligible to enter the contest: employees, directors, officers, agents and representatives of the Fédération des caisses Desjardins du Québec, its member caisses and any other Desjardins Group entity, their subsidiaries, their promotional and advertising agencies lg2 (Labarre Gauthier inc.) and Carat Stratégem Inc., their suppliers of prizes, materials and services related to this promotion, and members of their households. This exclusion applies throughout the contest period and at the time of the draws. 2.1 Contest participants must: Have a Visa* Desjardins card with contactless technology (paywave) Have the Desjardins Mobile Payment application Use the Desjardins mobile payment service at least once by making a purchase of up to $100. 2.2 All personal Visa Desjardins credit cards are eligible for the contest: Visa Desjardins Prepaid Visa Desjardins FOR STUDENTS ONLY Visa Desjardins Classic Visa Desjardins Elegance TM Gold Visa Desjardins Modulo TM Gold Visa Desjardins Odyssey TM Gold Visa Desjardins Prestige Platinum Visa Desjardins Platinum All commercial Visa Desjardins cards are eligible for the contest: Visa Desjardins Business Visa Desjardins Business Advantage Visa Desjardins Corporate Visa Desjardins Purchasing Business Freedom Solutions package 2.3 The following cards are not eligible for the contest: Desjardins debit card (Personal and Business) Visa Desjardins private-label cards Visa Desjardins U.S. card 1
HOW TO ENTER 3. Eligible Participants will receive one contest entry once they complete all of the following during the contest period. 3.1 Install and use the Desjardins Mobile Payment app on their eligible smartphone. The app must be installed as follows: 1. Download the Desjardins Mobile Payment app from the Google Play Store. 2. Perform the eligibility test on the app. 3. If you are eligible, contact the Desjardins Card Services Client Care Centre by phone to sign up for the Desjardins mobile payment service. The advisor will register you and provide you with an activation code. 4. Activate the mobile payment service by accepting the terms of use and entering the activation code. 3.2 After installing the Desjardins Mobile Payment app on the eligible smartphone, use the Desjardins mobile payment service to make a purchase of up to $100 (with an eligible Visa Desjardins card). The date the Desjardins mobile payment service is first used to make the purchase will be considered the date of entry in the contest, and will determine eligibility for the draw and prize. 3.3 Make any the following transactions using the payment app: purchase, cancellation or refund. 4. No purchase or consideration required. Eligible Participants who would like to make a nopurchase/no-consideration entry may do so by legibly handwriting their name, full address, telephone number and the date along with an original text of approximately 50 words on how the mobile payment service is helpful, and sending it in an envelope with sufficient postage to: "The App That Pays" Contest, Desjardins Card Services, Attn: Marilyn Marion, 14th Floor, Location 080, 1050 Côte du Beaver Hall, Montreal, QC, H2Z 0A5. Maximum of one entry per envelope bearing sufficient postage. To be eligible, letters must be postmarked no later than March 31, 2015. Upon receipt of the letter, the contest entry will automatically be registered and provide one chance to win in the draw associated with the date of receipt. All such entries will be subject to the same terms and conditions as all other entries. Mechanical reproductions are not permitted. Entries become the property of the Contest Organizers and will not be returned. 5. Number of entries Limit of one entry per Eligible Participant regardless of the entry method used. Eligible Participants cannot win twice. PRIZES 6. There will be 14 prizes awarded, with a total value of $7,000. The prizes will be awarded as follows: Prizes for Eligible Participants with a personal Visa Desjardins card There will be seven (7) prizes of $500 each, awarded as a credit to the personal Visa Desjardins card account used to enter the contest. Prizes for Eligible Participants with a commercial Visa Desjardins card There will be seven (7) prizes of $500 each, awarded as a credit to the commercial Visa Desjardins card account used to enter the contest. 2

In total, 14 draws will be held as follows: Draws for Eligible Participants with a personal Visa Desjardins card Seven (7) draws of one (1) prize each will be held in the offices of the Fédération des caisses Desjardins du Québec at 425 Viger Avenue West in Montreal, Quebec, H2Z 1W5 on the following dates: One (1) prize will be awarded October 16, 2014, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from September 1 to 30, 2014. One (1) prize will be awarded November 18, 2014, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from October 1 to 31, 2014. One (1) prize will be awarded December 18, 2014, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from November 1 to 30, 2014. One (1) prize will be awarded January 20, 2015, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from December 1 to 31, 2014. One (1) prize will be awarded February 18, 2015, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from January 1 to 31, 2014. One (1) prize will be awarded March 18, 2015, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from February 1 to 28, 2014. One (1) prize will be awarded April 16, 2014, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from March 1 to 31, 2014. Draws for Eligible Participants with a commercial Visa Desjardins card Seven (7) draws of one (1) prize each will be held in the offices of the Fédération des caisses Desjardins du Québec at 425 Viger Avenue West in Montreal, Quebec, H2Z 1W5 on the following dates: One (1) prize will be awarded October 17, 2014, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from September 1 to 30, 2014. One (1) prize will be awarded November 20, 2014, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from October 1 to 31, 2014. One (1) prize will be awarded December 19, 2014, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from November 1 to 30, 2014. One (1) prize will be awarded January 22, 2015, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from December 1 to 31, 2014. One (1) prize will be awarded February 20, 2015, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from January 1 to 31, 2014. One (1) prize will be awarded March 19, 2015, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from February 1 to 28, 2014. One (1) prize will be awarded April 17, 2014, at 2:00 p.m. (ET) following a random electronic draw from among all eligible entries received from March 1 to 31, 2014. The odds of winning depend on the number of eligible entries received each month during the contest period. GENERAL CONDITIONS 8. To be declared a winner, Eligible Participants or the authorized representatives of businesses must: Be reached by telephone by the Contest Organizers within ten (10) days following the draw date; Confirm that they meet the eligibility and other requirements set forth in these contest rules; Correctly answer the mathematical skill-testing asked over the telephone, without assistance and within a limited time; 3
Sign the declaration and release form (the "Declaration Form") sent to them by mail, and return it to the Contest Organizers within fourteen (14) business days of receiving it. Should any of the selected participants fail to meet any of the conditions described in the previous paragraphs or any other condition herein, the Contest Organizers reserve the right, at their discretion, to disqualify said participants, and cancel the prize or hold new draws in compliance with these contest rules until a participant is declared the winner. In such a case, the same terms and conditions will apply and be adapted as necessary. 9. Awarding of the prizes. Within fifteen (15) days of receiving the Declaration Form, the Contest Organizers will notify the winners in writing of the terms for receiving the prize. Should a selected participant refuse to receive the prize, the Contest Organizers shall be released from all obligations relating to the awarding of said prize and may, at their discretion, hold a new draw in accordance with the procedure described in the following paragraph. 10. Verification. All entries and Declaration Forms may be subject to verifications by the Contest Organizers. Any entry that is illegible, incomplete, inaccurate, fraudulent, mechanically reproduced, obtained from an unauthorized source, submitted after the deadline, or that contains telephone numbers that are invalid or otherwise non-compliant may be refused and will not be eligible for a prize. 11. Disqualification. Any person taking part in this contest or attempting to do so through means that do not comply with these rules and are unfair to other Eligible Participants shall be automatically disqualified and may be referred to legal authorities. 12. Contest operation. Any attempt to undermine the legitimate operation of this contest constitutes a violation of civil and criminal law. In the event of such attempts, the Contest Organizers reserve the right to reject the Participant s entries and seek redress under the law. 13. Acceptance of prizes. Prizes must be accepted as described in these rules and may not be exchanged, substituted for another prize or transferred to another person, unless otherwise stipulated in these rules. 14. Limitation of liability. In the event the Contest Organizers cannot award a prize as stipulated in these rules, they reserve the right to award a prize of the same nature and of equal value or, at their entire discretion, the cash value of the prize specified in these rules. 15. Limitation of liability - use of prize. The Contest Organizers and the persons on whose behalf the contest is held cannot be held liable for any damage that may result from participating in the contest, or accepting or using a prize. The winners acknowledge that, upon receipt of the prize or the prize confirmation letter, the execution of prize-related obligations is the full and exclusive responsibility of the various product and service suppliers. Winners agree to sign a declaration and release form (Declaration Form) to this effect. Winners acknowledge that the only applicable guarantee is the usual manufacturer s warranty. 16. Limitation of liability - conduct of the contest. The Contest Organizers and the persons on whose behalf this contest is held shall not be held liable with respect to any of the following that may limit or prevent any person from reading the contest rules: malfunction of any computer component, software or communication line, loss or lack of network communication or any transmission that is faulty, incomplete, incomprehensible or erased by any computer or network. They also waive all liability with respect to any loss or damage that may be caused directly or indirectly, in whole or in part, by any web page or software or other download and transmission of any information concerning participation in the contest. More specifically, if the administration, security, equity, integrity or appropriate conduct of the contest is tainted or seriously affected, particularly by a virus, bug, alteration, unauthorized intervention, fraud, technical failure or any other reason, the Contest Organizers reserve the right, without notice (subject to approval by the 4
Régie des alcools, des courses et des jeux du Québec), to cancel, modify, extend or suspend the contest. 17. Limitation of liability - receipt of entries. The Contest Organizers and the persons on whose behalf the contest is held may not be held liable for entries that are lost, misdirected, delayed because of mail problems or for any fault or other reason whatsoever with respect to the website, for the duration of this contest, including any damage to participant s computer or mobile device. 18. Limitation of liability - inability to act. The Contest Organizers and the persons on whose behalf the contest is held shall not be held liable in any way whatsoever in the event their inability to act results from an event or circumstance beyond their control, or from a strike, lockout or any other labour conflict at the organizations or companies whose services are used to hold this contest. 19. Modification of the contest. The Contest Organizers reserve the right, at their entire discretion, to modify, cancel, terminate or suspend this contest in whole or in part should there occur an event or human intervention that could corrupt or affect the administration, security, impartiality or normal running of the contest as provided in these rules, subject to approval of the Régie des alcools, des courses et des jeux du Québec, if required. The Contest Organizers cannot be held liable in any way. 20. Termination of the contest. In the event that the contest must be terminated, in whole or in part, for any reason whatsoever, before the closing date stipulated these rules, the Contest Organizers may at their sole discretion, draw a name from among all eligible entries received prior to termination of the contest. 21. In no event shall the Contest Organizers be required to award more prizes than indicated in these contest rules or to award a prize other than in compliance with these contest rules. 22. Limitation of liability - contest participation. By entering or attempting to enter this contest, any such person releases the Contest Organizers and persons on whose behalf the contest is held from any liability for any damages that he or she may suffer due to entering or attempting to enter the contest. 23. By accepting their prize, all winners authorize the Contest Organizers and their representatives to use, if necessary, their name, photograph, likeness, prize statement, place of residence and/or voice for publicity purposes, without remuneration. 24. Communication with participants. There will be no communication or correspondence with participants during the Contest Period, except as provided for in these rules or at the Contest Organizer s initiative or to obtain consent to use entries from participants who entered the contest without purchase or consideration. 25. Personal information. All personal information obtained from participants will be used for contest administration purposes only. No commercial or other communication not related to this contest will be sent to participants, unless otherwise agreed. 26. Ownership. No-purchase/no-consideration entries and Declaration Forms become the property of the Contest Organizers and will not be returned to participants. 27. For the purposes of these rules, the participant is the primary holder of the personal or commercial Visa Desjardins card, or the person whose name appears on the entry form sent by mail. It is this participant who will receive the prize if chosen and declared a winner. In the case of accounts with additional cards, only the primary cardholder will be considered a participant. 5
28. Decisions. Any decision by the Contest Organizers or their representatives regarding this contest is final and without appeal, subject to a ruling by the Régie des alcools, des courses et des jeux du Québec on any issue under its jurisdiction. 29. For Quebec residents. Any dispute regarding the organization or holding of a promotional contest may be submitted to the Régie des alcools, des courses et des jeux du Québec for a ruling. Any dispute regarding the awarding of a prize may be submitted to the Régie for the sole purpose of attempting to reach a settlement. 30. If a section of the contest rules is declared or deemed illegal, unenforceable or invalid by a competent court, that section will be considered invalid, but all other sections will be applied within the limits of the law. 31.
