THIS RIDER REPRESENTS THE REQUIREMENTS OF THE GROUP. PLEASE READ IT CAREFULLY. PAYMENT AND SETTLEMENT REQUIREMENTS A1> PAYMENTS: ALL PAYMENTS by the PURCHASER to Producer shall be made in the form of cash, money order, certified check or cashier's check. All checks should be payable to: C. C. TOURS MANAGEMENT, INC. Producer will refuse to accept a personal check as fulfillment of any portion of Purchaser's obligation hereunder. Cash Settlement is mandatory unless prior written agreement has been made. SETTLEMENT MUST ALWAYS BE MADE PRIOR TO THE START OF THE SHOW WITH THE ARTIST'S REPRESENTATIVE, USUALLY THE TOUR MANAGER. B. PIANO, PIANO TUNING, AND PRODUCTION REQUIREMENTS PRODUCER SHALL HAVE SOLE AND EXCLUSIVE CONTROL OVER PRODUCTION, PRESENTATION AND PERFORMANCE OF THE ENGAGEMENT HEREIN: PURCHASER agrees to provide for the Producer, at Purchaser's sole cost and expense, all the requirements listed herein: B1> PIANO REQUIREMENTS: THE PIANO MUST BE A: YAMAHA CFX 9-FOOT CONCERT GRAND PIANO B2> PIANO BENCH: THE PURCHASER MUST PROVIDE A CONCERT GRAND PIANO BENCH. B3> ACQUIRING YAMAHA PIANO: Please contact the Tour Coordinator for Chick Corea, who will assist you in acquiring the piano from the local Yamaha representative in your area. Purchaser will have to pay for any costs incurred for usage of such Yamaha piano. Producer will aid Purchaser in the acquiring the piano but Producer is under no obligation for payment for piano or its cartage. There can be no substitute for the Yamaha CFX 9 foot concert grand piano without the explicit approval of the Tour Coordinator for Chick Corea Tours Management, Inc. If a Yamaha CFX 9-foot concert grand piano is verified to be unavailable, the Chick Corea Tour Coordinator may assist you in choosing another suitable piano. Approval for any substitute piano must be confirmed in writing from the Chick Corea Tour Coordinator. Rider Current: December 5, 2014 Page: 2

B4> PIANO TUNING & CARE: (i) The master concert piano technician who will prepare the piano and provide concert standby service for Mr. Corea will be designated no less than fifteen (15) days and preferably thirty (30) days prior to the show date. The piano technician s name, phone number and email address will be given to Producer s staff at the time of designation. The designated piano technician must respond via phone and email and acknowledge the technical needs for Mr. Corea for the piano preparation and for show-day standby piano service. If translations of the piano technical needs of Mr. Corea are needed for a non-english speaking piano technician, the Promoter/Purchaser must translate the piano technical documents appropriately. (ii) (iii) (iv) (v) (vi) (vii) Once the concert piano technician has been designated and interviewed, has received and understands the technical requirements for Mr. Corea, especially the tuning technique of pounding in the strings and pin setting for tuning stability, every effort must be made to use that designated concert piano technician only. Do not replace the designated concert piano technician for any reason before the show date. Replacement of the designated piano technician can subject the promoter to an additional fee of five thousand dollars ($5,000). The piano should be delivered and positioned on the performance stage at least one day and preferably two to three days before the show date to allow the piano to acclimate to the new venue. Every effort must be made to get the concert piano into the show venue in advance of the show date. Concert pianos delivered to the show venue the same day as the show suffer tuning instability and every effort must be made by the promoter to avoid this problem. Two full tunings and a touch up tuning at intermission will be performed by the designated piano concert technician on the show day. The tuning of the piano must occur prior to the sound check on the show day. The second tuning must occur after the sound check, just before the show. A touch up tuning must be performed at intermission. Pitch does not matter for this show. Tune the piano to its current pitch. Any other specific instructions for pitch variation, if any, will be given to the promoter and the piano tuner in advance of the show. On the morning of the show date or prior to delivery the piano s voicing must be also checked through. Mr. Corea prefers an even and slightly bright but medium, standard, classical style voicing. Bright, hard, glassy and shrill pianos are not acceptable to Mr. Corea and must be re-voiced before show time. The piano should be checked for regulation and lubrication to its factory specifications. In order to keep the tuning of the piano fresh for the show, the piano should not be tampered with, moved, or played by anyone but the concert piano technician or those specifically authorized by the Producer s staff or stage production staff. Any changes to the piano that Mr. Corea requires must be made prior to show time. If Mr. Corea needs the piano voiced to a softer tone or a more even tone it must be done after sound check. Final show tuning of the piano must be done on stage just before doors open to the venue. Its final performance position cannot be moved after this tuning takes place. Temperature, humidity and lighting on the stage should, at the time of piano s delivery, be adjusted to resemble conditions that will exist during the concert and thus minimize the changes in the piano s sound board, strings, hammers, wood frame, springs and other parts which sometimes occur from changing atmospheric temperatures and conditions. B5> PIANO TECHNICIAN: The designated concert piano technician must be present at the performance site at the scheduled time of arrival of Mr. Corea, so he can be advised by Mr. Corea as to what additional adjustments and re-tunings are necessary. Piano technician must be available at all times while Mr. Corea is at performance site during sound check and throughout the performance or until dismissed by Mr. Corea himself. B6> STAGE REQUIREMENTS: A stage area thirty (30) feet wide and twenty-five (25) feet deep for the exclusive use of the Producer. PURCHASER agrees that this stage will be kept free of people and equipment not necessary to the production during the time it is assigned to the Producer. Purchaser also agrees that if the engagement is to be performed outdoors there will be adequate covering to protect the artist and all equipment from the elements (especially direct sunlight, wind and rain) to the Producer's satisfaction. B7> ACCESS TO STAGE & HALL: Access to place of performance for unloading equipment. Purchaser or Purchaser s representative must be at place of performance upon arrival of Representative. AN ENGLISH-SPEAKING REPRESENTATIVE OF THE PURCHASER MUST BE PRESENT AT ALL TIMES. B8> TIME OF AVAILABILITY OF STAGE: The place of performance will be completely ready and available to Producer for a sound check at least three (3) hours prior to performance. In the event the Producer requires an earlier load-in and set up time, Purchaser will be notified a minimum of twenty-four (24) hours in advance with the specifics of such requirements. Purchaser will also ensure that the stage entrance door is open and unlocked and clearly marked for arrival of Producer. B9> SOUND SYSTEM: PURCHASER will provide a professional sound reinforcement system adequate to reproduce the sound in the concert hall. The system shall be chosen for its high quality and clean sounds tending more toward a large "hi-fi" system than a loud "rock & roll" system. SEE SOUND ADDENDUM A. B10> SOUND MIXING: PURCHASER will provide three (3) consecutive rows of six (6) seats open, approximately 75-100 feet (23-31 meters) from the stage in the center of the audience for the placement of the sound mixing console and ancillary equipment necessary to the production of the engagement. It is also agreed and understood that a representative of the Producer shall have the sole and absolute authority in mixing and controlling the sound direction while Producer is performing at Producer's discretion only. B11> LIGHTING REQUIREMENTS: PURCHASER will provide at his sole cost and expense the stage lighting requirements as well as lighting operators to operate the lights under the direction of the Producer during the performance. C. ADVERTISING, PROMOTION, PUBLICITY AND ANNOUNCEMENTS C1> BILLING, ARTWORK, ADMATS: (i) PURCHASER agrees to use only the artwork and admats approved by Producer in all printed advertisements, flyers, newspaper ads, posters and any other media. Any alterations to original design must be approved by Producer s management. Purchaser may retrieve approved high-resolution images and posters at http://marketing.chickcorea.com. (ii) PURCHASER agrees to the following billing for any marquees, lobby boards, programs, printed tickets, signs, etc. Rider Current: December 5, 2014 Page: 4

CHICK COREA - 100% PIANO SOLO CONCERT - 50-75% (iii) NO OTHER BILLING IS ACCEPTABLE. This billing is intended to make clear to the public the content of the performance. Any variations of this billing may be considered a material breach of contract. C2> PUBLICITY PHOTOS: Absolutely no unauthorized photos of CHICK COREA will be used in connection with the performance. Artist s management must approve all photos and video BEFORE use, and newly for each performance. Photos supplied for previous performances ARE NOT APPROVED. Any unauthorized photo use may be considered a material breach of contract and will cause the Artist to demand that the material containing the unapproved photo/video be destroyed, in addition to a two thousand dollar ($2,000) penalty fee. Approved photos can be obtained by contacting Evelyn Brechtlein: (727) 421-9518 or evelyn@chickcorea.com. C3> ADVERTISING, PAMPHLET, WEB AND PROGRAM TEXT: Artist s management must approve all text. In the case of non-english text, a correct translation must be provided in English. Any use of unauthorized text may be considered a material breach of contract and will cause the Artist to demand that the material containing the unapproved text to be destroyed, in addition to a ($2,000) penalty fee. C4> MARKETING COLLABORATION: Purchaser will notify Artist s management before subscription and presale tickets are made available. Purchaser will provide on-sale, paid advertising and marketing plans to Artist s management before implementing marketing efforts. The on-sale campaign cannot commence until Artist s management has approved the paid advertising plan. C5> TICKET COUNTS: Purchaser agrees to report ticket sales counts to Artist s management on a weekly basis. C6> INTERVIEWS: PURCHASER agrees not to commit CHICK COREA to any personal appearances, interviews or any other type of promotion or appearances without Producer's prior written consent. C7> OTHER GROUPS AND PERFORMERS: If Producer is performing in a headline situation, PURCHASER agrees that the appearance of any act(s) on the same bill with Producer will be subject to Producer's prior written approval. If this has not been done, or if PURCHASER has not received at least verbal agreement directly from the management of Chick Corea via KRIS CAMPBELL (716) 864-8639 or kris@chickcorea.com, Producer reserves the right to cancel its performance at any time. NO OPENING OR ACCOMPANYING ACTS WITHOUT PRIOR WRITTEN APPROVAL OF THE ARTIST'S MANAGEMENT C8> MERCHANDISING: PRODUCER shall have the sole and exclusive right to sell products (e.g. T-shirts, souvenirs, programs, etc.) in connection with and at the performance hereunder and the receipts thereof shall belong exclusively to Chick Corea Tours Management, Inc., or its assigned agent. PURCHASER agrees that no other programs, souvenirs, photographs, recordings (products identified with artist) or other material shall be sold or distributed in connection with this performance without prior approval of the Producer. PURCHASER will ensure any clearance or approval necessary from venue management or any other party or persons, is obtained to permit Producer to distribute the above merchandise in and around any area of the performance site. C9> COMPLIMENTARY TICKETS: PURCHASER agrees to provide up to ten (10) complimentary tickets or one percent (1%) of the house per performance to the Producer. PURCHASER and House Management comps will not exceed twenty (20) comps without prior approval from Producer. Producer or his representatives will furnish a comp ticket list the evening of the performance and return any complimentary tickets not needed at least one (1) hour prior to the performance. C10> SEGREGATED AUDIENCES: Producer will not appear or perform before any audience which is segregated on the basis of race, color, or creed. C11> ANNOUNCEMENTS: The Producer requires no introduction or announcement to begin or end the performance. However, if there is any announcement required by law regarding safety exits, no smoking, etc., they may only be done in conjunction with the Producer, at least five (5) minutes prior to the start of the performance. ALSO, NO PRE-RECORDED MUSIC SHALL BE PLAYED AT LEAST FORTY-FIVE (45) MINUTES PRIOR TO CONCERT. D. HOSPITALITY AND DRESSING ROOM REQUIREMENTS D1> DRESSING ROOMS: One (1) comfortable, private dressing room and one (1) private reception lounge area equipped with three (3) small clean terry cloth hand towels, chairs or sofas; comfortably heated (75F or 23C), ventilated and lit. These rooms shall be in easy access to clean lavatories, which are supplied with soap, toilet tissue and towels. PURCHASER shall be solely responsible for the security of items in the dressing room area and shall keep all unauthorized persons from entering said area by stationing a representative of the PURCHASER outside the dressing rooms before, during and after the performance. D2> DRESSING ROOM LABEL: The dressing room is to be clearly labeled: CHICK COREA. D3> BEVERAGES AND FOOD FOR BAND AND CREW: The following beverage and food requirements should be placed in the hospitality room by 3pm on the day of the show. Whenever possible, make every reasonable attempt to purchase the foods from a "health food store, such as Whole Foods. Fresh coffee; hot water for tea; selections of herb teas (no caffeine); regular tea (black tea, caffeinated); five (5) bottles each of carbonated and non-carbonated water (such as Perrier, Evian, Calistoga or Poland); STEAM DISTILLED WATER; 100% pomegranate juice (no added sugar); hot and cold cups; stevia sweetener; honey; cream; lemons and limes. FRESH WHOLE ORGANIC FRUIT (such as apples, oranges, bananas, strawberries, pears, and seedless red or green grapes). A variety of unsalted nuts (peanuts, cashews, almonds, etc.) and raisins in bowls. Selection of vegetarian sandwiches. D4> HOT MEAL: PURCHASER will provide dinner for the artist and crew totaling four (4) people. The time for the dinner service should be coordinated with the Tour Manager. Selection of salad dressing (containing no sugar, oil or salt) Vegetable soup w/ mixed beans (non-crème based) Brown rice Well-grilled or well-steamed green organic vegetables, three (3) kinds (spinach w/ garlic, kale, broccoli, bok choy or Brussels sprouts) Surprise vegan dish (no salt, no oil, no sugar) Steamed or grilled fish (salmon or lean white fish; wild-caught and not farmed) *NO plastic. China plates and metal utensils required for service *Please have to go style containers and bags for us to take any leftover food. E. AIRPORT PICK-UPS AND LOCAL TRANSPORTATION E1> AIRPORT PICK-UP: The Artist/Crew is travelling by plane (in most instances); therefore, airport pickups are required. PURCHASER must provide a COMFORTABLE SUV (e.g. LINCOLN NAVIGATOR) PLUS a VAN for 12-15 pieces of LUGGAGE. THE PURCHASER OR PURCHASER S REPRESENTATIVE MUST BE PRESENT AT THE AIRPORT. E2> LOCAL TRANSPORTATION: The same COMFORTABLE SUV is also required for transportation to and from the venue, from the hotel for sound check, and before and after the performance. E3> AIRPORT RETURN: PURCHASER must provide a COMFORTABLE SUV (e.g. LINCOLN NAVIGATOR) PLUS a VAN for 12-15 pieces of LUGGAGE to return the Artist/Crew to the airport on the date of departure. F. INSTRUCTIONS FOR AUDIENCE AND EVENT STAFF F1> AUDIENCE ENTERING HALL: PURCHASER shall not allow audience to enter place of performance until such time as technical set-up and sound check has been completed, unless otherwise agreed. F2> LIGHTS & MUSIC AT CONCLUSION OF CONCERT: Raising the house lights signals the end of the performance, the determination of which shall remain the right of the Producer. IT IS FURTHER AGREED THAT NO MUSIC WHATSOEVER WILL BE PLAYED BEFORE OR AFTER THE PERFORMANCE. G. INSTRUCTIONS FOR TV, VIDEO, RECORDING AND PHOTOGRAPHY G1> RECORDINGS, PHOTOS: NO PORTION OF THIS PERFORMANCE, RENDERED HEREUNDER, MAY BE BROADCAST, PHOTOGRAPHED, RECORDED, FILMED, TAPED OR EMBODIED IN ANY FORM FOR ANY PURPOSE OF REPRODUCING SUCH PERFORMANCE AND PURCHASER AGREES THAT IT WILL NOT AUTHORIZE ANY SUCH RECORDING WITHOUT PRIOR WRITTEN CONSENT OF THE PRODUCER. PURCHASER WILL DENY ENTRANCE TO ANY PERSONS CARRYING FLASH CAMERAS, TAPE OR VIDEO RECORDING DEVICES, WITHOUT LIMITING IN ANY WAY THE GENERALITY OF THE FOREGOING PROHIBITION. G2> A SIGN MUST BE PLACED AT EACH ENTRANCE TO THE CONCERT SITE STATING: "NO PORTION OF THIS PERFORMANCE MAY BE PHOTOGRAPHED, RECORDED, VIDEOED OR FILMED". H. SECURITY H1> SECURITY: PURCHASER will provide adequate security personnel for the protection of the artist, persons who travel with the artist and their personal property. Such security personnel will be available during sound check, performances, and at least one (1) hour after performance. One (1) guard for the dressing rooms during the entire time the rooms are in use, adequate guards for the stage area, and one (1) guard at the mixing console while the audience is being seated, during any intermission and after performance until the audience has departed. The Tour Manager shall have the sole control of placement of such guards. H2> THE STAGE AND BACKSTAGE AREAS SHALL BE CLEARED OF ALL PERSONS DURING THE PERFORMANCE SUBJECT TO PRODUCER'S DISCRETION. I. PERMITS, LICENSES AND WORK VISAS I1> PERMITS AND LICENSES: PURCHASER shall furnish and provide at his sole cost and expense any and all necessary permits, licenses, work permits, and authorizations from any and all governmental agencies, bureaus and departments, federal, state or local. J. HOTEL REQUIREMENTS J1> HOTEL REQUIREMENTS: Purchaser shall provide deluxe 5-star hotel accommodations for the band and crew. This shall consist of one (1) large suite (no junior suites) and three (3) king-bed single occupancy rooms. Please arrange for large rooms on high, quiet floors. The hotel should have a fitness room, health facility or gym available. The hotel is subject to approval by the Producer. Please e-mail the proposed hotel to KRIS CAMPBELL kris@chickcorea.com for approval. The rooms should be booked for CHICK COREA. One (1) BEDROOM SUITE with SEPARATE LIVING ROOM, and three (3) large single rooms with king beds. 5-STAR QUALITY HOTELS ONLY, PLEASE. One (1) practice keyboard (Yamaha P-35 or similar) with keyboard stand, music stand, piano bench, sustain pedal. To be set up in the suite prior to arrival. J2> ROOM CHARGES: Purchaser is liable for the room and tax charges. Producer shall ensure that all the incidental charges (phone, restaurant, etc.) are paid upon departure. K. LEGAL AND CONTRACTUAL CLAUSES K1> BREACH OF AGREEMENT: In the event PURCHASER shall breach this agreement, Producer shall have the right without limiting any of its other remedies hereunder, to refrain from rendering a performance or stop rendering a performance if such a breach occurs during the rendition of a performance. Notwithstanding the cessation of such performance, the PURCHASER shall be liable to Producer for all of the fees and compensation hereunder in the same manner as though the Producer had fully performed. A BREACH OF ANY CLAUSE IN THIS RIDER BY THE PURCHASER SHALL BE DEEMED A MATERIAL BREACH. If Producer Rider Current: December 5, 2014 Page: 8

elects to perform or continue to perform notwithstanding a breach of this agreement by PURCHASER, the performance by Producer shall not constitute a waiver or any claim the Producer may have for damages or otherwise. K2> AMENDMENTS TO AGREEMENT: Any proposed additional terms or conditions which may be affixed to this contract by PURCHASER does not become part of this contract until signed by CHICK COREA TOURS MANAGEMENT, INC. By sole act of signing, PURCHASER accepts all provisions of the CHICK COREA TOURS MANAGEMENT, INC. contract regardless of any additions or deletions PURCHASER may try to make. K3> LEGAL RELATIONSHIP: This agreement shall not be construed to create a joint venture or partnership between Purchaser and Producer and no business relationship other than that of Purchaser/Producer shall exist between the parties. K4> FORCE MAJEURE: In the event of national or international emergencies, terrorist acts, public calamity, riots, epidemic, fire, serious illness or injury, transportation strike, war, or cancellation not under the control of CHICK COREA TOURS MANAGEMENT, INC., or other act of God, no claim shall be made of CHICK COREA TOURS MANAGEMENT, INC., in respect to non-fulfillment of this agreement with regard to the concert(s) so affected. In the event of serious illness or injury, a doctor's certificate will be supplied by CHICK COREA TOURS MANAGEMENT, INC. K5> TRANSFER OR ASSIGNMENT: It is agreed that this rider and attached contract may not be transferred in whole or in part to any other party or individual. It is the sole responsibility of the PURCHASER to deliver, perform, comply with and complete each detail of this rider and attached contract. System must produce a full and even coverage of the complete audience. System should be capable of producing a minimum SPL of 95dB at the last row with a frequency response of 30hz 18khz: LINE ARRAY SYSTEMS PLEASE. Please supply additional speakers for front and near fills. 4-6 6.5" or 8" with HF driver for the Front fills. 2-4 Near fills with same HF driver as used in the Array. Minimum Array Length: Greater than 2.5m Maximum Bottom Box Height: About 4m Please supply a Line Array System Operator with all access to the System Controller. THE MIXING POSITION MUST BE LOCATED IN A PLACE THAT IS REPRESENTATIVE OF THE SOUND HEARD BY THE ENTIRE AUDIENCE.
