Talent Inquiry Letter, 1999 Mr./Ms. Re: Inquiry Regarding Dear : We are writing to learn whether your client, ( Artist ), would be interested in providing his services as an on-camera spokesperson on behalf of our client, ( Sponsor ) and its various products and services in accordance with the basic terms set forth in this letter. As I mentioned in our telephone conversations, Sponsor is not prepared, at this time, to make an offer to Artist. This is merely an inquiry.

Optional Services & Optional Materials: Optional Shoot Days: ( ) additional twelve-hour shoot days per Term to produce up to ( ) additional television commercials of any length (with Artist will be paid $ for each Optional Shoot Day. Optional Radio Sessions: ( ) additional three-hour radio sessions per Term to produce up to ( ) additional radio commercials of any length (with Artist will be paid $ for each Optional Radio Session. Sessions: Term(s): The above work sessions will be scheduled on dates, times and locations determined by Sponsor, in its sole discretion, subject to Artist's prior bona fide professional availability. Travel time and wardrobe, hair, meal and makeup periods will not count against the 12 hours for each Shoot Day/Optional Shoot Day or against the 3 hours for each Radio Session/Optional Radio Session. Artist will be available for wardrobe sessions and weather days, as required by Sponsor. The Initial Term will be for months, commencing on the first air date. Sponsor will have dependent options for additional, consecutive -month terms. During each Option Term, Sponsor will be entitled to the same rights, services and materials as in the Initial Term, and shall have the right to use any previously produced materials.

Territory: Media: The United States, Canada and their respective territories, commonwealths and possessions, except that for (a) the Internet, the Territory will be defined to include all reaches of the Internet and (b) in flight, the Territory will be defined to include on-board any commercial airline flight that originates or terminates in the United States, Canada, or any of their respective territories, commonwealths or possessions. The materials produced hereunder may be used in any places and media now or hereafter known, including, without limitation, all television (free and cable), all radio, Internet, Industrial, in-store, kiosk, in-stadium, in-flight, in-theater, etc. Exclusivity: Compensation: Option Term Compensation: $, payable quarterly in four equal installments, provided a long-form agreement is signed. All union fees will be applied at [double] scale. First Option Term: $, if the option is exercised, payable quarterly in four equal installments. Second Option Term: $, if the option is exercised, payable quarterly in four equal installments. Availability: Artist must be available for the first Shoot Day on, 1999 in the greater Los Angeles area.

Expenses: If Artist shall be required by Sponsor to travel to a location which is 75 miles or more from his residence (or then-current location, if closer), Sponsor shall provide: (a) round-trip, first class air transportation (if available and if used) for Artist only between Artist's residence (or then-current location, if closer) and location where his services are required; (b )first class hotel accommodations for Artist only (room rate and related taxes only)(if used); and (c) ground transportation (car service) to and from airports and between Artist's hotel and the location where his services are required. If Artist approves of these terms, please let us know. Then, if Sponsor also approves of this deal and elects to go forward with Artist, we will send a formal agreement containing the above terms and other terms and conditions customary for overscale artist agreements. Of course, this letter does not create any legal obligations between Artist and Sponsor. I look forward to hearing from you. Very truly yours,, as agent for

TALENT AGREEMENT and RELEASE This will confirm the agreement between ( Artist ) and ( Agency ) as agent for ( Client ). (i) SERVICES: 1) Artist will be available on as required for a one day session to film one television commercial to take place at a time and place to be determined by Agency after consultation with Artist. 2) Artist agrees to use of Artist s name, picture and likeness in up to two different versions of the commercial on the terms provided in this agreement in connection with advertising for (the Products ). (ii) MEDIA: Client. Artist s name, photograph and likeness may be used in television advertising for (iii) TERM: 1) The initial term for the use of Artist s name, picture or likeness shall be one year from the date of the session. 2) Client shall have one option to extend the term for one additional year. (iv) COMPENSATION: 1) In full payment for the rights granted by Artist and services provided by Artist under paragraph 1, Client agrees to pay and Artist agrees to accept the sum of $50,000 payable within ten (10) business days of the session. 2) In full payment for one additional year s use as provided in paragraph 3(b) Client agrees to pay and Artist agrees to accept the sum of either $50,000 if use is limited to or $75,000 if use is for, $50,000 payable within ten (10)
