The business terms and conditions of the partner, unless expressly recognised by us, are not applicable. General provisions Full details of any verbal agreements will be immediately confirmed in writing by the contracting partners. Orders will not be binding until they are confirmed by Josef Foellmer GmbH. Prices If there are no special agreements our prices are ex work excluding packaging. Our prices are in Euro, exclusive of any applicable home country tax. Payment terms All invoices are due for payment within 30 days of the invoice date. A cash discount of 2% can be deducted when the invoice is paid within ten days. Prepayment for foreign countries is standard. If the payment terms are not met, we shall be entitled to bill interest on arrears at the current interest rate due for current account overdrafts. If our partner claims supplied goods are defective, our partner is nevertheless obliged to pay. Bills of exchange and cheques will only be accepted where this has been agreed, and only on account of performance. All charges and fees concerning bills of exchange or cheques will be paid for by the partner. If it becomes apparent after conclusion of the contract that our claim to payment is at risk owing to the partner s lack of financial capacity, we shall be able to refuse performance and to set the partner a reasonable deadline within which it must make payment or provide security concurrently with delivery. If the partner refuses to do so or the deadline expires without result, we shall be entitled to withdraw from the contract and demand damages. All bank charges in and outsider Germany have to be paid by the buyer. Delivery Compliance with the delivery date or delivery period will be based on our written notifications of readiness for shipment or collection. The delivery period commences on dispatch of our order confirmation and may be extended in case of missing information or documents which have to be provided by the partner. The delivery period is met when the goods are notified as being ready for shipment or the goods already departed from the factory. The delivery period shall be extended accordingly in case of labor disputes, especially strike and lockout, or in case of unforeseen events that we are not responsible for. This is also valid if the circumstances arise with subcontractors. We are not to make responsible for the aforementioned circumstances if they occur during an existing delay. We will immediately inform the partner in writing of the beginning and end of this events. The partner is only entitled to withdraw from the contract if we are responsible for the delivery date not being met and the partner has allowed us a reasonable period of grace without result. If damage grows to the customer due to a delay that is incurred as a result of our negligence, he is entitled to demand compensation with exclusion of further claims. It amounts for each week of delay 1/2%, the maximum penalty is 5% of the value of that part of total delivery which cannot be used due to the delay in time or contract. Delivery date or period con only be met if the partner fulfils the contractual obligations. Shipment and transfer of risk The risk is transferred to the partner not later than departure of the goods from the factory or warehouse. This also applies in case of partial deliveries or special agreements, e.g. We agree to pay the forwarding charges or delivery costs. If the delivery is delayed on the partner s request the risk is transferred to the partner when the goods are notified as being ready for shipment. All shipments are insured by our shipping insurance. Therefore it is calculated a fee. The own risk is 100 Euro. The conditions of the insurance on claims must be observed. Transit insurance can be covered by the buyer and the shipping insurance may be rejected by us. Partial deliveries are permitted. Warranty For delivery defects, which include the lack of expressly warranted qualities, we are liable with exclusion of further claims in the manner that we overwork or replace all the parts free of charge, at our discretion subject to election repair or delivery replacement, that within 12 months from transfer of risk has occurred before passing of risk, particularly due to faulty design, poor materials or poor workmanship, turn out to be unusable or affected in their usability. Claims for material defects have to be expressed in writing. Consequences of unsuitable modifications or repairs undertaken by the partner or third parties without our approval will be excluded. If we fail to improve or replace the defect material or goods, or fail to do so within a reasonable time in accordance with the terms of the contract, the partner may set in writing a final deadline within which we must fulfil our obligations. In the event of this period expiring witout result, the partner may withdraw from the contract. Any additional or more extensive claims by the partner against us are excluded. This shall apply in particular to cl aims for indirect damages not deriving from the delivered goods themselves. Charges for dismounting/installation and transportation are not at the expense of our company. Reservation of title We reserve the right of ownership in respect of the goods supplied until such time as all claims under the business relationship with the partner have been met. In the event of breaches of its duties by the partner, in particular in the case of delayed payment, we shall be entitled, after a reasonable period of grace allowed to the partner for performance has elapsed without result, the partner shall return on our request the goods to us at his expense. The partner shall be obliged to surrender the goods. We commit ourselves not to assert these claims if our partner meets his payment obligation duly. We are allowed to request from the partner to disclose his assigned claims and their liable parties, all information needed for the collection, delivers all appendant documents and notfies his liable parties of the assignment. If our products are combined with other goods not belonging to us for resale the claim of the partner to the buyer is asigned to us with the value of the agreed delivery price. If the value of the existing securities exceeds the secured claims in total by more than 20%, we undertake, at the partner s request, to release securities of our choice in this respect. Liability The limitations of liability indicated above do not apply in the case of specific intent, gross negligence on the part of our legal representatives or senior employees, and in the event of knowing violation of significant contractual obligations. Other claims The partner may withdraw from the contract when we are not able to fulfil our contractual obligations before the transfer of risk.
