3 Information prepared for Nye County Meeting, April 2oth, 2004 Information related to CMA Communications intention to transfer Eagle West LLC Cable TV franchise servicing the town of Pahrump, NV, to ETAN Industries Inc. (dba Cable Management Associates) CMA contact: Doug Bridges, President ext 3 11 About ETANKable Management Associates ETAN Industries is a privately held Dallas, Texas-based corporation with wide-ranging interests in the cable television and telecommunications industries. ETAN operates 3 primary business units: * Cable Management Associates (aka CMA Communications) o A cable television operator serving over 62,000 customers. CMA commenced operations in Credit Protection Associates o A leading credit collection agency providing accounts receivable collection services to cable television, video rental and telecommunications companies throughout the United States since ATS - Automated Telecommunication Services o A leading firm specializing in automated services provided to cable television, video rental and telecomunications companies throughout the Unlted States. Cable Management Associates (CMA) is the 33rd largest multiple-system operator in the United States. CMA currently services over 62,000 customers in 39 headends throughout Mississippi, Louisiana, Texas and Nevada. CMA's existing Nevada operations include well-functioning operations in Laughlin and Searchlight (Clark County). Financial information As a privately held company with minimal debt liability, ETANKMA is in an ideal situation to take ownership of, and operate, the cable system in Pahrump. Technical information/crualifications CMA's key management includes seasoned professionals who each possess more than 15 years of successful cable television operation experience:

4 Doug Bridges, President Mr. Bridges has been involved in all ETAN operations for over 20 years. Mr. Bridges is a Certified Public Accountant who possesses a strong background in corporate finance. Mr. Bridges is responsible for overall performance of the CMA business unit as well as all finance-related matters for ETAN. Mark Reaves, Vice President Operations Mr. Reaves has been with CMA for over 18 years in a variety of system-level and corporate engineering and technicalrelated positions. He has extensive experience rebuilding systems. Mr. Reaves is currently planning the rebuild and upgrade of the Pahrump system. Mr. Reaves 1s also well-versed in all aspects of FCC technical requirements and standards. Mr. Reaves has spent considerable time operating cable systems in Nevada, including serving as System Manager for CMA's Laughlin, NV system. Mr. Reaves will assume ultimate authority and responsibility for all operational and technical aspects of the Pahrump system. Dennis Husa, System Manager -Laughlin, NV Mr. Husa has been with CMA for over 15 years in a variety of technology positions. He is currently based in Laughlin. NV where he oversees the operation of the system. Mr. Husa will initially be responsible for overseeing the smooth transition from Eagle West to CMA. In addition, he wdl be responsible for providing guidance and supervision of the new system manager, as well as overseeing on a day-to-day basis the rebuild ofthe Pahrump system. Upon closing of the sale and the City's approval of franchise transfer, CMA anticipates opening a local office in the Pahrump area and hiring a local System Manager. CMA has already begun informal discussions with Eagle West regarding the availability of existing technical personnel to stay with CMA after the closing. CMA anticipates having a strong presence in the Pahrump community with a well-staffed local office, a System Manager with strong community orientation, and skilled and dedicated technicians focused on providing a variety of broadband products and services to the residents of Pahrump.

One Franchise, which cxpiws on November 8, 2003, was granted to Black Rock Cable to provide Cable W service on a county wide basis. The other Franchise, which expires on March 2, 2006, was granted to Tonapah T. V., incorporated to provide Cable TV service within rhe uninmrporated Town of Tonopah. Both of these Franchises were transferred to Eagle West, LLC on September 21, (see Nye County lctters atbched) Eagle West, LLC is requesting that Nyc County extend Lhe expiration date of the Black Rock Cable Franchise to March 2, 2006 which is the same time that the Tonopah T, V., Incarporated Franchise expires. All of the Eagle West, LLC cable systems are ~unently being sold and another request to transfer these Franchises to the new owners will be furthcorrling during the next few months. 8 EXTENSION OF THE TERM OF A FRANCHISE COUNTY OF NYE, NEVADA WHEREAS, on January 20, 1989 WE COUNTY, NV granted to BLACK ROCK CABLE, a Nevada corporation, a Franchise that was recorded in the Official Records of Nye County, in Book 676 from Page 430 through Page 436. FOR AUTHORIZED USE OF ROADS, ALLEYS, AND EASMENTS FOR THE INSTALLATION, 1qmTENANCE AND OPERATING OF CERTIN PHYSICAL FACXLITIES IN THE OPERATION OF A COMMUNITY ANTENNA TELEVISION SYSTEM: WHEREAS, at the end of January 1989 BLACK ROCK assigned the Franchise to STERLING CABLE FUND, a Colorado corporation; in January of 1902 STE?LT?:G assigned the franchise to PHOENIX LEASING INCORPORATED, a California corporation; in April of 1986 PHOENIX assigned the Franchise to EMPIRE CABLE OF NEVADA, INC, a Colorado corporation; in December 1995 EMPIRE assigned the Franchise to WANDER COMMUNTCATIONS of NEVADA LLC, a Nevada Limited Liability Company; and in September of 1999 WANDER assigned the Franchise to EAGLE WEST, LLC, a Kansas Limited Liability company. WHEREAS, the Franchise Term ended November 8,2003; and WHEREAS, on October 6, 2003 Eagle West, LLC made a request to the Nye County Board of Commissioners to extend the Franchise Term from November 8,2003 to March 2,2006: NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Nye County does hereby approve the extension of the Term of the Franchise granted on January 20, 1998 to BLACK ROCK CABLE AND ASSIGNS from November 8,2003 to March 3,2006 subject to the following conditions: Grantee and assigns agrees to accept the terms of the Franchise and agrees to perform all conditions of the Franchise from and after November 8, 2003 and frail; ax3 after the dats 5ereof..
