Box 28 Honolulu, Hawaii This Document Contains (~I Pages Telephone No TMK No. (1) 2-3-6: 17 FIRST AMENDMENT TO DECLARATION OF CONDOMINIUM PROPERTY REGIME OF WAIIIONUA AND CONDOMINIUM MAP 2131 WHEREAS, the Declaration of Condominium Property Regime of Waihonua dated October 26, 211, made and executed by KEWALO DEVELOPMENT LLC, a Hawaii limited liability company, as the Developer (the Developer ), was recorded on October 27, 211, in the Office of the Assistant Registrar of the Land Court of the State of Hawaii (the Land Court ) as Land Court Document No , duly noted on Transfer Certificates of Title Nos. 987,18, 987,19, and 987,2 (hereinafter called the Declaration ), and as shown on Condominium Map No. 2131, filed in the Land Court (the Condominium Map ); and WHEREAS, the Developer now desires to amend and revise the Declaration as more particularly enumerated and set forth in this First Amendment to Declaration of Condominium Property Regime of Waihonua and Condominium Map 2131 (the First Amendment ); and WHEREAS, all terms capitalized and not otherwise defined herein shall have the respective meanings ascribed to them in the Declaration; and WHEREAS, the Developer is the owner of all Units in the Project and thus one hundred percent (1%) of the Common Interests in the Project and pursuant to the provisions of Sections 19.1 and 26.4 of the Declaration has the right to amend the Declaration (including all exhibits) in any manner the Developer deems appropriate. NOW, THEREFORE, in consideration of the Recitals set forth above and in accordance with the provisions of Sections 19.1 and 26.4 of the Declaration, the Developer does hereby amend, revise and modify the Declaration and the Exhibits to the Declaration, in the following respects:

2 Amendments to Section 4. following respects: Section 4 of the Declaration is hereby amended in the a. The introductory paragraph to Section 4 appearing on pages 6 and 7 of the Declaration is hereby amended and restated in its entirety to read as follows: 4. DESCRIPTION OF THE PROJECT The Project shall be constructed princi~,pally of concrete, wood, glass and steel. The Project shall contain aforty three (43) level building (the Tower ), which will include a six (6) level platform or podium (the Platform 9. The Project shall contain three hundred forty-one (341) Units and Common Elements, as described in Section 5.2 below and as shown on the Condominium Map. b. Section 4.1 appearing on page 7 of the Declaration is hereby amended and restated in its entirety to read as follows: 4.1 Platform / Tower Level 1. Platform / Tower Level 1 will include driveways from Waimanu Street, and the Ko olani Parking Garage, a porte cochere, a manager s office, an administrative office, an office, a parcel storage room, an employee lounge, employee unisex restroom, lobby unisex restroom, a mail room, a maintenance storage room, a storage room, a janitor s closet, two (2) telecommunications rooms, a HECO electrical vault room, an electrical room, a lobby, elevator lobby, four (4) elevators, three (3) stairways, a trash room, a vestibule, a holding/loading area, a fire/security control room, a fire pump room, a water pump room, surfboard storage room, a generator room, thirty-seven (37) storage lockers, one hundred six (16) parking stalls (one (1) of which is van accessible), two (2) loading areas, one vehicle ramp to the Ko olani Project parking garage, andfour (4) vehicle ramps to Platform / Tower Level 2, as shown on the Condominium Map. There are also three (3) grade level loading stalls located off the Community Access Drive located on the Ko olani Project lands (not on the Project Land) as shown on the Condominium Map which are available for use by the Owners and Association pursuant to the terms of the Reci~procal Easement Agreement. c. Sections 4.7 and 4.8 appearing on pages 7 and 8 of the Declaration are hereby amended and restated in their entireties to read as follows: 4.7 Tower Levels 7-4. Each of Tower Levels 7 through 4 will include nine (9) residential Units, an elevator lobby, four (4) elevators, two (2) stairways, one (1) trash room, one (1) low volt room, and one (1) electrical room as shown on the Condominium Map. 4.8 Tower Levels Each of Tower Levels 41 through 43 will include seven (7) residential Units, an elevator lobby, four (4) elevators, two (2) stairways, one (1) trash room, one (1) low volt room, and one (1) electrical room as shown on the Condominium Map. 2. Amendments to Section 5. Section 5 of the Declaration is hereby amended in the following respects:

3 a. Section 5.1 appearing on page 8 of the Declaration is hereby amended and restated in its entirety to read as follows: 5.1 Units. There are hereby established in the Project three hundred forty-one (341) Units, as designated and shown on the Condominium Map. Each Unit consists of the spaces within the perimeter and party walls, windows, doors, floors and ceiling of the respective Unit as shown on the Condominium Map. b. Section appearing on page 8 of the Declaration is hereby amended and restated in its entirety to read as follows: Floor Plans of Units. The Units are constructed according to ti~venty-one (21) cflfferent floor plans. A description of each of the floor plans for the Units is set forth in Exhibit B attached hereto and for every purpose made apart hereof c. Section appearing on page 9 of the Declaration is hereby amended and restated in its entirety to read as follows: Parking Stall numbers 28L, 39L, 49L, and 59L as shown on the Condominium Map are loading stalls for the non-exclusive use of the Owners; provided, however, that at the option of the Developer during the Development Period and/or the Association, one or more of these parking/loading stalls may be improved by the addition of one or more approved electric charging stations within or immediately adjacent to such parking/loading stalls, each of the same uses being subject to all applicable rules, procedures and regulations as may be adopted from time to time by the Board in the House Rules; d. Section appearing on page 1 of the Declaration is hereby amended and restated in its entirety to read as follows: The portion of corridors located on each of Levels 6 through 43 of the Tower designated on the Condominium Map as a Potential Future Limited Common Element area and located directly adjacent to a Type A Unit and a Type H Unit, or a Type E Unit and a Type F Unit, or a Type N Unit and a Type H Unit, or a Type N-i Unit and a Type H Unit, or a Type R Unit and a Type F Unit, or a Type R-i Unit and a Type F Unit owned by the same Owner (each a Combo Unit ) shall, upon and subject to (a) Board approval of the Combo Unit Owner s request to enclose the Potential Future Limited Common Element area by installing a door matching the specifications for the entry doors of Units in the Project, and (b) the Combo Unit Owner s compliance with the terms of Section 18.2 of this Declaration, constitute a Limited Common Element appurtenant to andfor the exclusive use by the Combo Unit. 3. Amendment to Exhibit B. Exhibit B to the Declaration is hereby deleted in its entirety and the revised version of Exhibit B attached hereto is hereby substituted in lieu thereof, and shall fully replace the version of Exhibit B attached to the Declaration

4 4. Amendment to Exhibit C. Exhibit C to the Declaration is hereby deleted in its entirety and the revised version of Exhibit C attached hereto is hereby substituted in lieu thereof, and shall fully replace the version of Exhibit C attached to the Declaration. 5. Amendment to Condominium Map No The current Condominium Map, consisting of Sheets CPR-., CPR-.1, CPR-l.l thru CPR-1.6, inclusive, CPR-l.l I thru CPR-1.26, inclusive, and CPR-3.1, and CPR-3.2, inclusive, filed in the Land Court as Condominium Map No is hereby deleted in its entirety and the amended Condominium Map, consisting of new Sheets CPR-., CPR-.1, CPR-1.1 thru CPR-1.6, inclusive, CPR-1.11 thru CPR-1.28, inclusive, and CPR 3.1, and CPR-3.2 filed and recorded concurrently with this First Amendment is hereby substituted for and shall fully replace the current Condominium Map filed for the Project. In accordance with Section 5 14B-34 of the Hawaii Revised Statutes, attached hereto and affixed to the replacement Condominium Map filed herewith is the statement of the project architects (Design Partners Incorporated) certifying that the replacement plan Sheets CPR-., CPR-O.1, CPR-1.1 thru CPR-1.6, inclusive, CPR-1.I I thru CPR 1.28, inclusive, CPR-3.1, and CPR-3.2, inclusive, are consistent with the plans of the condominium building filed or to be filed with the government official having jurisdiction over the issuance of permits for the construction of buildings in the City and County of Honolulu, State of Hawaii. 6. Ratification. The Declaration, as further amended by this First Amendment, is hereby ratified and confirmed and shall continue in full force and effect. ISignatures Appear on Following Pagel

8 EXHIBIT B DESCRIPTION OF UNITS The different types of Units contained in the Project are more particularly described as follows: The Project contains three hundred forty-one (341) residential Units. The Units are divided into twenty-one (21) different types, designated herein and on the Condominium Map as Types A, B, C, D, E, F, G, GR, GRI, GR2, H, J, K, L, M, N, N-i, P, P-i, R, and R-i. The different types of Units are described below. The Units are located on floors numbered 3 through 43. Type A Units: The Project contains thirty-five (35) Type A Units. Each Type A Unit contains a total of eight (8) rooms, including three (3) bedrooms, a walk-in closet, two (2) bathrooms, a kitchen, and a living/dining area. Each Type A Unit has an appurtenant lanai. The approximate net living area of each Type A Unit and its appurtenant lanai is shown on Exhibit C attached to this Declaration. Type B Units: The Project contains thirty-four (34) Type B Units. Each Type B Unit contains a total of seven (7) rooms, including two (2) bedrooms, a walk-in closet, two (2) bathrooms, a kitchen, and a living/dining room. Seventeen (17) Type B Units have an appurtenant lanai. The approximate net living area of each Type B Unit and its appurtenant lanai (if any) is shown on Exhibit C attached to this Declaration. Type C Units: The Project contains thirty-four (34) Type C Units. Each Type C unit contains a total of seven (7) rooms, including two (2) bedrooms, a walk-in closet, two (2) bathrooms, a kitchen, and a living/dining room. Sixteen (16) Type C Units have an appurtenant lanai and one (1) Type C Unit has a juliette balcony. The approximate net living area of each Type C Unit and its appurtenant lanai (if any) and/or juliette balcony (if any) is shown on Exhibit C attached to this Declaration Type D Units: The Project contains thirty-four (34) Type D Units. Each Type D Unit contains a total of seven (7) rooms, including two (2) bedrooms, a walk-in closet, two (2) bathrooms, a kitchen, and a living/dining room. Seventeen (17) Type D Units have an appurtenant lanai. The approximate net living area of each Type D Unit and its appurtenant lanai (if any) is shown on Exhibit C attached to this Declaration. Type E Units: The Project contains thirty-five (35) Type E Units. Each Type E Unit contains eight (8) rooms, including three (3) bedrooms, a walk-in closet, two (2) bathrooms, a kitchen, and a living/dining room. Eleven (11) Type E Units have an appurtenant lanai. Each Type F Unit contains seven (7) rooms, including two (2) bedrooms, a walk-in closet, two (2) bathrooms, a kitchen, and a living/dining room. The approximate net living area of each Type F Unit is shown on Exhibit C attached to this Declaration. Type G Units: The Project contains thirty-eight (38) Type G Units. Type P Unit: The Project contains one (1) Type P Unit. The Type P-I Unit on Level 41 has an appurtenant lanai. 10 Type R-1 Units: The Project contains two (2) Type R-1 Units. Each Type R-1 Unit contains ten (1) rooms, including three (3) bedrooms, a walk-in closet, two (2) bathrooms, a kitchen, a living room, a dining room, and a laundry room. The Type R-1 Unit on Level 41 has an appurtenant lanai. The approximate net living area of each of the Type R-1 Units and its appurtenant lanai (if any) is shown on Exhibit C attached to this Declaration. UNIT AREAS The floor areas set forth on Exhibit C attached to this Declaration are net living areas measured in accordance with Section and of the Declaration, and the Condominium Property Act. The floor plans for each of the Units as shown on the Condominium Map have each been shaded to show the areas measured to determine the net living areas set forth on Exhibit C attached to this Declaration. COMMON INTERESTS A baseline common interest for each Unit was determined by dividing the Unit s approximate net living or floor area by the approximate aggregate net living and floor area of all of the Units, and converting the resulting fraction into a percentage. Adjustments were then made to reflect an equitable distribution of common interests and common expenses based on the projected common element maintenance costs each type of Unit can be expected to generate. The aggregate common interest appurtenant to all of the Units equals 1%. LIMITED COMMON ELEMENT PARKING STALLS Most assigned limited common element parking stalls are covered. whose numbers are followed by U are partially uncovered. Assigned parking stalls Assigned parking stalls whose numbers are followed by C are compact stalls, assigned parking stalls whose numbers are followed by T are tandem stalls, assigned parking stalls whose numbers are followed by TC are tandem compact stalls, and assigned parking stalls whose numbers are followed by H are handicap accessible stalls. All other assigned parking stalls are regular sized. There are a few assigned non-standard and non-conforming limited common element parking stalls whose numbers are followed by NCS. Unit Owners may transfer assigned limited common element parking stalls pursuant to the Declaration, provided that each residential Unit shall always have at least one (1) parking stall as an appurtenant limited common element. LIMITED COMMON ELEMENT STORAGE Assigned storage whose numbers are preceded by 5 are storage rooms. Assigned storage whose numbers are preceded by an L are storage lockers. Unit Owners may transfer assigned limited common element storage rooms or storage lockers pursuant to the terms of the Declaration, provided that storage rooms or storage lockers are always assigned as an appurtenant limited common element to a Unit in the Project. GUEST PARKING; LOADING STALLS; ELECTRIC CHARGING STATION(S) In addition to the assigned limited common element parking stalls, the Project contains certain Common Element parking I loading stalls. Common Element parking stalls whose numbers are followed by C are guest parking stalls. Common Element parking I loading stalls whose numbers are followed by L are parking I loading stalls. Common Element loading stalls whose numbers are following by M are Exhibit B Page 3of4

11 loading stalls. There are fifteen (15) covered street-level Common Element guest parking stalls, numbered 1IGH, 12CC, 13G, 14G, 15G, 16G, 17G, 18GC, 19G, 1O1OGH (van accessible), bug, 112G, 113G, 114G, 115G on the Condominium Map. These stalls are available for use only by the visitors, guests and invitees of the Units. The Project contains five (5) Common Element loading stalls on the ground level of the Project numbered 19DM, 191M, 192M, 193M and 194M on the Condominium Map. The loading stalls numbered 19M and 191M are non-standard sized loading stalls, and loading stalls 192M, 193M, and I 94M are conforming loading stalls located off of the Community Access Drive which is a portion of the lands comprising the Ko olani condominium project located immediately adjacent to the Project as shown on the Condominium Map, and which loading stalls the Project has a non-exclusive easement to use pursuant to the Reciprocal Easement Agreement as defined in the Declaration. The Project also contains four (4) standard sized Common Element parking I loading stalls located on Platform / Tower Level 2 (28L), Platform / Tower Level 3 (39L), Platform / Tower Level 4 (49L), and Platform / Tower Level 5 (59L), one or more of which at the option of the Developer during the Development Period and/or the Association may be improved by the addition of one or more approved electric charging stations within or immediately adjacent to such parking or loading stalls, subject to applicable rules, procedures and regulations as may be adopted from time to time by the Board in the House Rules Exhibit B Page 4 of 4
