ROCKWOOL tovarne t v kateri proizvajajo izdelke iz cenika: IST Potpićan, Istra, Hrvaška TAP Tapolca, Madžarska Klasifikacija razpoložljivosti izdelka: A ni zahteve po minimalni količini naročila. B ni zahteve po minimalni količini naročila. C 1,5t minimalna količina naročila je 1,5ton. C 3t minimalna količina naročila je 3 tone. C 6t minimalna količina naročila je 3 tone. Spremembe 3 delovne dni pred dostavo se zaračunajo 100 EUR. Spremembe 2 delovna dneva pred dostavo se zaračunajo 200 EUR. Spremembe 1 delovni dan pred dostavo niso možne. Preklic naročil Preklic naročila 3 delovne dni pred dostavo se ne zaračuna. Preklic naročila 2 delovna dneva pred dostavo se zaračuna 100 EUR. Preklic naročila 1 delovni dan pred dostavo se zaračuna 200 EUR. Stroški za dodatna mesta raztovorov 1EUR / km se zaračuna za vsako razdaljo daljšo od 70km med dvema točkama dostave. Stroški raztovorov in čakanje na raztovor Najdaljši čakalni čas raztovarjanja je 2 uri; vsako dodatno uro čakanja se zaračuna 25 EUR / h do 15:00 ure na potrjenem datumu raztovora. V primeru, da se vozilo ne raztovori na potrjeni datum razkladanja do ure se zaračuna stroške v višini 100 EUR + 25EUR / h, s pričetkom ob 08:00 uri naslednjega dne. Strošek odklapljanja prikolice od tovornjaka znaša 200 EUR, za dostave znotraj 50 km z varovanim parkiriščem za odklopljene prikolice. * Za natančen znesek stroškov sprememb naročila se obrnite na službo za pomoč strankam ali prodajno predstavništvo. Stroški so odvisni od vrste spremembe.

15 GENERAL TERMS AND CONDITIONS OF DELIVERY AND SALE 1. GENERAL AREA OF APPLICATION The present General Terms and Conditions of Delivery and Sale shall define the framework of terms and conditions by which the company ROCKWOOL Adriatic d.o.o. (hereinafter referred to as: the Seller) delivers and sells its products to buyers (hereinafter referred to as: the Buyer). The data, labels or statements/representations contained in catalogues, brochures or other written materials which have been printed or published by the Seller, or by order of the Seller, and are used exclusively for promotional purposes shall not represent the General Terms and Conditions of Delivery and Sale. Entering into a sale contract with the Seller (irrespective of the form in which the same is being entered into), the Buyer automatically accepts these General Terms and Conditions in their entirety, unless otherwise agreed by and between the contracting parties in writing. 2. PRICES / DELIVERY OF PRODUCTS The prices are defined by the applicable pricelist as valid on the date of the Buyer s placing the order, for a delivery within an ordinary/reasonable period of time. The prices do not include value-added tax (VAT). The Seller reserves the right to change the prices of its products, in the period between the Buyer s order placing and the Buyer s payment of the liability due for that specific order, in all cases in which such a price change is conditioned and caused by the changes of tax rates and transport costs, proportional to the actual changes. The products from the Seller s offer shall be delivered in standard packaging as defined in the pricelist. The products are delivered exclusively on a full truckload basis to the buyer s warehouse, or a full wagon basis to the closer train station to the buyers warehouse. The delivery clause (Incoterms) shall be separately agreed by and between the Seller and the Buyer. The Buyer shall place its order to the Seller in writing, stating all the elements required for timely execution of the delivery, including but not limited to the type of product(s), quantity, packaging, etc. The Seller reserves the right to decide unilaterally whether certain orders shall be executed through successive partial deliveries. The Seller shall define the dates of transport and the dates of delivery in good faith. However, the same shall represent only the Seller s expectation, and are not binding as such. 3. UNFORESEEABLE CIRCUMSTANCES AND ACT OF GOD The Seller shall not be held liable for the losses caused by delays or failure to deliver the goods if such delay or failure to deliver the goods has been caused by extraordinary and unforeseeable circumstances beyond the Seller s control, or due to an act of God (floods, fire, strikes, delays in supplies, etc.). The Buyer shall accept a partial delivery which can be executed during the events caused by an act of God. 4. TRANSPORT The selection of a carrier / transport company shall be the exclusive responsibility of the Seller. Transport costs shall be borne by the Buyer, irrespective of whether such costs are included in the product price or are subsequently charged to the Buyer. The risk of damage, loss or delay in delivery of the products shall pass from the Seller at the moment when the goods are handed over to the designated carrier. Signing the waybill or other corresponding document issued by the carrier, the Buyer confirms that the goods have been delivered in full. The Buyer undertakes to take over the products in good faith. In case that the products are to be delivered to a construction site, the Buyer shall provide the conditions in which vehicles can reach the delivery point without exposing themselves to any danger or risk and leave without unnecessary delays. The Buyer shall cover all the costs arising from the vehicle being unnecessarily delayed on the construction site, as well as all other costs relating thereto. The Buyer shall dispose of the packaging in which the products have been packed and the product waste, unless otherwise agreed by and between the contracting parties in writing. 5. RESPONSIBILITY The Buyer shall inform the Seller on all defects in quantity and quality of the delivered products. Such notice shall be delivered to the Seller in writing, within two working days as of the date of receipt of the goods. Should the Buyer fail to fulfil the above mentioned obligation, it shall be considered that the Buyer has accepted the quality and quantity of the delivered goods. Should during the above described procedure some flaws or defects of certain products be established, the Seller shall replace such products with identical products in proper condition. The Seller s obligation shall arise only if the Buyer acts in accordance with the above described procedure. Claims do not exempt the Buyer from payment obligations. The Seller shall not be liable for the damage suffered by the Buyer due to incorrect handling or inadequate use of the delivered products. In case that the Buyer uses the Seller s products as a constituent part of systems or final products with its products or together with the products produced by a third party, the Seller shall by no means be held liable for material and legal defects of those systems or final products. 6. PROMOTIONAL MATERIALS All products, drawings, blueprints and any other information to be used in the presentation of possible methods of application of the products (hereinafter referred to as: Promotional Materials) shall be exclusively used for that purpose and may not ever be considered as the instructions for installation of the products. The data on the products shall be given only for information purposes. Due to the nature of the materials used in production or due to the production process itself, the size, colour and weight of the delivered products may differ from the size, colour and weight of the products which are shown in Promotional Materials. All delivered samples shall be considered as standard samples. The delivered goods should not necessarily and fully correspond to the samples. All technical blueprints and documents delivered to the Buyer by the Seller shall exclusively be the property of the Seller and as such may not be used, reproduced or submitted to third parties without a prior written permission of the Seller. 7. TERMS OF PAYMENT The Seller and the Buyer shall agree on the terms of payment exclusively in writing. All payments shall be made to the Seller s bank. The statutory penalty interest of 15 percent p. a. shall be charged on all amounts due but unpaid. In case of any change of the statutory penalty interest, the new interest rate shall be applied on all outstanding claims which are due but unpaid. 8. RESERVATION OF TITLE The Seller shall retain the title to the delivered goods until the Buyer pays the price under the contract in full. The documents (debentures, drafts or transfers of bills of exchange) issued, accepted or endorsed for the purposes of guaranteeing payment under certain contracts, shall always be considered as issued with recourse i.e. with reservation of title. Should the Buyer issue a bill of exchange or some other instrument to guarantee payment, directly or by endorsement of the guarantee instruments issued by third parties, in the amount which partially or fully covers the product price, the provision on the reservation of title shall remain in effect even if such a bill of exchange, or any other guarantee instrument, has been fully or partially renewed. In the above mentioned case it shall be deemed that the contracting parties have not closed the previous obligation, for which reason the provision on the reservation of title shall remain in effect in full as long as such a debt, or any other claim, is not paid in full, or renewed. 9. ACCEPTANCE AND CANCELLATION OF ORDER In each order the Buyer shall specify the type and quantity of the product(s) ordered, the product packaging as specified in the pricelist, as well as all other details required for timely execution of such order by the Seller (hereinafter referred to as: Order Elements). The Seller shall accept an order by sending in an official confirmation of the same in writing. The Buyer shall be entitled to change or to cancel all or some of the Order Elements within 24 hours as of the receipt of the same by the Seller. The Seller shall be obliged to accept and confirm the acceptance of such changed order in writing, provided that the change was made within the above mentioned 24 hours. If the Buyer does not change its order within 24 hours as of the receipt of confirmation for the same, the confirmed Order Elements shall be considered as accepted. The Buyer shall cover the costs which might arise from cancellation of the already confirmed orders. In case of the cancellation of a confirmed order, the Seller shall be entitled to retain the advance payment received, irrespective of further claims which the Seller might have on the basis of damages. 10. TERMINATION OF CONTRACT In case that the Buyer cancels the order or fails to accept the ordered goods which are subject to these General Terms and Conditions, the contract shall be automatically terminated. 11. SETTLEMENT OF DISPUTES The contracting parties shall endeavour to settle possible disputes, which might arise from or in respect of the application of these General Terms and Conditions, amicably. In case of failure of such amicable settlement, the court of jurisdiction shall be the Commercial Court of Pazin, Republic of Croatia. Thank you for choosing ROCKWOOL as your preferred supplier.
