1 1. Call to Order Mike Johnson called to order a general meeting of the SDA at 10:07 AM on July 5, Leigh Odum took minutes. a. Attendance Josh Rupert (Hunter/Storm), Dave Hopkins (Sares Regis), Patricia Cunningham (Broadcom), Melissa Baxter (City of Sunnyvale, ESD), Mary Lindemuth (City of Sunnyvale, ESD), Maria Rodriguez (City of Sunnyvale, Econ Dev), Irene Murphy (Fibbar Magee s), Andy (Old Post Office Property), Amit Rajgerhia (Dish Dash), Joe Antuzzi (il Postale), Victor Reynoso (Aloft Hotel), Mike Johnson (SDA), Adam Andrews (SDA), Leigh Odum (Leigh s Books). 2. Minutes from May 3 and June 7, 2017 a. Joe motioned to approve the updated minutes from May 3, Irene seconded the motion. Motion passed unanimously. b. Irene motioned to approve the minutes from June 7, Joe seconded the motion. Motion passed unanimously. 3. Public Comment a. The Where s Waldo city-wide treasure hunt is running throughout the month of July at Leigh s Books. b. Andy made a comment regarding the construction in the Mozart Building/River Rock. The contractors for the J.P Morgan renovation are using up all parking spaces and not ticketed when parked illegally. This has been going on ever since they moved in. Does this set the tone for how enforcement is going to be during construction? 4. Police Report with Chris Ketchum SVPD: Not present. 5. City Report (Vice Mayor Gustav Larson): Not present 6. New Business a. Food Scrap Recycling program is comming to Sunnyvale. Mary Lindemuth (Sunnyvale Environmental Services) and Melissa Baxter are here to discuss CA law AB1826 mandating organics be recycled. i. Organics recycling program includes: food scraps, yard trimming, compost, etc. The city of Sunnyvale has started a food scraps program, recycling about 13 tons a day. ii. How it Works: Restaurants will have food scraps bins for back of house waste. Food waste is very heavy so this will reduce other garbage. Bins are labeled food only. The compost gets recycled into animal feed at a facility in Santa Clara. The food compost truck comes 3x a week. Mary provides technical support. Restaurants have to buy their

2 own bins and use clear liners. Pick up days will be Tuesdays, Thursdays, and Saturdays iii. Mary and Melissa Baxter are helping businesses comply with the mandate. All businesses will have to be compliant by Overall, this will reduce garbage. Melissa has found that it worked in compact spaces. They recognize that Murphy will be a challenge and are here to help. They expect that business expenses will not go up. Contra Cost county & Walnut Creek have ben successful. Sunnyvale is working to make it cost neutral to businesses. If businesses have questions they can contact Mary at or MLindemuth@sunnyvale.ca.gov b. Sares Regis & Hunter Storm update on State of Town Center Development and next steps. Dave Hopkins and Josh Rupert from Hunter Storm. Update on projected timelines. River rock is managing space. They are working with Target, Macy s and other businesses in the project area. New name: Cityline i. Phase 1: Yellow spaces (see attached map) include mixeduse buildings with 200 apts. They have been dong work inside, so not visible from outside. The top two decks of the parking structure across from target are closed to public and are being used for construction crew parking. Apartments will be available to lease to tenants in Q2 or Q3 of ii. Building T: Whole Foods/ Theater Tenant: They are very excited about theater tenant and are already working on design. Aggressive Nov 2017 to start construction for Building T and the empty parking lot next to it (995 parking spaces). Should be ready to turn over to tenant Q1 2019, ready to open business around Q iii. Temp block 6 (Macy s lot on Sunnyvale Ave) & Block 3 (Redwood square): ADA parking stalls (50-75) will be along Macy s, block 6 will have a new entrance. They are coordinating with Macy s for this. They will leave large shares of this structure open during construction. They started this area today. Impact will begin in the fall of iv. Construction Mitigation Plan with City is very extensive and includes: noise, dust, times of activity and they post phone numbers/website for citizens to contact and follow updates. v. Parking garages 1 & 2 (on Taaffe St, adjacent to Target and Macy s) will be open the whole time.

3 vi. Construction of apartments and townhomes along Iowa Ave. (Bulilding F1, N1, and T1) will begin Q vii. They hope to start Murphy at the end of There will be a curve of the street that will look nice. The streetscape on block 3 (east side) will all be retail. viii. Goal: to make redwood square an open space and have it be along the new Murphy. There will be underground parking under block 6. They are trying to create a community with residential units, underground parking, and minimized retail. There will be a lot of landscaping and trees. The idea is to pull the old Murphy into the New Murphy to create a Main Street feel. They are looking at cutting block 6 into two blocks to make it more pedestrian friendly and tapering down the building height along Murphy. ix. Parking: What is being taken away from surface parking in Block 6 will be replaced with underground parking. Redwood square parking will have parking underground. The parking lot along Sunnyvale Ave & Iowa Ave will have 995 spaces that will provide parking for the Whole Foods and Theater. x. Types of retail tenants: entertainment, restaurants on block 6 and redwood square (block 3). Entertainment and lifestyle types of businesses. They are trying to mix retail with residential to maintain a balance and create an active area. xi. Correlation between City Line and Santa Row: Sunnyvale will be a destination, but different mix of retail and a boutique Hotel is no longer in the plan. 7. Old Business: Wine Stroll Recap - Push to August Meeting 8. ED/Staff Report a. Update on first two weeks of Summer Series and upcoming Jazz & Beyond. Summer Series is going well. Revenue is a little down. Jazz & Beyond is starting next Sat. b. Joe and Mike 's meeting with Connie Verceles, Cynthia Bojorquez (Dir of Parks & Rec &Community Services, Jessica Deluna and VUDU Movies & TV Team. We discussed Movie Night for the Sunnyvale Downtown on the Plaza Del Sol, starting September Standing Committees: None at this time. 10. Executive Session Amendment to Bylaws (see attachment). Joe motioned to approve the motion. Irene seconded the motion. Motion passed unanimously (5-0).

Adjourn: Next meeting will be Wednesday, August 2, 2017 Amendment to Bylaws Effective July 5, 2017, the Sunnyvale Downtown Association (SDA) Board is amending the SDA Bylaws regarding non-payment of Business Improvement District (BID) fees by members and the impact on member benefits. As the managing agent of the BID, the SDA will change how businesses classified as not in good standing due to non-payment of BID fees or any other outstanding payments due to the SDA. Any member of the Sunnyvale Downtown Association, that has outstanding BID fees, late fees or any other outstanding payments, due to the SDA will be considered not in good standing. Although, the BID renews every year, if a member is not in good standing their benefits are void, until all BID fees and late fees associated with the account, or any other outstanding bills or invoices due to the SDA, are paid in full. A BID member who is not in good standing is not eligible to receive any active BID member benefits. This includes, but is not limited to; participation in any events, marketing, and business listing in maps or directories. Once a business has been identified as a business that is not in good standing, they will remain in that status until all BID fees, late fees, or outstanding invoices have been paid in full or the Board decides on some other course of action to satisfy their financial obligation.
