4 Energy means life Welcome With this idea a company was founded 15 years ago which has become important in Europe. bocom Ltd. developed and produced an energy management system to control the use of energy in buildings. The aim was to save energy without the loss of comfort. The system is perferrably used in communal building complexes. In the mid-90ies the development of controlled colored light began. Its aim was to provide the room climate with a positive atmosphere. In the course of this development there was an installation at the Expo 2000 which was presented together with the center for art and media technology in Karlsruhe, Germany. This installation in the hall presenting knowledge and communication was the final beginning of the topic of colored light controlling. After the euroshop and light&building 2002 fairs the fast expanding market for colored light controlling has been developing. Since 2002 also LED has been continually integrated in the concepts of colored light. Considering this background bocom was chosen by the council for economic development of Kreis Neuss, Germany, to accompany the presentation of the economic region of the middle Rhine area as a company presenting innovation and hightec at the EU in Strassburg. For several years bocom has had a development cooperation with scientific institutions as for instance the Polytechnic University of Kiew. In 2003 bocom began to find out about "lighting with cyclically controlled colored light - analysis and optimization of system of colored light controlling". In this area the company made particularly positive experiences with this cooperation and was extremely satisfied with the results. With the visualization and technical transfer of the possibilities the usage of colored light offers bocom succeeded in leaving the boundaries of what was before. No matter if it is buildings, rooms, gardens, furniture, light objects as home design - its light technology give the right atmosphere to anything. Our references include decorative indoor lightings, light engineering for buildings and light in the field of medicine and cosmetics / wellness to support therapies. The multitude of our products in the fields of light technology and light design gives us the possibility to fill rooms with warmth and cosiness with the help of unforgettable colored light games. There is hardly any area that cannot be woken to life by the right light. Some application examples: - Lighting of selling areas: the attention to the customer is increased - the goods are presented in the right light. - Lighting of work area: in the age of health awareness the congruity of body and soul is very important - think of Feng Shui! The role of energy flow supported by light is so important here - the right light stimulates specific energy fields and thus improves harmony and productivity. - Wellness / medicine: apart from the optical effect colored light is used today more than ever before in the field of therapy - one knows for instance that blue light has a soothing effect on human beings. bocom 4

5 informs We talk of DMX... DMX (stands for Digital-Multiple-Xed) is a bus system with just one transmitter but several receivers. The values can be transmitted into up to 512 channels from mixing desks or lighting systems. Concerning colored light applications every channel corresponds to one of the three color components R/G/B, i.e. one full color light source usually needs 3 DMX channels. From the control each device is given an address. The devices are connected with cables, the DMX signal is simply forwarded from one device to the next. We talk of a bocom bus The bocom bus is a particular communication bus that provides the possibility to control several modules at the same time. In comparison to a DMX system the bocom bus cannot only transfer data to the module but receive answers form the module. This has the great advantage that the state of the modules can be supervised and transfer errors can be corrected if those occur. This system offers the possibility to create customized color scenarios and to save them in the modules with the help of the "bocom Rainbow Wave" software. After that it is not necessary to transmit each color value to all modules "live" but the whole sequence can be synchronized. The changes in the sequence can be controlled with the help of the bocom bus once it is installed. The data transfer is controlled from the computer via serial or USB adapters and the special bocom bus adapter. The bocom bus modules can also be controlled by keyboard or remote control. We talk of standard control A standard control cannot be controlled "live" from the PC (it is not bus ready). A chosen color sequence is stored in this control (as in the bocom bus module). Later modification is only possible if each control is connected to the computer separately. One does not have the possibility to change more than one control via data cable as is possible with the bocom bus. A standard control offers the possibility to implement significantly faster or slower color transitions (in comparison to the bocom bus). A color sequence can be stored via a programmable adapter which is connected to the computer with a serial or USB adapter. The standard control can be controlled with the keyboard or a remote control. bocom 5

Pre-produced areas in standard sizes make planning and mounting of small and large light areas easy. Colour waves, dynamic colour changes or colour adjustments of the particular elements or of the complete area can be pre-set or can be retrieved anytime with the help of a remote control. Components The typical configuration of components for color light composition consists of one master panel and a number of slave panels which synchronously reproduce all color changes created in the master panel. 78 Terms of business bocom-energy saving technologies Ltd. status June1, General conditions 1.1 These terms of business arrange the relationship between the client and bocom-energy saving technologies Ltd. and are valid for bocom services and products. Conditions other than the given ones here are valid only if bocomenergy saving technologies Ltd. explicitly declares them in a written form. 1.2 All agreements and mandatory declarations of the contracting parties need to have a written form. 1.3 If the contracting party is a body corporate, the person or persons who is or are in charge of negotiations have to authorized to sign. If the contracting party is a natural person, this person has to be of age and capable of acting. Persons who are under age have to have their legal guardian(s) to sign the contract. bocom-energy saving technologies Ltd. is authorized to check identity and/or procuration of the contracting party or the collector, in particular bocom may ask for a certificate of registration, identity card or a certificate of authority. 2 Offers and contract conclusion 2.1 A contract is concluded if bocom's written offer is confirmed by the client in written form or if a written legally valid confirmation of the order is provided by bocom-energy saving technologies Ltd. 2.2 If an order is not accepted in written form by bocom-energy saving technologies Ltd. within 14 days, bocom-energy saving technologies Ltd. is not bound to the offer any more. 3 Extent of delivery and service 3.1 The extent and accomplishment of delivery and service is defined in the particular contract. Material and services which are not included therein or are ordered additionally will be charged separately. In case of damage caused by contravention the client is liable. 5 Prices 5.1 As far as not agreed differently, prices issued by bocom-energy saving technologies Ltd. are quoted net, ex works Korschenbroich, Germany, in Euro, without packaging, shipping, VAT, insurance, further duties, fees or costs for mounting, installation, setting-up operation or other additional costs. 5.2 If, between contract conclusion and delivery, calculated costs increase bocom-energy saving technologies Ltd. is authorized to adjust prices quoted in the order confirmation until the assignment is finally finished. 6 Terms of payment 6.1 Deliveries and services are carried out exclusively for advance payment less 5% discount. 6.2 Different terms of payment need to be agreed on in written form. 6.3 In case of default of payment bocom-energy saving technologies Ltd. reserves the right to stop deliveries and services immediately and is authorized to charge 5% default interest. Interest computation starts on the following day after the payment should have been made. Dunning charges and compensation of further damage reserved. 6.4 The client cannot account claims by bocom-energy saving technologies Ltd. with possible counter claims. 7 Delivery date 7.1 Time for delivery starts as soon as the contract is concluded, all necessary formalities are obtained, the payments and securities, which are obligatory at the date of ordering, are accomplished and bocom-energy saving technologies Ltd. is in possession of all necessary documents, materials, data and information which are necessary to accomplish the order. Delivery date is considered as met if the order is announced finished or ready for collection at the appointed time. 7.2 The delivery date will be prolonged adequately: - if bocom-energy saving technologies Ltd. is not provided with information, documents, etc. necessary for the execution of the order in time, or if these are subsequently changed by the client; - if payment terms are not kept, -if obstacles occur bocom-energy saving technologies Ltd. is not able to avert in spite of exercising reasonable care, irrespective if these occur with bocom-energy saving technologies Ltd., the client of a third party; - at the occurrence of force majeure (e.g. war, natural phenomena, significant business disruptions, accidents, industrial conflicts); - in case of delayed or false supply of needed semi-finished or finished products as well as administrative measures or omissions. 8 Delivery, transport, storage and insurance 8.1 The products are carefully packed by bocom-energy saving technologies Ltd. The packaging is charged to the client at cost price. 8.2 Particular requests concerning shipping, storage and insurance must be made known to bocom-energy saving technologies Ltd. in time. Shipment and storage are carried out at the expense of the client and at the client's risk. 8.3 Insurance against damages are incumbent to the client. If bocom-energy saving technologies Ltd. takes out an insurance, the client is charged. 9 Inspection and acceptance of deliveries and services 9.1 bocom-energy saving technologies Ltd. will check deliveries and services according to fixed internal inspection instructions before shipping, except mutually agreed direct shipments. If the client requires further inspections, then these have to be agreed on in particular. The client is charged for these further inspections. 9.2 The client is required to check the deliveries and services within an adequate time, at least within 10 days after receipt. Possible deficiencies have to be made known to bocom-energy saving technologies Ltd. right away in a written form. If the client fails to do this, the deliveries and services are conside- bocom 78

Return shipments of products are to take place originally packed including a detailed description of faults or deficiencies and the delivery note or invoice. 9.3 bocom-energy saving technologies Ltd. is obliged to correct the deficiencies they are informed of in time as quickly as possible, and the client is obliged to give bocom the opportunity to do so. 9.4 If the delivery or service has deficiencies, bocom-energy saving technologies Ltd.'s warranty and liability is limited to these deficiencies. There is no right of the client to withdraw from the contract. 9.5 Demonstration devices have to be returned after three days. 9.6 A possible maintenance contract to grant functionalities after the final inspection has to be agreed on separately. 10 Warranty, liability for deficiencies and deadlines 10.1 bocom-energy saving technologies Ltd. is only liable for warranted characteristics and appointed times. Warranted characteristics and appointed times are those which have been appointed in the order confirmation or in the offer in written form and explicitly.
