Producer and Exhibitor agree to the foowing Terms and Conditions: Exhibitor sha adhere to a setup and takedown guideines as outined in exhibitor packet and a dispays must be removed by the ast day of the show or as specified in the event packets. Any equipment used in the transportation of dispays must have rubber whees. Arrangements must be made in advance by exhibitor to request dimensions for entry doors if dispays or vehices are of arger size. No ha equipment or materias are to be moved by the exhibitor. Exhibitor agrees to pay a minimum of $ storage and disposa fee for any abandoned debris, dispay materias or equipment eft in the Ha after takedown. Vehices are ony aowed in the ha with prior approva of Producer and if used as part of your exhibit and must have ess than 2 gaons of gas in the tank and have protective foor covering beneath them with pads under tires. Vehice keys must be eft with Producer. Add-Ons & Renta equipment, as isted on the front of this Agreement, is avaiabe at an additiona fee. Exhibitor is responsibe for any equipment damage or oss. Specia eectrica service, if avaiabe, sha be at an additiona charge. Exhibitor must obtain a separate quote from Producer for such service. Exhibitor must provide a 25 grounded, cord and if water is used as part of the dispay, a hose and submersibe pump for draining water. Dispays: Exhibitor may dispay ony the products and services stated in this Agreement. Exhibitor dispay areas must have a professiona appearance and be kept cean and ordery at a times. Any materias used in transportation or packing of dispays must be removed or stored outside of pubic view or under skirted tabes. The height of dispays may not exceed 36 at the side of the booth or 8 at the rear of the booth. Dispay materias are not to be attached to faciity property. A protective foor covering must be used for dispays utiizing bricks, decorative pavers, rock, grave, dirt or simiar materias. Chemicas, heium baoons, fires, consistent oud noises, sirens and aarms are not permitted. A dispays are subject to standard Fire Department reguations and approva and Exhibitor is responsibe to obtain any and a permits required by faciity or municipaities due to dispay content, such as food and/or iquor service. Producer wi not be hed iabe, nor refunds issued if Exhibitor fais to obtain said permit(s) and is required to ater/imit Exhibitor's dispay. Booths must be staffed during entire show schedue and no subetting of booth space wi be aowed. Exhibitor agrees that at-show staff wi not remove any dispays materias or begin taking down show dispays prior to the cose of the event. Any Exhibitors or at-show staff found removing dispay materias from the ha prior to the cose of the event wi be subject to a mandatory fine of $150 and possibe suspension from future show participation. No soicitation of iterature wi be permitted outside the booth area, incuding distribution outside of the buiding or materias paced on vehices. No dispay or demonstration sha interfere with neighboring exhibitor staff or booths. Producer reserves the right to reject, remove, or prohibit any exhibit from the show if Producer deems the exhibit or the activities of the exhibitor to vioate this Agreement or actions to be detrimenta to the show or other exhibitors in any way. Exhibitor sha inform at-show staff of the terms of this Agreement prior to staffing the event. Producer reserves the right to change event ayout without notice and may reassign and reocate any Exhibitor to another space if Producer deems necessary for any reason. Exhibiting: Producer reserves the right to perform any credit checks deemed necessary as authorized by the signing of this Agreement. Ony an actua Exhibitor deposit wi guarantee space in an event and must foow Reservation immediatey to execute this Agreement prior to a date specified by Producer, or the reservation wi cance. No refund wi be made shoud Exhibitor withdraw at any time prior to the show. Shoud the exhibitor fai to pay a amounts when due, Producer sha have the right to re-se or re-assign the space to another with no refund to Exhibitor. *Faiure to compy with a contract terms and conditions, incuding but not imited to, payment deadines or terms agreed to for discounts that have been appied, wi render a discounts nu and void and Exhibitor wi be responsibe for the fu rate of booth space, Add-Ons, renta equipment and services requested. Exhibitor sha be iabe for fu payment if he/she withdraws within thirty (30) days of the event. Interest sha be appied to any unpaid baance at the rate of two percent (2%) per month from the first day of the event. Payments wi first be appied to charges in arrears. Exhibitors issuing checks that are returned N.S.F. or stopped payment sha be charged an additiona $50.00 fee. Exhibitor s representative signing this Agreement sha be individuay and severay responsibe for any and a payments. Payment for space is not transferabe to any other space within the ha, nor is it transferabe to any other show produced by the Producer, uness agreed upon in writing. In the event a show is canceed by Producer for any reason beyond its contro incuding, but not imited to, acts of God, fire, strikes, governmenta reguations, civi commotion, or other acts or conduct of any person(s), a obigations of the parties hereunder sha automaticay terminate and the Producer sha determine an equitabe refund of the booth renta fee paid by Exhibitor. Refunds wi be made after a deductions of Producer s expenses and commitments, as determined in its soe and excusive discretion. Producer makes no representations or warranties regarding trade imitations or excusivity or that a company exhibiting competitive products wi not be ocated in a nearby booth space or within the confines of the ha uness stated specificay in writing on the front of this Agreement. Exhibitor agrees to abide by Producer s decision in the case of any dispute regarding a imitation or excusivity. Damages and Insurance: Neither Producer nor ha is responsibe for theft, oss, damage or destruction of Exhibitor s property. A Exhibitors must provide a current Certificate of Insurance naming Producer as an additiona insured on its commercia genera iabiity poicy with imits of not ess than $500, per occurrence, thirty (30) days prior to event date. Exhibitor hereby agrees to indemnify and hod harmess Producer and agrees to defend Producer, its empoyees, agents and the owners of the ha and faciity management from any and a caims, iabiity, oss, damage, cost or expense of any kind whatsoever, incuding, but not imited to court costs and reasonabe attorney s fees, which the Producer may incur, pay, or be required to pay, incident to, or arising directy or indirecty from any wifu, negigent, or indirect act or omission by Exhibitor. Exhibitor accepts fu responsibiity for any and a damage or injury to the pubic, other exhibitors, Producer, the ha or faciity management, resuting from any act(s) of Exhibitor. If, for any reason, a caim for damages sha be imposed against Producer, that caim sha not exceed the space renta fee paid by Exhibitor and that amount sha serve as tota damages. PRODUCER SHALL NOT BE LIABLE FOR ANY CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, INDIRECT, OR SPECIAL DAMAGES OR COSTS INCLUDING, BUT NOT LIMITED TO, LOST PROFITS OR LOSS OF GOODWILL, RESULTING FROM ANY CLAIM OR CAUSE OF ACTION, INCLUDING BUT NOT LIMITED TO, BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED, KNEW, OR SHOULD HAVE KNOWN OF THE POSSIBILITY THEREOF. Warranties and Remedies: Producer makes no warranty, either express or impied, to Exhibitor regarding advertising penetration or sufficiency, show attendance, eads, or saes which Exhibitor may anticipate or receive. Producer s projections are merey specuation, and not to be deemed as actua anticipated pubic voume or Exhibitor profitabiity. No credits or refunds wi be issued if Exhibitor fais to meet persona/company expectations or if Exhibitor cannot participate in an event for any reason, uness agreed upon by Producer in writing prior to the event. This Agreement constitutes the entire understanding of the parties with respect to the subject matter hereof, and supersedes a prior and contemporaneous written and ora agreements with respect to such subject matter and may not be atered by Exhibitor s purchase order. Except as expressy provided herein, this Agreement sha not be modified, amended or in any way atered except by a writing executed by each of the parties, uness Producer has specificay reserved herein the right to ater certain terms hereof. This Agreement sha be governed by the aws of the State of Iinois. In the event Exhibitor breaches the terms of this Agreement, in addition to a other remedies avaiabe to it in aw or equity, Producer may immediatey bar Exhibitor from entry or eject Exhibitor from any and a shows, without refund or recourse. No deviation from the terms of this Agreement is vaid uness agreed to in writing by Producer. In the event of Exhibitor s breach of this Agreement, Producer sha be entited to a fees and costs, incuding but not imited to its reasonabe attorney s fees, to enforce the terms hereof. Any and a disputes arising hereunder sha be resoved by submission to arbitration under the commercia rues of the American Arbitration Association. Any and a disputes giving rise to caims hereunder sha be brought in any state or federa court in Cook County, Iinois and waive any rights to bring such a caim in any other forum. Producer reserves the right to assign this Agreement. This Agreement sha not constitute or create a partnership, joint venture, agency, or empoyment reationship. Shoud any part of this Agreement be hed unenforceabe or iega, that portion sha be severed and the remainder of this Agreement sha remain in fu force and effect. The obigations of Exhibitor regarding indemnification and insurance sha survive the termination of this Agreement for any reason.
